 申请人福州凤凰房屋征收工程处(以下简称“凤凰工程处”)申请确认其与被申请人福州恒兴滨海置业有限责任公司(以下简称“恒兴滨海公司”)、福州市鼓楼区住房保障和房产管理局(以下简称“住房管理局”)、福州市鼓楼区建设投资管理中心(以下简称“建设投资中心”)于2014年3月18日签订的《补充协议》(一)中的仲裁条款无效一案,本院于2016年5月20日受理后,依法组成合议庭进行审查。
 凤凰工程处主张,1.该仲裁条款约定的仲裁事项依法不得仲裁。根据《最高人民法院关于适用﹤中华人民共和国行政诉讼法﹥若干问题的解释》第十一条规定,当事人基于土地、房屋征收补偿协议产生的纠纷依法应通过行政诉讼予以解决。根据《国有土地上房屋征收与补偿条例》第二十五条的规定,补充协议订立后,一方当事人不履行补偿协议约定的义务的,另一方当事人可以依法提起诉讼。故被申请人要求申请人根据征收补偿协议支付征收补偿款,该主张应通过诉讼解决,不得仲裁。2.仲裁条款约定的事项与《中华人民共和国仲裁法》规定的仲裁受案范围不符。根据《仲裁法》第二条规定,平等主体的公民、法人和其他组织之间发生的合同纠纷和其他财产权益纠纷,可以仲裁。本案征收补偿协议的双方当事人并非平等主体,因此基于该协议产生的争议并不属于仲裁的受案范围。
 恒兴滨海公司答辩称,《房屋征收补偿安置协议书》及《补充协议》(一)约定事项属于平等主体之间发生的合同纠纷,不存在不能约定仲裁的情形,涉案仲裁条款依法有效。首先,从《房屋征收补偿安置协议书》及《补充协议》(一)的签约主体来看,签约主体均系平等主体,住房管理局、建设投资中心虽系行政机关,但并非行政机关所为的任何行为均系行政行为,本案中,住房管理局、建设投资中心是作为平等主体出现的,《房屋征收补偿安置协议书》及《补充协议》(一)是各方在平等、自主协商的基础上签订的普通合同。其次,从《房屋征收补偿安置协议书》及《补充协议》(一)的内容来看,签署上述协议均系民事行为,并非行政行为。《房屋征收补偿安置协议书》及《补充协议》(一)所涉及的内容主要是补偿款的支付时间及金额,并未涉及“房屋征收决定”等行政行为。第三,住房管理局和建设投资中心未向人民法院提出确认仲裁条款无效,表明其认可《房屋征收补偿安置协议书》及《补充协议》(一)是民事行为,而非行政行为。第四,《仲裁法》及《厦门仲裁委员会规则》未禁止将房屋征收补偿安置协议的争议提交仲裁。第五,根据相关法律及司法解释的规定,《房屋征收补偿安置协议书》及《补充协议》(一)的履行属于民事纠纷,依约可以约定仲裁,可以由仲裁机构管辖审理。
