Therefore, whether or not the branch of a company has been deregistered by the competent authority for industry and commerce during the modification of the company's legal person does not, on the basis of the company's nature as an independent legal person, affect thecompany's exercise of its civil rights and the performance of its civil obligations arising from the branch. @#

As for the case of disputes over advance sale contract for commercial building between the appellant, Southwest Branch of Pan-China Engineering Co., Ltd.(hereinafter referred to as “Pan-China Co.”) and the appellee, China Life Insurance (Group) Company (hereinafter referred to as “Life Insurance(Group) Company”), the Higher People's Court of Chongqing City made a civil judgment, No. 13 [2005], Civil, First Instance, Chongqing, on July 29, 2005. Pan-China Co. was dissatisfied with the judgment of the first instance, and appealed to this court. This court formed a collegiate bench according to law, and held a hearing on January 18, 2006. The attorneys of Pan-China Co., Wang Wanji and Chen Xiaoying, and the attorney of Life Insurance (Group) Company, Chen Zhigang, attended the hearing. By now, the trial of this case has been concluded.@#
Through trial, the court of the first instance found that: Life Insurance (Group) Company, formerly known as PICC Life Insurance Co., Ltd., upon approval, established a Chongqing Branch of PICC Life Insurance Co., Ltd. (hereinafter referred to as “Chongqing Branch of PICC Life Insurance”) in September 1996. On May 18, 1998, Pan-China Co. and Chongqing Branch of PICC Life Insurance concluded an Advance Sale (Advance Purchase) Contract for Commercial Building, agreeing that: Pan-China Co. should sell in advance the building of 14,400 square meters from the 9th through the 28th floors at zone 3, Pan-China Tower, Kuaizi Street, Xinhua Road, Yuzhong District, Chongqing, and the garage of 600 square meters at -1st floor, zone 4, developed and constructed by it, totaling 15,000 square meters, at the price of 66,240,000 yuan, to Chongqing Branch of PICC Life Insurance. The first installment of building purchase payment should be paid after the signing of the contract as a down payment of 200,000 yuan; the second installment should be paid at a rate of 20% of the total building payment (including the down money), i.e. 13,250,000 yuan, at the time of registration; the third installment should be paid at a rate of 10% of the total payment, i.e. 6,620,000 yuan, when the construction reached the 9th floor; and each of the fourth and subsequent installments should be paid at a rate of 10% of the total payment, i.e. 6,620,000 yuan, when the construction rose every 5 floors. Pan-China Co. should deliver the above building completed and qualified upon examination to Chongqing Branch of PICC Life Insurance on August 31, 1999. On the liability for breach of contract, they agreed that: after the signing of this contract, both parties should not modify or rescind it unilaterally without consultation, and if Chongqing Branch of PICC Life Insurance breached the agreed time limit and delayed in paying the building price, it should pay a default fine to Pan-China Co., which should be accumulatively calculated at the rate of 0.2‰ of the building price per day; if Pan-China Co. breached the agreed time limit and delayed in delivering the building, it should pay a default fine to Chongqing Branch of PICC Life Insurance, which should be accumulatively calculated at the rate of 0.2‰ of the building price per day. Upon the signing of this contract, Pan-China Co. and Chongqing Branch of PICC Life Insurance handled the registration of the advance sale contract at Real Estate Exchange of Chongqing City, with a registration number of No. 0953 (98), AS/P. From July 6, 1998 to January 11, 1999, Chongqing Branch of PICC Life Insurance paid the building price to Pan-China Co. in 8 installments, totaling 58,750,000 yuan.@#

上诉人泛华工程有限公司西南公司 (以下简称泛华公司)与被上诉人中国人寿保险(集团)公司[以下简称人寿(集团)公司)商品房预售合同纠纷一案,重庆市高级人民法院于2005年7月29日作出(2005)渝高法民初字第13号民事判决,泛华公司不服一审判决,向本院提起上诉。本院依法组成合议庭,于2006年1月18日进行了开庭审理。泛华公司的委托代理人王万吉、陈晓莺,人寿(集团)公司的委托代理人陈志刚到庭参加诉讼。本案现已审理终结。@#
一审法院经审理查明:人寿(集团)公司原名为中保人寿保险有限公司,1996年 9月经批准设立了中保人寿保险有限公司重庆市分公司(以下简称中保人寿重庆分公司)。1998年5月18日,泛华公司与中保人寿重庆分公司签订了《商品房预售(预购)合同》约定:泛华公司将其开发建设的重庆市渝中区新华路筷子街泛华大厦三区 9楼至28楼房屋14 400平方米和四区负一层车库600平方米,共计15 000平方米以6624万元的价格预售给中保人寿重庆分公司。第一次缴付购房款在合同签字后付定金20万元;第二次在登记时付房款总额的20%(含定金)1325万元;第三次在工程进行到第九层时付总价的10%,共计662万元;第四次在工程每上升五层时付总价的10%,共计662万元。泛华公司在1999年8月31日将竣工并经验收合格的上述房屋移交给中保人寿重庆分公司。该合同关于违约责任的约定为:合同签订后,双方均不得擅自变更或撤销,中保人寿重庆分公司如违反约定的期限延迟缴付房款,应向泛华公司缴纳违约金,违约金每日按房价的0.2‰累加计算;泛华公司如违反约定的期限延迟交移房屋,应向中保人寿重庆分公司缴纳违约金,违约金每日按房价款的0.2‰累加计算。合同签订后,泛华公司和中保人寿重庆分公司在重庆市房地产交易所办理了预售合同登记,登记号为 (98)预售(购)第0953号。1998年7月6日至1999年1月11日,中保人寿重庆分公司分八次向泛华公司共计支付了5875万元的房款。@#
2003年2月12日,泛华公司向中国人寿保险公司重庆市分公司(以下简称中国人寿重庆分公司)发出《商品房入住通知》称,现已按照中国人寿重庆分公司的变更要求及施工图完全竣工,设备安装已全部就位,并已调试完毕。请中国人寿重庆分公司即日起入住该楼,进一步完善精装修,尽快支付剩余房款,以便泛华公司尽早为中国人寿重庆分公司完善房屋产权证及国土使用证。但是,泛华公司至今未向人寿(集团)公司提交泛华大厦通过竣工验收和消防验收并达到合格可以入住的证据。@#
2003年10月28日,中国人寿重庆分公司称以邮件挂号的方式,向泛华公司送达了《关于催交我司购买的办公用房的公函》,但未向一审法院提交邮政送达的回执单据。@#
目前,讼争房屋已完成主体结构建设,尚未竣工验收,不具备交付使用条件。@#
1999年3月,中保人寿保险有限公司更名为中国人寿保险公司,同年4月,中保人寿重庆分公司更名为中国人寿重庆分公司。2003年6月,中国人寿保险公司独家发起设立了中国人寿保险股份有限公司,同年8月,中国人寿保险公司又更名为中国人寿保险(集团)公司。2003年9月18日,中国人寿保险股份有限公司设立了中国人寿保险股份有限公司重庆市分公司。 2004年7月,人寿(集团)公司发文同意注销中国人寿重庆分公司及其所属分支机构营业执照,原中国人寿重庆分公司及其直属机构的相关债权债务由人寿(集团)公司承担。@#
2005年2月,人寿(集团)公司在向一审法院提起诉讼的同时,申请对泛华大厦的房屋予以诉讼保全。一审法院于2005年 3月11日作出(2005)渝高法民初字第13号民事裁定书,查封了泛华大厦价值6624万元的房产。@#
2005年2月23日,人寿(集团)公司向一审法院提起诉讼称:1998年5月18日,该公司下属非法人营业组织--中保人寿重庆分公司与泛华公司协商签订了购买泛华公司开发的重庆市渝中区民族路 15号泛华大厦部分房屋的《商品房预售 (预购)合同》。合同约定:中保人寿重庆分公司向泛华公司购买泛华大厦三区9楼至 28楼房屋14 400平方米和四区600平方米车库,共计15 000平方米。工程竣工交付时间为1999年8月31日。中保人寿重庆分公司应分数次向泛华公司支付购房款 6624万元。鉴于泛华大厦三区共计29层,故竣工验收前中保人寿重庆分公司支付房款为总房款的70%,计4636.80万元。合同签订后,双方办理了预售合同登记,中保人寿重庆分公司超额支付购房款共计5875万元。但至今为止,泛华公司仍未交付竣工验收合格的房屋,构成违约。购房合同签订后,中保人寿保险有限公司经批准变更为中国人寿保险公司,2003年6月中国人寿保险公司又更名为人寿(集团)公司,现人寿(集团)公司享有1998年5月18日购房合同的全部权利。为此请求判令:1.泛华公司立即履行交房义务;2.泛华公司从逾期之日起至交房之日止向人寿(集团)公司支付违约金(截至2005年1月31日违约金为2543.62万元);3.由泛华公司承担诉讼费用。@#
泛华公司答辩称:一、人寿(集团)公司主体不适格。从人寿(集团)公司提交的现有证据来看,无法证明中国人寿重庆分公司已更名为人寿(集团)公司,人寿(集团)公司不是购房合同的相对方,不享有购房合同的权利。二、即使人寿(集团)公司主体适格,泛华公司申请中止案件审理的要求合理合法,本案应中止审理。三、关于实体问题,对于交房泛华公司无异议,但对于违约金,人寿(集团)公司的请求已超过诉讼时效,泛华公司不予认可。@#

一审法院经审理认为,关于人寿(集团)公司是否属于适格原告问题。 1998年 5月18日,与泛华公司签订《商品房预售 (预购)合同》的中保人寿重庆分公司,系由原中保人寿保险有限公司设立,原中保人寿保险有限公司变更名称为中国人寿保险公司后,原中保人寿重庆分公司也变更名称为中国人寿重庆分公司,其隶属关系没有变化。《中华人民共和国公司法》第十三条规定,分公司不具有企业法人资格,其民事责任由公司承担。目前,中国人寿保险公司又更名为人寿(集团)公司,且已下文注销中国人寿重庆分公司,其相关债权债务由人寿(集团)公司承担。因此,人寿(集团)公司以原告身份向泛华公司主张权利是正当的。@#
