Buffett Investment Co., Ltd. (hereinafter referred to as “Buffett Company”) instituted an action in the Shanghai No. 2 Intermediate People's Court against Shanghai Water Supply Investment and Construction Co., Ltd. (hereinafter referred to as “Water Supply Company”) for disputes over equity transfer. On October 29 of the same year, upon the plaintiff's application, this court added Shanghai Water Assets Operation and Development Co., Ltd. (hereinafter referred to as Shanghai Water Assets Company) as a third party in this case. On November 20 of the same year, the defendant requested this court to add Shanghai Golden Hammer Commodity Auction Co., Ltd. (hereinafter referred to as “Gold Hammer Auction Company”) as a third party in this case. On December 4 of the same year, the defendant filed a counterclaim against the plaintiff and the third party, Shanghai Water Assets Company.@#
PROCEDURAL POSTURE@#
The plaintiff, Buffett Company, alleged that: on February 6, 2007, it attended an auction held by Gold Hammer Auction Company. At the auction, the defendant, Water Supply Company, authorized the third party, Shanghai Water Assets Company, to dispose of 16,985,320 state-owned legal person shares of China Everbright Bank Co., Ltd. (hereinafter referred to as China Everbright Bank) held by the defendant according to a board resolution of the defendant. The plaintiff obtained the equities by auction. After the deal is made at the auction, Gold Hammer Auction Company issued a written confirmation of the auction deal. The plaintiff paid 52,654,492 yuan to Gold Hammer Auction Company for the equity transfer in twice, and signed an Agreement on Transferring the Legal Person Equities of China Everbright Bank with Shanghai Water Assets Company. Afterwards, the defendant refused to honor the agreement, and on March 1, 2007, sent a letter to China Everbright Bank to terminate the transfer of equities, which made the plaintiff incapable of acquiring the said equities and the shareholder identity. The plaintiff and Shanghai Water Assets Company sent letters to the defendant, asking it to handle the modification of equities as soon as possible, but the defendant had hitherto failed to cooperate. Therefore, the plaintiff requested the court to order the defendant to perform the Agreement on Transferring the Legal Person Equities of China Everbright Bank and transfer 16,985,320 state-owned legal person shares of China Everbright Bank to the plaintiff (that is, to order the defendant to submit to China Everbright Bank an application form for confirming modification of equities).@#

根据《企业国有资产监督管理暂行条例》第十三条的规定,国务院国有资产监督管理机构可以制定企业国有资产监督管理的规章、制度。根据国务院国资委、财政部制定实施的《企业国有产权转让管理暂行办法》第四、第五条的规定,企业国有产权转让应当在依法设立的产权交易机构中公开进行,企业国有产权转让可以采取拍卖、招投标、协议转让等方式进行。企业未按照上述规定在依法设立的产权交易机构中公开进行企业国有产权转让,而是进行场外交易的,其交易行为违反公开、公平、公正的交易原则,损害社会公共利益,应依法认定其交易行为无效。@#

原告巴菲特投资有限公司(以下简称巴菲特公司)因与被告上海自来水投资建设有限公司(以下简称自来水公司)发生股权转让纠纷向上海市第二中级人民法院提起诉讼。同年10月29日,法院根据原告的申请,追加上海水务资产经营发展有限公司(以下简称上海水务公司)为第三人参加诉讼。同年11月20日,被告申请追加上海金槌商品拍卖有限公司(以下简称金槌拍卖公司)为第三人参加诉讼。同年12月4日,被告以原告、第三人上海水务公司为被告提起反诉。@#

原告巴菲特公司诉称:2007年2月6日,原告参与金槌拍卖公司的拍卖会。在该拍卖会上,被告自来水公司以董事会决议形式委托第三人上海水务公司代为处置被告持有的中国光大银行股份有限公司(以下简称光大银行)16 985 320股国有法人股。原告通过竞拍取得了上述股权。拍卖成交后,第三人金槌拍卖公司出具拍卖成交确认书。原告分两次向金槌拍卖公司支付了股权转让款人民币52 654 492元(以下币种均为人民币),并与上海水务公司签订了《光大银行法人股股权转让协议》。此后,被告拒绝履行该协议,并于2007年3月1日向光大银行发送中止股权变更的函,致使原告无法取得应有的股权及股东身份。原告及上海水务公司发函向被告提出尽快办理股权变更申请,被告至今不予配合。故原告诉请判令被告履行《光大银行法人股股权转让协议》,将16 985 320股光大银行国有法人股转让给原告(即由被告向光大银行提交股权变更确认申请表)。@#
被告自来水公司对本诉辩称并反诉称:第一,被告从未授权第三人上海水务公司拍卖被告持有的光大银行股权,也未与原告巴菲特公司订立过股权转让协议。被告没有义务履行原告与上海水务公司签订的股权转让协议,原告依据该协议向被告主张权利没有依据。第二,原告在明知上海水务公司无权处分被告股权的情况下参与拍卖,属于恶意竞买。第三,讼争的光大银行法人股系国有资产,根据《企业国有产权转让管理暂行办法》的有关规定,转让国有产权应当履行审批、评估程序,并且按规定进入产权交易场所交易。本次股权转让的过程不符合上述有关规定,转让行为不合法。第四,第三人金槌拍卖公司没有国有股权拍卖资格,且在拍卖公告的期限方面不符合有关规定,其拍卖行为有重大瑕疵。综上所述,被告不同意原告的诉讼请求,并请求法院判决确认原告与上海水务公司签订的《光大银行法人股股权转让协议》无效。@#
原告巴菲特公司对反诉辩称:不同意被告自来水公司的反诉请求。第一,根据被告的董事会决议,第三人上海水务公司获得了被告的授权,上海水务公司对讼争股权的处置方式、价格等没有超出授权范围。第二,被告无任何证据证明原告与上海水务公司恶意串通,损害被告利益。第三,讼争股权的拍卖人资格、拍卖程序符合法律规定,拍卖行为完全合法有效。第四,讼争股权的股权证原件现由原告持有,该证是在股权转让协议签订后由被告交给上海水务公司,再由上海水务公司交给原告。由此可证明被告承认授权、拍卖的事实,并同意继续履行股权转让协议,只是由于事后情况发生变化,才决定终止办理股权转让手续。@#
第三人上海水务公司表示支持原告巴菲特公司的本诉请求,不同意被告自来水公司的反诉请求。第一,被告董事会决议经全体董事一致同意,上海水务公司根据该董事会决议已取得了被告合法有效的授权。第二,上海水务公司委托第三人金槌拍卖公司进行股权拍卖,符合现行法律的规定。光大银行法人股属于金融类企业的国有产权,该类国有产权的转让不适用《企业国有产权转让管理暂行办法》的规定。@#
第三人金槌拍卖公司述称:以拍卖方式转让国有股权,符合法律法规的规定。本公司具有国有股权的拍卖资格,讼争股权的拍卖程序合法有效。@#
上海市第二中级人民法院一审查明:@#
2006年12月26日,被告自来水公司召开一届二次董事会会议,会议形成一份由全体董事签名的决议。该决议载明:自来水公司持有的16 985 320股光大银行法人股,经上海财瑞资产评估公司评估并报国资委备案,截至2005年5月31日价值为人民币28 365 484.40元。为规避该笔投资可能带来的风险,使公司有足够现金获得发展,自即日起,公司全权委托第三人上海水务公司办理转让该笔投资有关事宜,委托期限3个月。转让结束,公司完全收回该笔投资,高于或低于此价部分完全由上海水务公司承担。@#
2007年1月24日,第三人上海水务公司就被告自来水公司名下的16 985 320股光大银行法人股,以委托人身份与第三人金槌拍卖公司签订委托拍卖合同,合同载明委托人对拍卖标的拥有无可争议的处分权。委托人交与拍卖方审验的证明材料有:上海水务公司的营业执照、组织机构代码证(以上两份盖有上海水务公司公章)、光大银行股权证复印件(有经复印的自来水公司公章印文和盖有上海水务公司公章)。同月26日,金槌拍卖公司在《上海商报》刊发定于2月6日对上述股权进行拍卖的公告。同月29日,又在该报上刊发拍卖更正启事,更正了竞买人条件。同年2月 6日,金槌拍卖公司对上述股权进行了拍卖,并由原告巴菲特公司以最高价买受。拍卖成交确认书载明的拍卖单价为3.10元,成交总价为52 654 492元。2月12日,巴菲特公司向金槌拍卖公司交付全部拍卖佣金2 632 724.60元;巴菲特公司通过金槌拍卖公司向上海水务公司交付全部股权款 52 654492元。@#
