Plaintiff Yu Cunku filed a lawsuit at the People's Court of Guanghan City, Sichuan Province against Dong Chengbin and Dong Chengzhen because of the dispute over housing exchange. At the same time, defendants Dong Chengbin and Dong Chengzhen lodged a counterclaim.@#
Plaintiff Yu Cunku complained that, after having received the money paid by the two defendants for the house, which was occupied by the defendants thereafter, he had looked for the two defendants for several times according to the housing trade agreement signed by him and the two defendants, but in vain. Due to his failures to find them, up to that time, they hadn't yet handled the registration procedures for the transfer & change ownership of housing property. As the land occupied by this house was a allocated one, it wasn't allowed to be transferred pursuant to the law, and moreover, the housing property hadn't been transferred yet, thus he pleaded the court to decide their agreement invalid and to order the two defendants to return him the house, to pay him the rent of 3,3000 yuan during the period of their occupying the house and to pay the legal costs of this case.@#

原告于存库因与被告董成斌、董成珍发生房屋买卖纠纷,向四川省广汉市人民法院提起诉讼,董成斌、董成珍同时反诉。@#
原告于存库诉称:原告按照与二被告签订的房屋买卖协议,在收到二被告交付的房价款并由二被告占用房屋后,曾依约多次找过二被告都未找到,致使至今仍未办理房屋产权转移变更登记手续。鉴于该房屋占用的土地是划拨土地,依法不能转让,且房屋产权仍未变更,请求确认原、被告之间的房屋买卖协议无效,判令二被告给原告返还房屋和占用该房期间收取的租金3.3万元,并负担本案诉讼费用。@#
二被告答辩并反诉称:被告已经按照与原告签订的房屋买卖协议履行了交付价款的义务,后因原告搬家不通知被告,导致与原告失去联系,致使该房屋的产权和土地使用权变更登记手续至今仍未办理。原告的违约行为,侵害了二被告合法权益,所诉房屋买卖协议无效的理由不能成立,协议应当继续履行。反诉请求判令原告给二被告支付违约金5000元,赔偿二被告的其他损失,并承担办理该房屋的占用土地的使用权变更登记义务。按照协议的约定,土地使用权出让金应当由原告缴纳。@#
四川省广汉市人民法院经审理查明:@#
1997年12月11日,原告于存库与被告董成斌、董成珍签订了一份房屋买卖协议,约定:坐落在广汉市雒城镇桂花街103幢10--11轴底层的门面营业房一间,是于存库私有财产,现由杨军租用;在征求杨军同意后,于存库现将此房作价12.2万元卖给董成斌、董成珍;房屋买卖中发生的土地使用权出让金,由于存库负担;税金及过户费,由董成斌、董成珍负担;公证费双方各负担一半;房屋出卖后,原租赁协议继续有效;双方应当遵守协议,如一方违约,应向对方支付违约金5000元。@#
12月11日,双方办理了房屋买卖协议的公证手续。同日,被告董成斌、董成珍付给原告于存库现金12.2万元,于存库出具收条后将房屋交给董成斌、董成珍。董成斌、董成珍以出租人身份,继续出租该房至今。@#
涉案房屋是1993年9月原告于存库从广汉市建设开发总公司购买的商品房。该房屋占用的土地,是划拨取得。广汉市土地管理部门证实,广汉市人民政府允许在办理了土地使用权出让手续后,转让该土地上的房产。在于存库和被告董成斌、董成珍办理房屋买卖协议的公证时,于存库尚未取得该房屋占用土地的使用权证。办理公证手续10日后,于存库以自己的名义取得了面积为8.30平方米的划拨土地使用权证。由于双方当事人在签订房屋买卖协议后都搬过家,而且互不通知,以至失去联系,该房屋的产权和土地使用权变更登记手续未能按约定办理。1999年3月2日,董成斌、董成珍单方到房屋行政管理部门申请办理房屋产权变更登记手续时,因于存库阻止,未能办成。@#
上述事实,有房屋买卖协议、公证书、现金收条、划拨土地使用权证等书证和证人证言、双方当事人陈述证实。@#

四川省广汉市人民法院认为:@#
中华人民共和国民法通则》第五十五条规定:“民事法律行为应当具备下列条件:(一)行为人具有相应的民事行为能力;(二)意思表示真实;(三)不违反法律或者社会公共利益。”第五十七条规定:“民事法律行为从成立时起具有法律约束力。行为人非依法律规定或者取得对方同意,不得擅自变更或者解除。”坐落在广汉市雒城镇桂花街103幢10--11轴底层的门面营业房一间,是原告于存库的私有财产。该房屋占用的土地虽然是划拨取得,但当地有批准权的人民政府允许在办理了土地使用权出让手续后,转让该土地上的房产。于存库通过与被告董成斌、董成珍签订协议转让房屋,签订协议时双方都具有相应的民事行为能力,意思表示真实,协议内容为买卖法律允许买卖的私有财产,且对办理土地出让手续作了约定,不损害国家和社会公共利益,因此双方所签协议依法成立,对双方当事人具有法律约束力,任何一方未取得对方同意,都不能擅自解除该协议。@#
