When examining and handling cases regarding non-enforcement of notarized debt certificate, a people's court shall conduct comprehensive examination on whether any definite errors exist within the content of the notarized debt certificate, including examination of procedural and substantive issues; in principle, the objects of the substantive examination shall be confined to the notarized debt certificate that has been granted compulsory enforcement effect, rather than the underlying facts on the formation of such a certificate.
 
人民法院在审查处理不予执行公证债权文书的案件时,应当全面审查公证债权文书的内容是否确有错误,包括审查程序问题和实体问题;实体审查的对象原则上应限定于被赋予强制执行效力的公证债权文书本身,而不涉及公证债权文书形成的基础事实。

The reconsideration applicant, Chongqing Deyi Real Estate Development Co., Ltd. (hereinafter referred to as “Deyi Company”) filed an application for reconsideration with the Supreme People's Court, as Deyi Company objected to the ruling of enforcement (No. 33 [2010], Enforcement Objection, Higher People's Court of Chongqing Municipality) made by the Higher People's Court of Chongqing Municipality (hereinafter referred to as “Chongqing Higher Court”). The Supreme People's Court formed a collegial panel according to law to review the case, and the review of the case has now been concluded.
 
申请复议人重庆德艺房地产开发有限公司(以下简称德艺公司)不服重庆市高级人民法院(以下简称重庆高院)(2010)渝高法执异字33号执行裁定书,向本院申请复议。本院依法组成合议庭进行了审查,现已审查终结。

The Supreme People's Court found that:
 
本院查明:

On November 24, 2003, the Heping Road Sub-branch of the Commercial Bank of Chongqing Municipality (hereinafter referred to as “Heping Road Commercial Bank”) signed a Loan Contract with Deyi Company, stipulating that the former shall offer a new loan of 189,180,000 yuan to Deyi Company from November 28, 2003 to November 28, 2004 in order for Deyi Company to repay its old loan to Heping Road Commercial Bank. On March 20, 2008, Chongqing Guodi Asset Management Co., Ltd. (hereinafter referred to as “Guodi Company”) entered into a Repayment Agreement with Deyi Company and Chongqing Hengtong Real Estate Development Co., Ltd. (hereinafter referred to as “Hengtong Company”), stating that: Deyi Company was offered a loan of 189,180,000 yuan on November 28, 2003 from Heping Road Commercial Bank; the loan was guaranteed by Hengtong Company with floors three to five of a store as a collateral, the store being owned by Hengtong Company, covering a total area of 17,915.76 square meters and located on Ping Street at No. 51 Minquan Road, Yuzhong District; the aforesaid claim and rights subordinated to the claim (including collateral) were assigned to Guodi Company; and neither Deyi Company nor Hengtong Company raised any objection to the aforementioned claim assignment. By March 20, 2008, Deyi Company still owed Guodi Company payment of principal in the amount of 189,180,000 yuan and interest in the amount of 71,698,624.29 yuan. On July 31, Deyi Company, of its own free will, paid off the 189,180,000 yuan in principal owed to Guodi Company and concurrently paid off the interest. If Deyi Company did not pay off the entire principal and interest within the agreed time limit, Hengtong Company was to accept enforcement of collateral by the people's court unconditionally. Guodi Company, Deyi Company and Hengtong Company filed an application to notarize the Repayment Agreement on March 24, 2008. On the same day, Yuzhong Notary Office of Chongqing Municipality issued a notary certificate (No. 650 [2008] Yuzhong Certificate), certifying the enforceability of the Repayment Agreement. As Deyi Company failed to perform its repayment obligation as stipulated in the Repayment Agreement within the time limit, upon the request of Guodi Company, the Yuzhong Notary Office of Chongqing Municipality then issued an Enforcement Certificate (No. 3535 [2008] Yuzhong Certificate) on December 30, 2008. With the Notary Certificate and the Enforcement Certificate mentioned above, Guodi Company filed an application for enforcement with the Chongqing Higher Court, and the Chongqing Higher Court filed the enforcement on January 7, 2009. Subsequently, due to the claim assignment by Guodi Company, the Chongqing Higher Court, upon the application of Guodi Company, changed Chongqing Huaxin Asset Management Co., Ltd. as the enforcement applicant.
 
2003年11月24日,重庆市商业银行和平路支行(以下简称和平路商行)与德艺公司签订了《借款合同》,约定和平路商行向德艺公司提供借款18 918万元,用于德艺公司归还旧贷款,借款期限自2003年11月28日至2004年11月28日。2008年3月20日,重庆市国地资产管理有限公司 (以下简称国地公司)与德艺公司、重庆恒通房地产开发有限公司(以下简称恒通公司)签订《还款协议》,协议载明:德艺公司于2003年11月28日向和平路商行借款 18 918万元,该借款由恒通公司以其位于渝中区民权路51号平街3、4、5层商场共计17 915.76平方米作为抵押物提供担保,上述债权及债权项下的权利(含抵押权)转让给国地公司,德艺公司、恒通公司对上述债权转让事项无异议。截止2008年3月20日,德艺公司尚欠国地公司人民币 18 918万元本金和71 698 624.29元利息,德艺公司自愿于2008年7月31日还清所欠国地公司的债权本金18 918万元,利随本清。如德艺公司未按约定期跟清偿全部本息,恒通公司五条件接受人民法院对其抵押物的强制执行。2008年3月24日,国地公司、德艺公司、恒通公司申请对《还款协议》进行公证。同日,重庆市渝中公证处出具了(2008)渝中证字第650号公证书,赋予该《还款协议》以强制执行效力。因德艺公司逾期未履行《还款协议》约定的还款义务,经国地公司申请,重庆市渝中公证处于2008年12月30日出具了(2008)渝中证字第3535号执行证书,国地公司依据上述公证书及执行证书向重庆高院申请执行,该院于2009年1月7日立案执行。后因国地公司将该债权转让,重庆高院依其申请于2009年5月22日变更重庆华信资产管理有限公司为本案申请执行人。

In the process of enforcement, the enforcee, Deyi Company, filed an application for non-enforcement of the Enforcement Certificate (No. 3535 [2008] Yuzhong Certificate) on June 18, 2009. On October 19, 2009, the Chongqing Higher Court made a ruling on enforcement (No. 81 [2009] Enforcement Objection, Higher People's Court of Chongqing Municipality), dismissing the application. On August 24, 2010, Deyi Company raised an objection to enforcement with the Chongqing Higher Court, claiming that an definite error existed in the Enforcement Certificate on which the ruling on enforcement (No. 81 [2009] Enforcement Objection, Higher People's Court of Chongqing Municipality) had been made and that the finding of facts in the ruling were unclear, and requested that the ruling be revoked and a ruling be made for non-enforcement of the Enforcement Certificate (No. 3535 [2008] Yuzhong Certificate).

在执行中,被执行人德艺公司于2009年6月18日申请对(2008)渝中证字第 3535号执行证书不予执行。2009年10月 19日,重庆高院作出(2009)渝高法执异字第81号执行裁定,驳回其申请。2010年8月24日,德艺公司向重庆高院提出执行异议,认为(2009)渝高法执异字第81号执行裁定依据的执行证书确有错误,认定事实不清,请求撤销该裁定,并请求裁定对 (2008)渝中证字第3535号执行证书不予执行。
