The plaintiffs Nanchang District Real Estate Company of Wuxi City, Jiangsu Province (hereinafter referred to as Nanchang Co.), Shanghai Pudong State-owned Assets Investment Management Co. Ltd. (hereinafter referred to as Pudong Co.) and the defendant - Guangdong Hengtong Group Stock Co. Ltd. (hereinafter referred to as Hengtong Co.) were shareholders of New Jiangnan Industrial Stock Co. Ltd. of Wuxi, Jiangsu Province (hereinafter referred to as New Jiangnan Co.). Among the capital stocks of 800 million yuan of New Jiangnan Co., Hengtong Co. held of 44 million yuan of shares, it was the leading stockholder of New Jiangnan Co.; Nanchang Co. held 14.5 million yuan, Pudong Co. 4 million yuan, some minority stockholders the other shares. Henghong Co. appointed Zhang Shaojie as the chairman of the board of directors of New Jiangnan Co., the legal representative, and appointed Shi Guixiang, who was nominated by Zhang Shaojie, as the general manager of this company.
 
原告江苏省无锡市南长区房地产经营公司(以下简称南长公司)、上海浦东国有资产投资管理有限公司(以下简称浦东公司)和被告广东恒通集团股份有限公司(以下简称恒通公司),都是第三人江苏省无锡新江南实业股份有限公司(以下简称新江南公司)的股东。在新江南公司8000万元的股本金中,恒通公司持有4400万元的股份,为新江南公司的控股股东;南长公司持有1450万元股份,浦东公司持有400万元股份,其余股份由各小股东占有。恒通公司派张少杰出任新江南公司的董事长、法定代表人,并由张少杰提名任命恒通公司的石桂祥为新江南公司总经理。

On August 20, 1998 defendant Hengtong Co. and a third Party, New Jiangnan Co. signed The Agreement on Dealing with Creditor's Rights and Debts, which affirmed that by June 30, 1998, Hengtong Co. had owed New Jiangnan Co. 397.1 million yuan. Hengtong Co. will offset its debts to New Jiangnan Co. through fixing a price of 40.352 million yuan for its No.13 workshop, No.9, No.10 and No.12 dormitory buildings, 89, 797.04 square meters in total. The remaining sum after offsetting the houses against the debts is 642,784 yuan, which will be used as the fee of changing the name of the owner of the houses in register.
 
1998年8月20日,被告恒通公司和第三人新江南公司签订了一份《债权债务处理协议书》,确认至1998年6月30日,恒通公司欠新江南公司3971万元。恒通公司以其在深圳上水径工业区的第13号厂房,第9号、第10号、第12号宿舍楼等共计17897.04平方米的房产,作价40352784元给新江南公司冲抵债务,房产与债务冲抵后的余额642784元,作为房产过户费用。

After the agreement had been signed, and as No.13 workshop was sealed up by the Higher People's Court of Hainan Province, Hengtong Co. changed the name of the owner of the other houses to New Jiangnan Co. in register. On May 6, 1999 the Fourth Meeting of the Second Board of Directors of New Jiangnan Co. decided to instruct the management to make an appraisal of the houses that Hengtong Co. used for offsetting its debts. If reappraised value of the houses is less than that of the original appraisal, Hengtong Co.'s stock right will be used for offset. Under the entrustment of New Jiangnan Co., Wuxi Hengmao Real Estate Intermediary Appraisal Company (hereinafter referred to as Hengmao Company) made an appraisal, upon which the houses that Hengtong Co. used to offset its debts were worth of 25.1,688 million yuan. Accordingly, the minority stockholders of New Jiangnan Co. held that Hengtong Co., by taking advantage of assuming the positions of chairman of the board of directors and general manager of New Jiangnan Co., fixed a price of 40.35 million yuan for the houses which were worth of a mere 25.1,688 million yuan in order to offset the debts it owed to New Jiangnan Co. Its act impaired the interests of New Jiangnan Co. and of their own. So they decided to file a lawsuit against Hengtong Co. for its infringement of their interests. However, because Hengtong Co. was the leading stockholder of New Jiangnan Co., the latter failed to make a decision of filing a lawsuit against Hengtong Co., thus the minority stockholders authorized Nanchang Co. and Pudong Co. as their representatives to institute an action against Hengtong Co. During the period of litigation, Hengtong Co. raised an objection to Hengmao Company's appraisal report. Thus the Court authorized Shenzhen Hongsha Real Estate Trading Appraisal Co. Ltd. (hereinafter referred to as Hongsha Co.) to make a reappraisal. Hongsha Co. did so by reference to the trigger price of August 20, 1998 (the date on which Hengtong Co. and New Jiangnan Co. signed the agreement). Deducting the house property that had been sealed up by the Higher People's Court of Hainan Province and of which the ownership had been executed belonged to others, the assessed price of the other houses that Hengtong Co. used for offsetting the debts it owed to New Jiangnan Co. was 1.1,974 million yuan. The appraisal fee that Nanchang Co. and Pudong Co. had paid and should be refunded by Hengtong Co. was 19,800 yuan.

协议签订后,因第13号厂房被海南省高级人民法院查封,被告恒通公司将其他房产过户给第三人新江南公司。1999年5月6日,新江南公司第二届四次董事会决议:责成经营班子对恒通公司抵债的房产组织评估。评估后如价值缩水,以恒通公司的股权冲抵。新江南公司委托无锡恒茂房地产中介评估行(以下简称恒茂行)进行了评估。经评估,恒通公司的抵债房产,价值为2516.88万元。据此,新江南公司的非控股股东认为:恒通公司利用担任新江南公司董事长、总经理的优势地位,将评估价值仅为2516.88万元的房产,作价4035万余元给新江南公司抵债,损害了新江南公司和他们的利益,遂决定起诉恒通公司侵权。但由于恒通公司是新江南公司的控股股东,新江南公司无法在董事会上形成起诉恒通公司的决议,非控股股东遂委托南长公司、浦东公司作为他们的代表,对恒通公司提起侵权诉讼。诉讼期间,恒通公司对恒茂行的评估报告提出异议,法院又委托深圳市宏厦房地产交易评估有限公司(以下简称宏厦公司)重新评估。宏厦公司以1998年8月20日(即恒通公司与新江南公司签订协议之日)的基准价进行了评估。扣除已被海南省高级人民法院查封并已执行给他人所有的房产,其余恒通公司给新江南公司抵债的房产,评估价为119.74万元。此次的评估费用19800元, 由南长公司、浦东公司垫付。
