1. Case Summary (一)案情摘要
On September 15, 2003, respondents Fujian Mawei Shipbuilding Co., Ltd. (hereinafter referred to as “Mawei Company”) and Fujian Shipbuilding Industry Group Company Limited (hereinafter referred to as “Fujian Shipbuilding Group”), as joint sellers, entered into an Option Agreement on shipbuilding with Restis Group of Greece in First Investment Corp. registered in the Republic of the Marshall Islands (hereinafter referred to as “FIC”), which stipulated that: The respondents irrevocably agreed to enter into an Option Shipbuilding Contract with FIC or the designated persons thereof for a maximum of eight vessels. Any dispute arising from the Agreement or related thereto should be submitted to arbitration in London; the arbitration procedure, including the enforcement of arbitration award, should be based on the UK Arbitration Act 1996 or any currently effective amended or revised provisions thereto or thereof and the effective rules of the London Maritime Arbitrators Association at the time (hereinafter referred to as the “LMAA Rules”); and both parties should each designate one arbitrator and these two designated arbitrators should select the third arbitrator. Afterwards, FIC declared that eight option ships took effect before the announcement deadline as agreed upon in the Option Agreement, required the respondents to enter into the Option Shipbuilding Contract on such eight ships with eight single-ship companies it designated, and sent the contract text it provided by mail and required the respondents to sign it; however, neither respondents signed it within the prescribed time limit. On June 4, 2004, FIC and the eight designated companies initiated arbitration in London, the UK, required both respondents to jointly and severally pay 45.40 million USD for their business losses and interest thereof, and designated Bruce Harris as the arbitrator. The respondents designated Wang Shengchang as the arbitrator. Bruce Harris and Wang Shengchang jointly designated Martin Hunter as the third arbitrator. Upon two hearings, on January 21, 2006, Martin Hunter, as the chief arbitrator, made the first draft of the arbitration award and delivered it to both Wang Shengchang and Bruce Harris for review. On February 16, 2006, Wang Shengchang submitted the draft with his qualified opinions. On March 20, 2006, Wang Shengchang was under criminal detention by No. 1 Branch of the Tianjin Municipal People's Procuratorate because he was suspected of committing a crime and was arrested with approval of this Branch on March 31, 2006. After he was under criminal detention, Wang Shengchang had no contact with Martin Hunter and Bruce Harris, he failed to view the second draft of the arbitration award Martin Hunter sent to him on March 25, 2006 and the final draft sent on March 31, and his involvement in this case ended on the aforesaid sending of his “opinions” on the first draft of the arbitration award. In accordance with the provisions of item (e), Article 8 of the LMAA Rules that “after the appointment of the third arbitrator, the decision, ruling, or arbitration award shall be made by all or the majority of arbitrators,” Martin Hunter and Bruce Harris signed the date in the arbitration award and publish it by means of opinions of the majority arbitrators of the arbitration tribunal. In the arbitration award, the respondents should pay FIC claims of 26.40 million USD and the interest and compound interest thereof. On December 15, FIC filed an application with the Xiamen Maritime Court and requested the Court to recognize the legal force of this arbitration award within the territory of the People's Republic of China in accordance with the New York Convention on the Recognition and Enforcement of Foreign Arbitration Awards (hereinafter referred to as the “New York Convention”) and enforce it.

 2003年9月15日,被申请人福建省马尾造船股份有限公司(以下简称马尾公司)和被申请人福建省船舶工业集团公司(以下简称福船集团)作为联合卖方,与希腊雷斯缔斯集团在马绍尔群岛共和国注册的第一投资公司(以下简称FIC)签订了关于船舶建造的《选择权协议》,约定:两被申请人不可撤销地同意与FIC或其指定人签订最多8艘船的《选择船建造合同》。因协议产生的或与之有关的任何争议应在伦敦提交仲裁;仲裁程序、包括仲裁裁决的执行应依据《1996年英国仲裁法》或其任何当前生效的修订或重订规定以及伦敦海事仲裁员协会当时的生效规则(以下简称LMAA规则);双方各指定一名仲裁员,并由指定的该两名仲裁员挑选第三名仲裁员。此后,FIC在《选择权协议》约定的声明期限内宣布8艘选择船生效,要求被申请人与其指定的8家单船公司签订8艘船的《选择船建造合同》,并寄送其提供的合同文本要求签署,但两被申请人未在期限内签署。FIC及8家被指定公司于2004年6月4日在英国伦敦提起仲裁,要求两被申请人连带赔偿其4540万美元的商业损失及利息,并指定哈利斯为仲裁员。被申请人指定王生长为仲裁员。哈利斯和王生长共同指定马丁·亨特为第三名仲裁员。经过两次听证,2006年1月21日,首席仲裁员马丁·亨特作出该案仲裁裁决的第一稿,并分发给王生长和哈利斯审阅。2006年2月16日,王生长提交了其保留意见的草稿。2006年3月20日因涉嫌犯罪王生长被天津市人民检察院第一分院刑事拘留,并于2006年3月31日被该院批准逮捕。王生长自其被刑事拘留后,即与马丁·亨特和哈利斯未再发生任何联系,其未能看到马丁·亨特2006年3月25日发给他的裁决第二稿和3月31日的定稿,其对该案的参与截止于上述对裁决第一稿发出的“意见草稿”。马丁·亨特及哈利斯根据LMAA规则第八条第(e)项规定“在任命了第三名仲裁员之后,决定、裁定和仲裁裁决应由全体或多数仲裁员作出”,于2006年6月19日在裁决上签署日期并以仲裁庭多数仲裁员意见的方式公布了仲裁裁决,裁决被申请人应向FIC支付赔偿金2640万美元及此款利息和复息。FIC于2006年12月5日向厦门海事法院提出申请,请求依据《承认与执行外国仲裁裁决公约》(以下简称《纽约公约》)承认该仲裁裁决在中华人民共和国境内具有法律效力并予以执行。
