 ——名称与内容不一致时合同性质的认定

 裁判要旨
 要确认合同效力首先必须明确合同的性质。当合同性质发生争议时,应从合同内容、特征及主要条款等加以理解和识别,而不能以合同“名称”为准。
 案情
 原告何尧顺经竞价取得绥北社区综合大楼的租赁权,2006年10月16日,原告何尧顺与漳浦县绥安镇绥北社区居民委员会(以下简称绥北社区)签订《房屋租赁合同》,租赁期限自2007年5月1日起至2017年4月30日止。
 2006年10月30日,原告何尧顺与被告郑爱琴签订《酒店合作经营合同》,合作期限自2007年5月1日起至2017年4月30日止。合同约定:何尧顺以享有的上述楼房租赁权提供合作条件,郑爱琴以投资酒店相关经营费用提供合作条件,若郑爱琴延迟三个月以上未付款的,何尧顺有权提前解除本合同。同日,何尧顺将该合同文本报送原出租方绥北社区,绥北社区对何尧顺的行为予以确认。
 合同签订后,郑爱琴在何尧顺安装电梯等设施的同时即对租赁物进行装饰装修,随后郑爱琴办理相关手续后进行经营至今。在经营期间,郑爱琴以何尧顺的名义陆续向绥北社区缴交租金人民币1486171.04元,自2011年12月15日后未再支付余款给何尧顺。
