| | 上诉人浙江省地勘实业发展有限公司（以下简称地勘公司）因与被上诉人台州市鑫龙矿业有限公司（以下简称鑫龙公司）探矿权转让合同纠纷管辖权异议一案，不服台州市中级人民法院（2014）浙台商初字第4号民事裁定，向本院提出上诉。本院依法组成合议庭，审理了本案。本案现已审理终结。 |
| | 原审裁定认为：涉案合同第二十三条约定发生争议“向该探矿权登记管理机构所在地仲裁机构提请仲裁，或提起法律诉讼”，根据最高人民法院《关于适用﹤中华人民共和国仲裁法﹥若干问题的解释》第七条的规定，当事人约定争议可以向仲裁机构申请仲裁也可以向人民法院起诉的，仲裁协议无效，但有关诉讼管辖的约定并不当然无效。而双方约定的“探矿权登记管理机构所在地”法院并非与争议有实际联系地点的法院，故该协议管辖条款亦为无效。本案应由被告住所地或者合同履行地人民法院管辖。双方约定转让的探矿权所涉矿区位于天台县南屏乡，故合同履行地在天台县，台州市中级人民法院依法对本案享有管辖权。地勘公司对本案提出的管辖权异议不能成立，应予驳回。 |
