天府可乐浓缩液乙料的成分、配方及其生产工艺是属于天府可乐配方中的核心部分，原为中国天府可乐集团公司（重庆）（以下简称天府可乐集团）的前身重庆饮料厂与四川省中药研究所合作研究生产，双方均采取了保密措施，后天府可乐集团给付后者25万元人民币而成为该技术成果的权利人。天府可乐集团与美国百事公司的子公司肯德基国际控股公司于1994年1月签订合资合同，合资设立重庆百事天府饮料有限公司（以下简称百事天府公司），约定了双方出资、合资公司生产天府可乐饮料和浓缩液、天府商标作价人民币350万元转让给合资公司并就此另行签订合同、纠纷协商不能解决则提交仲裁等内容。1994年8月，经验资报告验证，天府可乐集团投入百事天府公司的资本包括土地使用权、房屋及建筑物、机器设备。百事天府公司使用天府可乐配方及生产工艺生产天府可乐饮料及浓缩液，并将其视为商业秘密，天府可乐集团知悉该使用。2006年3月，天府可乐集团签订协议将其持有的全部股权转让给百事（中国）投资有限公司，并约定纠纷协商不能解决则提交仲裁。天府可乐集团起诉请求法院确认天府可乐配方及其生产工艺商业秘密属于其所有，判决百事天府公司立即停止使用涉案商业秘密，立即归还涉案商业秘密的技术档案，判决两被告共同赔偿其损失100万元。@#
