| The Government of the People's Republic of China and the Government of Barbados (hereinafter referred to as the Contracting Parties). | | 中华人民共和国政府和巴巴多斯政府（以下称“缔约双方”），为缔约双方的投资者在缔约另一方领土内的投资创造有利条件，认识到相互鼓励、促进和保护这种投资将有助于促进投资者的积极性和增进两国的繁荣，愿在平等互利的基础上，加强两国间的经济合作，达成协议如下: |
Desiring to create favourable conditions for greater investment by investors in the territories of the Contracting Parties; | |

Recognising that the reciprocal encouragement, promotion and protection of such investments will be conducive to the stimulation of individual business initiative and will increase prosperity in both States; | | 第一条定义 |
Desiring to intensify the economic co-operation of both States on the basis of equality and mutual benefit; | |
本协定内: |
Hereby agree as follows: | |
一、“投资”一词,系指缔约一方投资者依照缔约另一方的法律、法规在缔约另一方领土内投入的各种财产,主要包括,但不限于,下列各项: |

(一)动产、不动产及其他财产权利,包括抵押权、留置权和质权; |
| Article 1 nbsp; Definitions | |
(二)公司的股份、股票、债券和其他任何形式的参股; |
For the purposes of this Agreement: | |
(三)金钱请求权和合同项下具有经济价值的其他行为请求权; |
1. The term "investment" means every kind of asset invested by investors of one Contracting Party in accordance with the laws and regulations of the other Contracting Party in the territory of the latter, and in particular, though not exclusively, includes: | |
(四)知识产权、商誉、工艺流程和专有技术; |
(a) movable and immovable property and any other property rights such as mortgages, liens and pledges; | |
(五)依法或根据合同取得的特许权,包括勘探和开发自然资源的特许权。 |
(b) shares, stocks, debentures and any other kind of participation in companies; | |
二、“投资者”一词 |
(c) claims to money or to any other performance under contract having an economic value; | |
(一)在中华人民共和国方面,系指: |
(d) intellectual property rights, goodwill, technical processes and know-how; and | |
1.依据中华人民共和国法律具有中国国籍的自然人; |
(e) concessions conferred by law or under contract, including concessions to search for or exploit natural resources. | |
2.依据中华人民共和国法律、法规设立,其住所在中华人民共和国领土内的经济实体; |
2. The term "investors" means | |
(二)在巴巴多斯方面,系指: |
(a) in respect of the People's Republic of China: | |
1.依据巴巴多斯法律具有巴巴多斯国籍的自然人; |
(i) natural persons who have the nationality of the People's Republic of China in accordance with its laws; | |
2.依据巴巴多斯有关法律设立或组成,其住所在巴巴多斯领土内并在缔约另一方领土内进行投资的企业。 |
(ii) economic entities established in accordance with the laws of the People's Republic of China and domiciled in the territory of the People's Republic of China; | |
三、“住所”一词: |
(b) in respect of Barbados: | |
(一)住所在中华人民共和国,系指该经济实体在该国领土内受到有效管理和控制; |
(i) natural persons who have the nationality of Barbados in accordance with its laws; or | |
(二)住所在巴巴多斯,系指该企业在该国领土内受到有效管理和控制。 |
(ii)any enterprise incorporated or duly constituted in accordance with the applicable laws of Barbados and domiciled in the territory of Barbados. | |
四、“当地行政复议程序”一词,系指缔约一方投资者在缔约另一方领土内据以获得当地行政救济的行政程序。 |
Who makes an investment in the territory of the other Contracting Party. | |
五、“收益”,是指由投资所产生的款项,包括利润、股息、利息、提成费和其他合法收入。 |
3. The term "domiciled" | |
|
(a) in the People's Republic of China means having the economic entities effectively managed and controlled in that territory; and | | 第二条投资促进 |
(b) in Barbados means having the enterprise effectively managed and controlled in that territory | |
一、缔约一方应当鼓励缔约另一方的投资者在其领土内投资,并依照其法律、法规接受此种投资。 |
4. The term "local administrative review procedure" means the administrative procedures through which an investor of a Contracting Party may obtain a local administrative remedy in the territory of the other Contracting party. | |
二、缔约一方应当为在其领土内从事与投资有关活动的缔约另一方国民获得签证和工作许可提供帮助和便利。 |
5. The term "returns" means the amounts yielded by investments such as profits, dividends, interest, royalties or other legitimate income. | |

| | 第三条投资保护 |
| Article 2 nbsp; Promotion of Investments | |
一、缔约一方的投资者在缔约另一方领土内的投资和与投资有关的活动应当受到公正与公平的待遇和保护。 |
1. Each Contracting Party shall encourage investors of the other Contracting Party to make investments in its territory and admit such investments in accordance with its laws and regulations. | |
二、本条第一款所称待遇和保护,不得低于缔约另一方给予任何第三国投资者的投资和与投资有关活动的待遇和保护。 |
2. Each Contracting Party shall grant assistance in and provide facilities for obtaining visas and work permits to nationals of the other Contracting Party to or in the territory of the former in connection with activities associated with such investments. | |
三、本条第一款和第二款所称待遇和保护,不应包括缔约另一方依照关税同盟、自由贸易区、经济联盟、避免双重征税协定或者为了方便边境贸易对第三国投资者的投资和与投资有关活动给予的任何优惠待遇。 |

| Article 3 nbsp; Protection of Investments | | 第四条征收 |
1. Investments and activities associated with investments of investors of either Contracting Party shall be accorded fair and equitable treatment and shall enjoy protection in the territory of the other Contracting Party. | |
一、缔约一方不应对缔约另一方投资者在其领土内的投资采取征收、国有化或者其他类似措施(以下统称征收),除非符合下列条件: |
2. The treatment and protection referred to in paragraph 1 of this Article shall not be less favorable than that accorded to investments and activities associated with such investments of investors of a Third State. | |
(一)为了公共利益; |
3. The treatment and protection as mentioned in paragraph 1 and 2 of this Article shall not include preferential treatment accorded by the other Contracting Party to investments of investors of a Third State based on customs union, free trade zone, economic union, agreement relating to avoidance of double taxation or for facilitating frontier trade. | |
(二)依照国内法定程序; |

(三)所采取的措施是非歧视性的; |
| Article 4 nbsp; Expropriation | |
(四)给予补偿。 |
1. Neither Contracting Party shall expropriate, nationalize or take similar measures (hereinafter referred to as "expropriation") against investments of investors of the other Contracting Party in its territory unless the expropriation is done: | |
二、本条第一款第(四)项所称补偿,应等于征收或即将进行的征收为公众知晓的前一刻被征收的投资的市场价值。如该市场价值不能确定时,补偿应以普遍接受的估价原则,尤其要考虑投入的资本、折旧、已汇出资本、重置价值以及其他因素予以确定。该补偿应包括自征收之日到支付之日按适用于初始投资所用货币的通用商业贷款利率计算的利息,补偿的支付不应不合理迟延,应能够有效实现和自由转移。 |
(a) in the public interests; | |
三、任何受征收影响的投资者根据实行征收缔约一方的法律,应有权要求该缔约方的司法或其它独立机构,根据本条第二款规定的原则,对其案件或其投资的估价进行复审。
