| The relevant departments of the CPC Central Committee; all ministries and commissions of the State Council and all institutions directly under the State Council; the General Office of the NPC Standing Committee; the General Office of the Chinese People's Political Consultative Conference; the Supreme People's Court; the Supreme People's Procuratorate; the central committees of all democratic parties; relevant people's organizations; relevant central enterprises; the public finance departments (bureaus) of all provinces, autonomous regions, municipalities directly under the Central Government, and cities under separate state planning; and the Financial Bureau of Xinjiang Production and Construction Corps: | | 党中央有关部门，国务院各部委、各直属机构，全国人大常委会办公厅，全国政协办公厅，最高人民法院，最高人民检察院，各民主党派中央，有关人民团体，有关中央管理企业，各省、自治区、直辖市、计划单列市财政厅（局），新疆生产建设兵团财政局： |
| For the purposes of implementing the requirements for the reform of “simplification of administrative procedures, decentralization of powers, combination of decentralization with appropriate control, and optimization of services,” further increasing authorizations in the administration of state-owned assets related to the transformation of scientific and technological achievements of central research and development institutions and institutions of higher learning established by the state, implementing the innovation-driven development strategy, promoting the transfer and transformation of scientific and technological achievements, and supporting scientific and technological innovations, you are hereby notified of the relevant matters as follows: | | 为贯彻“放管服”改革要求，进一步加大国家设立的中央级研究开发机构、高等院校科技成果转化有关国有资产管理授权力度，落实创新驱动发展战略，促进科技成果转移转化，支持科技创新，现就有关事项通知如下： |
| I. Increasing authorizations and simplifying administration procedures | | 一、加大授权力度，简化管理程序 |
| (1) Central research and development institutions and institutions of higher learning may make independent decisions on the assignment, licensing, or investment as a trade-in of scientific and technological achievements they hold, and are not required to report to the competent departments and the Ministry of Finance for approval or recordation, except that the scientific and technological achievements involve state secrets, national security, or key and core technologies. The competent departments of central research and development institutions and institutions of higher learning shall be authorized to approve the assignment, licensing, or investment as a trade-in of scientific and technological achievements involving state secrets, national security, or key and core technologies according to the provisions of the relevant confidentiality system of the state, and file a written official reply with the Ministry of Finance within 15 working days from the date when the official reply is given. | | （一）中央级研究开发机构、高等院校对持有的科技成果，可以自主决定转让、许可或者作价投资，除涉及国家秘密、国家安全及关键核心技术外，不需报主管部门和财政部审批或者备案。涉及国家秘密、国家安全及关键核心技术的科技成果转让、许可或者作价投资，授权中央级研究开发机构、高等院校的主管部门按照国家有关保密制度的规定进行审批，并于批复之日起15个工作日内将批复文件报财政部备案。 |
(2) Where the competent departments of central research and development institutions and institutions of higher learning are authorized to handle the administration matters such as the assignment, gratuitous transfer or external investment of state-owned equities formed from the investment as a trade-in of scientific and technological achievements, it is not required to be reported to the Ministry of Finance for approval or recordation. The companies incorporated into the centralized and unified regulation of state-owned capital investment and operation companies shall, according to the requirements for the authorization of transformation of scientific and technological achievements, simplify the procedures for the management of and decision-making on state-owned equities formed from the investment as a trade-in of scientific and technological achievements, and actively support the transformation of scientific and technological achievements and scientific and technological innovations.
．．．．．． | | （二）授权中央级研究开发机构、高等院校的主管部门办理科技成果作价投资形成国有股权的转让、无偿划转或者对外投资等管理事项，不需报财政部审批或者备案。纳入国有资本投资运营公司集中统一监管的，公司要按照科技成果转化授权要求，简化科技成果作价投资形成的国有股权管理决策程序，积极支持科技成果转化和科技创新。
