The Decision of the Standing Committee of the National People's Congress about Amending the Securities Law of the People's Republic of China was adopted at the 11th session of the standing committee of the 10th national people's congress of the People's Republic of China on August 28, 2004. It is hereby promulgated and shall come into effect as of the date of promulgation. | |
《全国人民代表大会常务委员会关于修改〈中华人民共和国证券法〉的决定》已由中华人民共和国第十届全国人民代表大会常务委员会第十一次会议于2004年8月28日通过，现予公布，自公布之日起施行。 |

The 11th session of the Standing Committee of the 10th National People's Congress of the People's Republic of China decides to amend the Securities Law of the People's Republic of China as follows: | |
第十届全国人民代表大会常务委员会第十一次会议决定对《中华人民共和国证券法》作如下修改： |

| Article 28 8 shall be amended as “Where a stock is issued at a premium, the issuing price shall be determined by the issuer and the underwriting securities company through negotiation.” | | 一、第二十八条修改为：“股票发行采取溢价发行的，其发行价格由发行人与承销的证券公司协商确定。” |
| |
|
| Article 50 0 shall be amended as “Where a company applies for listing its bonds, it shall be subject to approval in accordance with legal conditions and legal procedures.” | | 二、第五十条修改为：“公司申请其发行的公司债券上市交易，由证券交易所依照法定条件和法定程序核准。” |
This Decision shall come into effect as of the date of promulgation. | |
本决定自公布之日起施行。 |
