| Article 1 These Measures are formulated in accordance with laws and regulations with a view to promoting economic cooperation with foreign countries, strengthening administration of enterprises from foreign countries (regions) (hereinafter referred to as foreign enterprises) that are engaged in production and business within the territory of China, protecting their legitimate rights and interests, and maintaining economic order. | | 第一条 为促进对外经济合作，加强对在中国境内从事生产经营活动的外国（地区）企业（以下简称外国企业）的管理，保护其合法权益，维护正常的经济秩序，根据国家有关法律、法规的规定，制定本办法。 |
| Article 2 In accordance with the provisions of relevant laws and regulations of the state, with the approval of the State Council and the competent authority authorized by the State Council (hereinafter referred to as the “approval authority”), a foreign enterprise that conducts production and business operation within the territory of China shall apply for registration to the provincial administrative department for industry and commerce (hereinafter referred to as the “competent registration authority”). The foreign enterprise may conduct production and business operation only after it has registered with the confirmation of the competent registration authority and obtains the business license. Without the approval of the approval authority and the registration confirmation of the competent registration authority, no foreign enterprise shall conduct production and business operation within the territory of China. | | 第二条 根据国家有关法律、法规的规定，经国务院及国务院授权的主管机关（以下简称审批机关）批准，在中国境内从事生产经营活动的外国企业，应向省级工商行政管理部门（以下简称登记主管机关）申请登记注册。外国企业经登记主管机关核准登记注册，领取营业执照后，方可开展生产经营活动。未经审批机关批准和登记主管机关核准登记注册，外国企业不得在中国境内从事生产经营活动。 |
| Article 3 According to the state's laws and regulations in force, foreign enterprises shall apply for registration if they are engaged in the following production and business: | | 第三条 根据国家现行法律、法规的规定，外国企业从事下列生产经营活动应办理登记注册： |
| (1) Exploration and exploitation of onshore and offshore oil and other mineral resources, | | （一）陆上、海洋的石油及其它矿产资源勘探开发； |
| (2) Contract projects for the construction and decoration of houses and civil engineering, or the installation of circuit pipelines and equipment, | | （二）房屋、土木工程的建造、装饰或线路、管道、设备的安装等工程承包； |
| (3) Operation and management of foreign-invested enterprises by contracts or authorization, | | （三）承包或接受委托经营管理外商投资企业； |
| (4) Branches established in China by foreign banks, and | | （四）外国银行在中国设立分行； |
| (5) Other production and business permitted by the State. | | （五）国家允许从事的其它生产经营活动。 |
| Article 4 When the projects for production and business conducted by foreign enterprises are approved by the examination and approval authorities, the foreign enterprises shall register with the administration departments of registration within 30 days of approval. | | 第四条 外国企业从事生产经营的项目经审批机关批准后，应在批准之日起三十日内向登记主管机关申请办理登记注册。 |
| Article 5 When the foreign enterprises apply for registration, they shall submit the following documents or certificates: | | 第五条 外国企业申请办理登记注册时应提交下列文件或证件： |
| (1) Applications signed by the chairperson of the board of directors or general manager. | | （一）外国企业董事长或总经理签署的申请书。 |
| (2) Documents and certificates approved by the examination and approval authorities. | | （二）审批机关的批准文件或证件。 |
| (3) Contract for the production and business that foreign enterprises are engaged in (branches established in China by foreign banks are not subject to this item). | | （三）从事生产经营活动所签订的合同（外国银行在中国设立分行不适用此项）。 |
| (4) Legitimate certificate of operation for enterprises issued by the governments of the countries (regions) where the foreign enterprises are from, | | （四）外国企业所属国（地区）政府有关部门出具的企业合法开业证明。 |
| (5) Certificate of capital creditability of foreign enterprises, | | （五）外国企业的资金信用证明。 |
| (6) Authorization letter issued by the China project person in-charge designated by the chairperson of the board of directors or the general manager of the foreign enterprises, his/her resume, and ID card, and | | （六）外国企业董事长或总经理委派的中国项目负责人的授权书、简历及身份证明。 |
| (7) Other relevant documents | | （七）其它有关文件。 |
Article 6 Main items about the registration of the foreign enterprises: name of enterprise, catalogue of enterprise, address, director, amount of the fund, business scope, and period of business.
