The People's Republic of China and the Kingdom of Spain (hereinafter referred to as the Contracting Parties), 中华人民共和国和西班牙王国(以下称“缔约双方”),

 
Intending to create favourable conditions for investment by investors of one Contracting Party in the territory of the other Contracting Party; 愿为缔约一方的投资者在缔约另一方境内投资创造有利条件,

 
Recognizing that the reciprocal encouragement, promotion and protection of such investment will be conducive to stimulating business initiative of the investors and will increase prosperity in both States; 认识到相互鼓励、促进和保护投资将有助于激励投资者经营的积极性和增进两国繁荣,

 
Desiring to intensify the cooperation of both States on the basis of equality and mutual benefits; 愿在平等互利的基础上加强两国间的经济合作,

 
Have agreed as follows: 达成协议如下:

 
ARTICLE 1 第一条定义

DEFINITIONS
 

 本协定内:
For the purposes of this Agreement, 

 一、“投资”一词系指缔约一方投资者依照缔约另一方的法律和法规在缔约另一方领土内所投入的各种财产,特别是,包括但不限于:
1. The term "investment" means every kind of asset invested by investors of one Contracting Party in accordance with the laws and regulations of the other Contracting Party in the territory of the latter, and in particular, though not exclusively, includes: 

 (一)动产和不动产以及任何其他财产权利如抵押权、质押权及类似权利;
a) movable and immovable property and other property rights such as mortgages, pledges and similar rights; 

 (二)公司的股份、债券、股票或其他形式的参股;
b) shares, debentures, stock and any other kind of participation in companies; 

 (三)金钱请求权或其他具有经济价值的行为请求权;
c) claims to money or to any other performance having economic value associated with an investment; 

 (四)知识产权和工业产权,特别是著作权、专利和商标、商名、工艺流程、专有技术和商誉;
d) intellectual and industrial property rights, in particular copyrights, patents, trade-marks, trade-names, technical process, know-how and good-will; 

 (五)法律或法律允许依合同授予的商业特许权,包括勘探、耕作、提炼或开发自然资源的特许权;
e) business concessions conferred by law or under contract permitted by law, including concessions to search for, cultivate, extract or exploit natural resources. 

 在缔约一方的领土内,缔约另一方的投资者依据缔约一方的法律法规,并通过其实际拥有或控制的缔约一方的公司所作的投资应同样视为缔约另一方投资者所作的投资。
Investments made in the territory of one Contracting Party by any company of that same Contracting Party which is actually owned or controlled by investors of the other Contracting Party shall likewise be considered as investments of investors of the latter Contracting Party if they have been made in accordance with the laws and regulations of the former Contracting Party. 

 作为投资的财产发生任何形式上的变化,不影响其作为投资的性质,只要该变化符合接受投资缔约一方的法律法规。
Any change in the form in which assets are invested does not affect their character as investments provided that such change is in accordance with the laws and regulations of the Contracting Party in whose territory the investment has been made. 

 二、“投资者”一词,系指:
2. The term "investor" means, 

 (一)依照缔约一方法律拥有缔约一方国籍的自然人;
a) natural persons who have the nationality of either Contracting Party in accordance with the laws of that Contracting Party; 

 (二)按照缔约一方的法律法规设立和组成,在该缔约方领土内具有住所的法律实体,包括公司、社团、合伙和其他组织。
b) legal entities, including companies, associations, partnerships and other organizations, incorporated or constituted under the laws and regulations of either Contracting Party and have their seats in that Contracting Party. 

 三、“收益”一词系指由投资所产生的款项,如利润、股息、利息、资本利得、提成费和其他合法收入。
3. The term "return" means the amounts yielded from investments, including profits, dividends, interests, capital gains, royalties, fees and other legitimate income. 

 四、“领土”一词系指缔约一方的领土,包括领土、领海及其领空,以及缔约一方根据其国内法和国际法,在其领海以外行使主权和/或管辖权的专属经济区和大陆架。
4. The term "territory" means the territory of either Contracting Party, including the land territory, territorial sea and the airspace above them, as well as the exclusive economic zone and the continental shelf that extend beyond the territorial sea over which the Contracting Party concerned exercises sovereign rights and/or jurisdiction in accordance with its domestic law and international law. 

 第二条促进和保护投资
ARTICLE 2 

PROMOTION AND PROTECTION OF INVESTMENTS
 一、缔约一方应鼓励在其境内投资的缔约另一方投资者,并为其创造有利条件,并依照其法律和法规接受这种投资。

 
1. Each Contracting Party shall encourage and create favourable conditions for investors of the other Contracting Party to make investments in its territory and admit such investments in accordance with its laws and regulations. 二、缔约一方投资者在缔约另一方境内的投资应享受持续的保护和安全。

 
2. Investments of the investors of either Contracting Party shall enjoy the constant protection and security in the territory of the other Contracting. 三、缔约一方不得对缔约另一方投资者在其境内投资的管理、维持、使用、享有和处分采取任何不合理的或歧视性的措施。

 
3. Neither Contracting Party shall take any unreasonable or discriminatory measure against the management, maintenance, use, enjoyment and disposal of the investments by the investors of the other Contracting Party. 四、缔约一方应依据其法律和法规,对在其境内从事与投资有关活动的缔约另一方国民获得签证和工作许可的申请给予善意的考虑。

 
4. Subject to its laws and regulations, either Contracting Party shall give sympathetic consideration to application for obtaining visas and working permits to nationals of the other Contracting Party engaging in activities associated with investments made in the territory of that Contracting Party. 第三条投资待遇

 
ARTICLE 3 一、缔约一方的投资者在缔约另一方的境内的投资应始终享受公平与公正的待遇。

TREATMENT OF INVESTMENT
 

 二、缔约一方应给予缔约另一方投资者在其境内的投资及与投资有关活动不低于其给予本国投资者的投资及与投资有关活动的待遇。
1. Investments of investors of each Contracting Party shall all the time be accorded fair and equitable treatment in the territory of the other Contracting Party. 

 三、缔约一方给予缔约另一方投资者在其境内的投资及与投资有关活动的待遇,不应低于其给予任何第三国投资者的投资及与投资有关活动的待遇。
2. Each Contracting Party shall accord to investments and activities associated with such investments by the investors of the other Contracting Party treatment no less favourable than that which it accords to the investments and associated activities by its own investors. 

 四、本条第二款和第三款所述的待遇,不应解释为缔约一方有义务将由下列原因产生的待遇、优惠或特权给予缔约另一方投资者及其投资:
3. Neither Contracting Party shall subject investments and activities associated with such investments by investors of the other Contracting Party to treatment less favourable than that accorded to the investments and associated activities by the investors of any third State. 

 (一)任何现存或将来的关税同盟、自由贸易区、经济联盟、货币联盟和任何建立此类联盟或类似组织的国际协定;
4. The provisions of Paragraphs 2 and 3 of this Article shall not be construed so as to oblige one Contracting Party to extend to the investors of the other Contracting Party and their investments the benefit of any treatment, preference or privilege by virtue of: 

 (二)全部或主要与税收有关的任何国际协定或国际安排,或者全部或主要与税收有关的国内法律;
a) any membership of or association with any existing or future customs union, free trade zone, economic union, monetary union and any international agreement resulting in such unions or similar institutions; 

 (三)任何便利边境地区小规模贸易的安排。
b) any international agreement or arrangement relating wholly or mainly to taxation or any domestic legislation relating wholly or mainly to taxation; 

 第四条征收与补偿
c) any arrangements for facilitating small scale frontier trade in border areas. 

 一、缔约任何一方不得对缔约另一方投资者在其领土内的投资征收、国有化或采取其他效果相同的类似措施(以下称“征收”),除非满足下述条件:
ARTICLE 4 

EXPROPRIATION
 (一)为公共利益;

 
1. Neither Contracting Party shall expropriate, nationalize or take other similar measures having equivalent effect to nationalization or expropriation (hereinafter referred to as "expropriation") against the investments of the investors of the other Contracting Party in its territory, unless the following conditions are met: (二)依照国内法律程序;

 
a) for the public interest, (三)该征收是非歧视性的;

 
b) under domestic legal procedure, (四)并且给予补偿。

 
c) without discrimination and 二、本条第一款所述的补偿,应等于采取征收或即将采取的征收为公众所知的前一刻被征收投资的市场价值,以在先者为准。该价值的确定应根据普遍承认的估价原则。补偿应当包括以正常商业利率计算的从征收发生日起到支付日之间的利息。补偿应不迟延地支付,并应可有效地兑换和自由转移。

 
d) and against compensation. 三、受影响的投资者应有权依据征收方的法律要求该缔约方的司法机构或其他独立机构根据本条条款的规定迅速审查该案件,包括其投资的价值和补偿的支付。

 
2. The compensation mentioned in Paragraph 1 of this Article shall be equivalent to the market value of the expropriated investments immediately before the expropriation is taken or the impending expropriation becomes public knowledge, whichever is earlier. The market value shall be determined in accordance with generally recognized principles of valuation. The compensation shall include interest at a normal commercial rate from the date of expropriation until the date of payment. The compensation shall be paid without delay, be effectively realizable and freely transferable. 第五条损害与损失的补偿

 
3. The investor affected shall have the right, under the law of the Contracting Party making the expropriation, to prompt review, by a judicial or other independent authority of that Contracting Party, of its case, including the valuation of its investment and the payment of compensation, in accordance with the principles set out in this Article. 一、缔约一方的投资者在缔约另一方领土内的投资,如果由于缔约后者一方领土内的战争、全国紧急状态、起义、骚乱或其他相似情形而遭受损失,缔约后者一方在恢复、赔偿、补偿和其他解决措施方面给予该投资者的待遇不应低于其给予本国或任何第三国投资者待遇,并从优适用。

 
ARTICLE 5 二、尽管有第一款规定,如果缔约一方的投资者,在第一款所述的任何情况下因以下原因遭受损失:
