| Detailed Rules for the Implementation of the Regulation of the People's Republic of China on the Administration of Foreign-Funded Insurance Companies | | 中华人民共和国外资保险公司管理条例实施细则 |
| Article 1 These Detailed Rules are developed according to the Insurance Law of the People's Republic of China and the Regulation of the People's Republic of China on the Administration of Foreign-Funded Insurance Companies (hereinafter referred to as the “Regulation”). | | 第一条 根据《中华人民共和国保险法》和《中华人民共和国外资保险公司管理条例》（以下简称《条例》），制定本细则。 |
| Article 2 For the purposes of the Regulation, “foreign insurance companies” means insurance companies that are registered outside the territory of China and provide insurance services. | | 第二条 《条例》所称外国保险公司，是指在中国境外注册、经营保险业务的保险公司。 |
| Article 3 Where a foreign insurance company forms a joint equity insurance company providing personal insurance services (hereinafter referred to as “joint equity life insurance company”) in the territory of China with a domestic company or enterprise, the proportion of foreign investment shall not exceed 51% of the total capital stocks in the company. Where there are other provisions of the China Banking and Insurance Regulatory Commission (“CBIRC”), such provisions shall prevail. | | 第三条 外国保险公司与中国的公司、企业合资在中国境内设立经营人身保险业务的合资保险公司（以下简称合资寿险公司），其中外资比例不得超过公司总股本的51%。中国银行保险监督管理委员会（以下简称银保监会）另有规定的，适用其规定。 |
| The shares directly or indirectly held by a foreign insurance company in a joint equity life insurance company shall not exceed the percentage limit prescribed in the preceding paragraph. | | 外国保险公司直接或者间接持有的合资寿险公司股份，不得超过前款规定的比例限制。 |
| Article 4 A foreign-funded insurance company shall have an insurance company operating in normal condition as major shareholder at a minimum, and a foreign-funded insurance company changing equities shall have an insurance company operating in normal condition as major shareholder at a minimum after change. | | 第四条 外资保险公司至少有1家经营正常的保险公司作为主要股东，进行股权变更的，变更后至少有1家经营正常的保险公司作为主要股东。 |
| “Major shareholder” means a shareholder holding the largest proportion of shares and other shareholders with major impact on the business operation and management of the company as prescribed by laws, administrative regulations and the CBIRC. The shareholding ratio of a shareholder and its affiliated parties and persons acting in concert shall be calculated on a consolidated basis. | | 主要股东是指持股比例最大的股东，以及法律、行政法规、银保监会规定的其他对公司经营管理有重大影响的股东。股东与其关联方、一致行动人的持股比例合并计算。 |
| Article 5 A major shareholder of a foreign-funded insurance company shall pledge not to transfer the equities held within five years from the date of obtaining the equities, which shall be specified in the bylaws of the foreign-funded insurance company, | | 第五条 外资保险公司主要股东应当承诺自取得股权之日起5年内不转让所持有的股权，并在外资保险公司章程中载明。 |
| except when risk handling is conducted with approval of the CBIRC, the CBIRC orders transfer according to the law, judicial compulsory enforcement is involved, equities are transferred between different entities under the control of a same controller, or under other special circumstances. | | 经银保监会批准进行风险处置的，银保监会责令依法转让的，涉及司法强制执行的，或者在同一控制人控制的不同主体之间转让股权等特殊情形除外。 |
| Article 6 A major shareholder of a foreign-funded insurance company intending to reduce equities held or exit the Chinese market shall perform the obligations of shareholder and guarantee that the solvency of the insurance company satisfies the supervision requirements. | | 第六条 外资保险公司主要股东拟减持股权或者退出中国市场的，应当履行股东义务，保证保险公司偿付能力符合监管要求。 |
| Article 7 The registered capital or working capital of a foreign-funded insurance company shall be paid-in capital. | | 第七条 外资保险公司的注册资本或者营运资金应当为实缴货币。 |
| Article 8 After a branch company of a foreign insurance company is formed, the foreign insurance company shall not withdraw working capital by any means. | | 第八条 外国保险公司分公司成立后，外国保险公司不得以任何形式抽回营运资金。 |
| Article 9 For the purposes of item 1, Article 8 of the Regulation, the “end of the year before an application for formation is filed” means the end of the accounting year before the date of filing an application. | | 第九条 《条例》第八条第一项所称设立申请前1年年末，是指申请日的上一个会计年度末。 |
| Article 10 For the purposes of item 5, Article 8 of the Regulation, “other prudential conditions” shall, at a minimum, include the following conditions: | | 第十条 《条例》第八条第五项所称其他审慎性条件，至少包括下列条件： |
| (1) a rational corporate governance structure; | | （一）法人治理结构合理； |
| (2) a stable risk control system; | | （二）风险管理体系稳健； |
| (3) a sound internal control system; | | （三）内部控制制度健全； |
| (4) an efficient management information system; and | | （四）管理信息系统有效； |
| (5) sound operating conditions, without any record of serious violation of laws and regulations. | | （五）经营状况良好，无重大违法违规记录。 |
| Article 11 An applicant unable to provide its business license (duplicate) required in item 2, Article 9 of the Regulation may provide a valid photocopy of the business license or a written certification on the applicant's right to provide insurance services issued by the competent authority. | | 第十一条 申请人不能提供《条例》第九条第二项要求的营业执照（副本）的，可以提供营业执照的有效复印件或者有关主管当局出具的该申请人有权经营保险业务的书面证明。 |
| Article 12 For the purposes of item 2, Article 9 of the Regulation, “certification on its satisfaction of the solvency standards issued by the competent authority of the country or region where the foreign applicant is located” shall include one of the following: | | |
| (1) In the previous accounting year of the date when the competent authority issues a certification, the solvency of the applicant satisfies the regulatory requirements of the country or region. | | （一）在有关主管当局出具证明之日的上一个会计年度，该申请人的偿付能力符合该国家或者地区的监管要求； |
| (2) In the previous accounting year of the date when the competent authority issues a certification, the applicant has no record of failing to meeting the solvency standards of the country or region. | | （二）在有关主管当局出具证明之日的上一个会计年度中，该申请人没有不符合该国家或者地区偿付能力标准的记录。 |
| Article 13 For the purposes of item 2, Article 9 of the Regulation, “opinions on its application issued by the competent authority of the country or region where the foreign applicant is located” shall include one of the following: | | 第十三条 《条例》第九条第二项所称外国申请人所在国家或者地区有关主管当局对其申请的意见书，应当包括下列内容： |
| (1) Whether the applicant's application for forming an insurance institution in China complies with the laws of the country or region. | | （一）该申请人申请在中国境内设立保险机构是否符合该国家或者地区的法律规定； |
| (2) Whether the application of the applicant is approved. | | （二）是否同意该申请人的申请； |
| (3) The records of punishments upon the applicant in the 3 years before the date when the competent authority issues opinions. | | （三）在有关主管当局出具意见之日的前3年，该申请人受处罚的记录。 |
Article 14 For the purposes of item 3, Article 9 of the Regulation, “annual statements” shall include the balance sheets, income statements and cash flow statements of the applicant for the 3 accounting years before the date of filing the application.
