Notice by the People's Bank of China, the China Banking and Insurance Regulatory Commission, the China Securities Regulatory Commission, and the State Administration of Foreign Exchange of Further Regulating Financial Marketing and Publicity Activities 

中国人民银行、中国银行保险监督管理委员会、中国证券监督管理委员会、国家外汇管理局关于进一步规范金融营销宣传行为的通知

For the purposes of implementing the decisions and arrangements of the CPC Central Committee and the State Council and the requirements of the National Financial Work Conference, further regulating the financial marketing and publicity activities of market players, protecting the legitimate rights and interests of financial consumers and promoting the sound and stable development of the financial industry, in accordance with the Law of the People's Republic of China on the People's Bank of China, the Banking Supervision Law of the People's Republic of China老婆觉得我剪头发浪费钱, the Securities Law of the People's Republic of China, the Securities Investment Fund Law of the People's Republic of China, the Insurance Law of the People's Republic of China, the Guiding Opinions of the General Office of the State Council on Strengthening the Protection of Financial Consumers' Rights and Interests (No. 81 [2015], General Office of the State Council) and other relevant regulations, the relevant matters are hereby announced as follows: 为贯彻落实党中央、国务院决策部署和全国金融工作会议要求,进一步规范市场主体金融营销宣传行为,保障金融消费者合法权益,促进金融行业健康平稳发展,根据《中华人民共和国中国人民银行法》、《中华人民共和国银行业监督管理法》、《中华人民共和国证券法爬数据可耻》、《中华人民共和国证券投资基金法》、《中华人民共和国保险法》、《国务院办公厅关于加强金融消费者权益保护工作的指导意见》(国办发〔2015〕81号)等相关规定,现就有关事项通知如下:
I. Requirements for financial marketing and publicity qualification   一、夫妻本是同林鸟金融营销宣传资质要求
Banking, securities, insurance institutions and other institutions providing financial services or finance-related services according to the law (hereinafter collectively referred to as “financial product or service providers”) shall conduct financial marketing and publicity within the scope of financial business permitted by financial regulators under the State Council and local financial regulators, and shall not carry out financial marketing and publicity activities beyond the permitted business scope. 银行业、证券业、保险业金融机构以及其他依法从事金融业务或与金融相关业务的机构(以下统称金融产品或金融服务经营者)应当在国务院金融管理部门和地方金融监管部门许可的金融业务范围内开展金融营销宣传,不得开展超出业务许可范围的金融营销宣传活动。
The financial industry is a franchise industry, and therefore engaging in financial business without business licenses or beyond the permitted business scope is not allowed. Financial marketing and publicity is an important part of financial business activities, and market entities that fail to obtain relevant financial business qualifications shall not conduct marketing and publicity activities relating to the financial business, except information release platforms and media that, entrusted by financial product or service providers having financial business qualifications in accordance with the law, carry out financial marketing and publicity activities for them. 金融行业属于特许经营行业,不得无证经营或超范围经营金融业务。金融营销宣传是金融经营活动的重要环节,未取得相应金融业务资质的市场经营主体,不得开展与该金融业务相关的营销宣传活动。但信息发布平台、传播媒介等依法接受取得金融业务资质的金融产品或金融服务经营者的委托,为其开展金融营销宣传活动的除外。
II. Division of duties of regulatory departments   二、监管部门职责分工
The financial regulators under the State Council and their branches or local offices shall, according to the division of their statutory duties, effectively supervise and administer financial marketing and publicity activities. The branches or local offices of financial regulators under the State Council shall, under the principle of problem orientation and based on the domiciles of financial product or service providers, recognize the clues to illegal financial marketing and publicity according to the law, and include the supervision and administration of financial marketing and publicity of financial product or service providers in the assessment and evaluation of the protection of the rights and interests of financial consumers. If the financial regulators under the State Council explicitly provide otherwise for the territorial supervision and administration, such provisions shall prevail. 国务院金融管理部门及其分支机构或派出机构应当按照法定职责分工,切实做好金融营销宣传行为监督管理工作。国务院金融管理部门分支机构或派出机构应当以金融产品或金融服务经营者住所地为基础,以问题导向为原则,对违法违规金融营销宣传线索依法进行甄别处理,并将金融产品或金融服务经营者的金融营销宣传监督管理情况纳入金融消费者权益保护评估评价中。国务院金融管理部门对属地监督管理另有明确规定的,从其规定。
The branches or local offices of financial regulators under the State Council shall strengthen cooperation with the relevant departments of local governments to establish and improve coordination mechanisms, and supervise financial marketing and publicity activities within their respective jurisdictions according to their respective statutory duties. If market entities conduct the marketing and publicity activities related to financial business without obtaining relevant financial business qualifications or without entrustment in accordance with the law, the relevant branches or local offices of financial regulators under the State Council shall, according to the financial business involved, strengthen communication and cooperation with relevant local government departments with a view to effectively conducting monitoring and handling according to laws and duties. 国务院金融管理部门分支机构或派出机构要与地方政府有关部门加强合作,建立健全协调机制,并根据各自的法定职责分工,监管辖区内的金融营销宣传行为。对于未取得相应金融业务资质以及未依法作为受托人的市场经营主体开展与金融业务相关的营销宣传活动的,根据其所涉及的金融业务,相关国务院金融管理部门分支机构或派出机构应当与地方政府相关部门加强沟通配合,依法、依职责做好相关监测处置工作。
Major emergencies involving financial marketing and publicity shall be handled as required by the emergency management systems of the relevant financial regulators under the State Council and local governments. 对于涉及金融营销宣传的重大突发事件,按照相关国务院金融管理部门和地方政府的应急管理制度要求进行处置。
III. Regulation of financial marketing and publicity activities   三、金融营销宣传行为规范
For the purposes of this Notice, “financial marketing and publicity activity” means any activity where a financial product or service provider publicizes or promotes financial products or services by various publicity means or methods. 本通知所称金融营销宣传行为,是指金融产品或金融服务经营者利用各种宣传工具或方式,就金融产品或金融服务进行宣传、推广的行为。
1. An internal control system and management mechanism for financial marketing and publicity shall be established and improved. A financial product or service provider shall improve the working system of financial marketing and publicity, designate the lead department, specify the responsibilities of the relevant personnel, and establish and improve an internal control system for financial marketing and publicity. It shall also include the management of financial marketing and publicity in the protection of the rights and interests of financial consumers, provide more compliance education and training on financial marketing and publicity, and improve the long-term mechanism for the management of financial marketing and publicity. (一)建立健全金融营销宣传内控制度和管理机制。金融产品或金融服务经营者应当完善金融营销宣传工作制度,指定牵头部门,明确人员职责,建立健全金融营销宣传内控制度,并将金融营销宣传管理纳入金融消费者权益保护工作,加强金融营销宣传合规专题教育和培训,健全金融营销宣传管理长效机制。
2. A mechanism for monitoring financial marketing and publicity activities shall be established and improved. A financial product or service provider shall monitor its financial marketing and publicity activities, and cooperate with the financial regulators under the State Council on the relevant work. If a financial marketing and publicity activity is found to be in violation of the provisions of this Notice during the monitoring process, the financial product or service provider shall correct it in a timely manner. (二)建立健全金融营销宣传行为监测工作机制。金融产品或金融服务经营者应当对本机构金融营销宣传活动进行监测,并配合国务院金融管理部门相关工作。如在监测过程中发现金融营销宣传行为违反本通知规定,金融产品或金融服务经营者应当及时改正。
3. The supervision over the financial marketing and publicity activities of business partners shall be strengthened. A financial product or service provider shall prudently determine the form of cooperation with business partners in accordance with the law and specify the responsibilities of the institution and its business partners in financial marketing and publicity, thus jointly ensuring the legality and compliance of relevant financial marketing and publicity activities. The financial product or service provider shall supervise the business partners' marketing and publicity activities related to the institution. Except as otherwise provided by laws, regulations and rules, a financial product or service provider shall not transfer or reduce the responsibilities that it should assume on the grounds that its business partner's financial marketing and publicity activities are not conducted by it. (三)加强对业务合作方金融营销宣传行为的监督。金融产品或金融服务经营者应当依法审慎确定与业务合作方的合作形式,明确约定本机构与业务合作方在金融营销宣传中的责任,共同确保相关金融营销宣传行为合法合规。金融产品或金融服务经营者应当监督业务合作方作出的与本机构相关的营销宣传活动。除法律、法规、规章另有规定外,金融产品或金融服务经营者不得以业务合作方金融营销宣传行为非本机构作出为由,转移、减免应承担的责任。
4. Financial marketing and publicity activities shall not be carried out illegally or beyond the scope. A financial product or service provider conducting financial marketing and publicity shall have materials capable of proving that it has legal business qualifications, so that relevant financial consumers or business partners may check them. The materials shall include, but not be limited to, the operation permit, recordation documents, self-regulatory organization qualifications and other identity and qualification information relating to financial products or services. The financial product or service provider shall ensure that financial marketing and publicity does not exceed both in form and substantially the permitted business scope stated in the above materials. (四)不得非法或超范围开展金融营销宣传活动。金融产品或金融服务经营者进行金融营销宣传,应当具有能够证明合法经营资质的材料,以便相关金融消费者或业务合作方等进行查验。证明材料包括但不限于经营许可证、备案文件、行业自律组织资格等与金融产品或金融服务相关的身份资质信息。金融产品或金融服务经营者应当确保金融营销宣传在形式和实质上未超出上述证明材料载明的业务许可范围。
5. No fraudulent or misleading marketing and publicity of financial products or services shall be permitted. False and inaccurate data and information shall not be quoted during financial marketing and publicity; restrictions shall not be concealed; no false or exaggerated statements of the past performance shall be allowed; no commitment to guarantee the future effect, earnings or related conditions of asset-management products shall be made, and principal protection, risks-free, or returns protection shall not be stated, expressly or impliedly; disguised replacement of a concept, improper analogy, implicit assumption, or any other improper marketing and publicity method shall not be used. (五)不得以欺诈或引人误解的方式对金融产品或金融服务进行营销宣传。金融营销宣传不得引用不真实、不准确的数据和资料;不得隐瞒限制条件;不得对过往业绩进行虚假或夸大表述;不得对资产管理产品未来效果、收益或相关情况作出保证性承诺,明示或暗示保本、无风险或保收益;不得使用偷换概念、不当类比、隐去假设等不当营销宣传手段。
6. Financial marketing and publicity activities shall not be carried out in a way that damages fair competition. In conducting financial marketing and publicity, one shall not viciously denigrate competitors or damage the reputation of the same trade by fabricating or spreading false facts or through other means. Financial marketing and publicity shall not be conducted by means of improper evaluation or ranking. One shall not falsely use, or use without permission, any registered trademark, brand name or publicity booklet that is identical with or similar to that of another person and may confuse financial consumers. (六)不得以损害公平竞争的方式开展金融营销宣传活动。金融营销宣传不得以捏造、散布虚假事实等手段恶意诋毁竞争对手,损害同业信誉;不得通过不当评比、不当排序等方式进行金融营销宣传;不得冒用、擅自使用与他人相同或近似等有可能使金融消费者混淆的注册商标、字号、宣传册页。
7. The government's credibility shall not be used for financial marketing and publicity. In conducting financial marketing and publicity, one shall not make use of the procedures for examination or recordation of financial products or services by financial regulators under the State Council or local financial regulators to mislead financial consumers into thinking that the aforesaid regulators guarantee the financial products or services and shall provide a way to inquire about relevant information on such financial products or services. Any financial product or service that fails to be examined by or recorded with the financial regulators under the State Council or local financial regulators shall not be publicized or promoted in advance. If the relevant laws, regulations or rules provide otherwise, such provisions shall prevail. (七)不得利用政府公信力进行金融营销宣传。金融营销宣传不得利用国务院金融管理部门或地方金融监管部门对金融产品或金融服务的审核或备案程序,误导金融消费者认为国务院金融管理部门或地方金融监管部门对该金融产品或金融服务提供保证,并应当提供对该金融产品或金融服务相关信息的查询方式;不得对未经国务院金融管理部门或地方金融监管部门审核或备案的金融产品或金融服务进行预先宣传或促销。相关法律、法规、规章另有规定的,从其规定。
8. Financial consumers' right to know shall not be prejudiced. In conducting financial marketing and publicity, one shall explain the matters involving restriction of the rights of financial consumers and aggravation of financial consumer obligations through special signs that are sufficient to attract the attention of financial consumers such as characters, symbols, fonts and colors. If financial marketing and publicity activities are carried out by means of video or audio, the warning and disclaimer information shall be disclosed in an appropriate form that enables financial consumers to pay sufficient attention and is easily accepted and understood. (八)不得损害金融消费者知情权。金融营销宣传应当通过足以引起金融消费者注意的文字、符号、字体、颜色等特别标识对限制金融消费者权利和加重金融消费者义务的事项进行说明。通过视频、音频方式开展金融营销宣传活动的,应当采取能够使金融消费者足够注意和易于接收理解的适当形式披露告知警示、免责类信息。
9. The Internet shall not be used for improper financial marketing and publicity. The use of the Internet to carry out financial marketing and publicity activities shall not affect the normal use of the Internet and mobile terminals. Applications and hardware shall not be provided or used to restrict advertisements legally operated by others and interfere with the independent choice of financial consumers. If a financial marketing advertisement is published in the form of, say, a pop-up page, the “close” mark shall be conspicuously indicated to ensure the advertisement is closed by only one click. Practitioners shall not be allowed to edit, send or republish financial marketing and publicity information that has not been examined by relevant financial product or service providers. (九)不得利用互联网进行不当金融营销宣传。利用互联网开展金融营销宣传活动,不得影响他人正常使用互联网和移动终端,不得提供或利用应用程序、硬件等限制他人合法经营的广告,干扰金融消费者自主选择;以弹出页面等形式发布金融营销宣传广告的,应当显著标明关闭标志,确保一键关闭;不得允许从业人员自行编发或转载未经相关金融产品或金融服务经营者审核的金融营销宣传信息。
10. Financial marketing and publicity information shall not be sent to financial consumers in violation of regulations. Without the consent or request of financial consumers, financial marketing and publicity information shall not be sent to their houses or vehicles, nor shall it be sent to them in the form of electronic information. If financial marketing and publicity information is sent by means of electronic information, the true identity and contact information of the sender shall be made clear, and the recipient shall be provided with a way to reject further receipt. (十)不得违规向金融消费者发送金融营销宣传信息。未经金融消费者同意或请求,不得向其住宅、交通工具等发送金融营销信息,也不得以电子信息方式向其发送金融营销信息。以电子信息方式发送金融营销信息的,应当明确发送者的真实身份和联系方式,并向接收者提供拒绝继续接收的方式。
11. A financial product or service provider shall not carry out other illegal financial marketing and publicity activities as identified by laws, regulations and financial regulators under the State Council. (十一)金融产品或金融服务经营者不得开展法律法规和国务院金融管理部门认定的其他违法违规金融营销宣传活动。
IV. Miscellaneous   四、其他规定
If a financial product or service provider conducts financial marketing and publicity activities in violation of the above-mentioned provisions, but the circumstances are minor, the financial regulators under the State Council and their branches or local offices may, according to their duties, hold admonitory interviews with it, give a risk warning, and order it to take corrective action within a prescribed time limit. If it fails to do so within the time limit or its conduct prejudices the legitimate rights and interests of financial consumers, the relevant departments may, according to their duties, order it to suspend financial marketing and publicity activities. In the case of a clear violation of relevant laws and regulations, the financial regulators under the State Council and their branches or local offices or relevant regulatory departments shall take corresponding measures according to the law. 金融产品或金融服务经营者开展金融营销宣传活动违反上述规定但情节轻微的,国务院金融管理部门及其分支机构或派出机构可依职责对其进行约谈告诫、风险提示并责令限期改正;逾期未改正或其行为侵害金融消费者合法权益的,可依职责责令其暂停开展金融营销宣传活动。对于明确违反相关法律规定的,由国务院金融管理部门及其分支机构、派出机构或相关监管部门依法采取相应措施。
The power to interpret this Notice shall remain with the People's Bank of China, the China Banking and Insurance Regulatory Commission, the China Securities Regulatory Commission, and the State Administration of Foreign Exchange. 本通知由人民银行、银保监会、证监会、外汇局负责解释。
This Notice shall come into force on January 25, 2020. 本通知自2020年1月25日起执行。
The Shanghai Head Office of the People's Bank of China (“PBC”), all branches and operations offices of the PBC, and all central sub-branches of the PBC in capital cities of provinces (autonomous regions) and sub-provincial cities shall, along with the local offices of the China Banking and Insurance Regulatory Commission and the China Securities Regulatory Commission of provinces (autonomous regions and municipalities directly under the Central Government), forward this Notice to the relevant institutions within their respective jurisdictions. 请人民银行上海总部,各分行、营业管理部、省会(首府)城市中心支行、副省级城市中心支行会同所在地省(区、市)银保监会、证监会派出机构将本通知转发至辖区内相关机构。
