| Chapter I General Provisions | | 第一章 总则 |
| Article 1 For the purpose of strengthening administration of the manufacture and operation of audio and video recordings and enhancing the development and prosperity of the audio and video recordings manufacturing industry, these Provisions are formulated in accordance with the Regulations of the State Council on the Administration of Audio and Video Recordings and the Regulations of the State Council on the Administration of Publications. | | 第一条 为了加强音像制品制作经营活动的管理，促进音像制品制作行业的发展和繁荣，根据国务院《音像制品管理条例》、《出版管理条例》，制定本规定。 |
| Article 2 The term “manufacture of audio and video recordings” as mentioned in these Provisions refers to activities of working up and processing sound, image and characters into the program sources of audio and video recordings by taking such technical means as sound recording and visual recording. | | 第二条 本规定所称音像制品制作是指通过录音、录像等技术手段，将声音、图像、文字等内容整理加工成音像制品节目源的活动。 |
| Article 3 No organization or individual may make any audio and video recordings that contain any content prohibited by Article 3 (2) of the Regulations on the Administration of Audio and Video Recordings. | | 第三条 任何组织和个人不得制作含有《音像制品管理条例》第三条第二款禁止内容的音像制品。 |
| Article 4 The state practices the licensing system for the manufacture and operation of audio and video recordings. Without license, no entity or individual may engage in the manufacture or operation of audio and video recordings. | | 第四条 国家对从事音像制品制作经营活动实行许可制度；未经许可，任何单位和个人不得从事音像制品制作经营活动。 |
| Where a publication entity of audio and video recordings intends to engage in the manufacture or operation of audio and video recordings, it is not required to obtain the License for the Manufacture of Audio and Video Recordings. | | 音像出版单位从事音像制品制作经营活动，无需再申请取得《音像制品制作许可证》。 |
| Article 5 The General Administration of Press and Publication shall be in charge of exercising supervision over the administration of the manufacture of audio and video recordings of the whole nation. | | 第五条 新闻出版总署负责对全国音像制品制作管理工作实施监督。 |
| A local administrative department of press and publication at or above the county level shall be in charge of the supervision and administration over the manufacture of audio and video recordings in that administrative region. | | 县级以上地方新闻出版行政部门负责本行政区域内音像制品制作的监督管理工作。 |
| Chapter II Establishment of Manufacturing Entities | | 第二章 制作单位设立 |
| Article 6 To apply for establishing a manufacturing entity of audio and video recordings, the following requirements must be satisfied: | | 第六条 申请设立音像制作单位应当具备下列条件： |
| 1. having the name and articles of association for the manufacturing entity; | | （一）有音像制作单位的名称、章程； |
| 2. having the institutional framework and personnel specialized in manufacturing audio and video recordings required by its business scope, and the specialized personnel shall be at least five; | | （二）有适应业务范围需要的组织机构和音像制作专业技术人员，从事音像制作业务的专业技术人员不得少于5人； |
| 3. having necessary technical equipment; | | （三）有必要的技术设备； |
| 4. having fixed business premises; and | | （四）有固定的经营场所； |
| 5. other requirements specified by law. | | （五）法律、法规规定的其他条件。 |
| The establishment of a manufacturing entity of audio and video recordings may be approved only if it satisfies the above-mentioned requirements and it conforms to the planning on the total number, layout and structure of manufacturing entities of audio and video recordings in this region. | | 审批设立音像制作单位，除依照前款所列条件外，还应符合本地区音像制作单位总量、布局和结构的规划。 |
| Article 7 The application for the establishment of a manufacturing entity of audio and video recordings shall be subject to the examination and approval of the administrative department of press and publication of the province, autonomous region, or municipality directly under the Central Government of the place of locality of the manufacturing entity. The administrative department of press and publication of the province, autonomous region, or municipality directly under the Central Government shall, within 60 days after receiving the application form, make a decision of approval or disapproval and notify the applicant of the decision. In the case of approval, the department shall issue a License for Manufacturing Audio and Video Recordings; in the case of disapproval, corresponding reasons shall be given. | | 第七条 申请设立音像制作单位，由所在地省、自治区、直辖市新闻出版行政部门审批。省、自治区、直辖市新闻出版行政部门应当自收到申请设立音像制作单位的申请书之日起60日内，作出批准或者不批准的决定，并通知申请人。批准的，发给《音像制品制作许可证》；不批准的，应当说明理由。 |
| Article 8 To apply for establishing a manufacturing entity of audio and video recordings, the following material must be submitted: | | 第八条 申请设立音像制作单位，应当提交以下材料： |
| 1. an application form, which shall indicate the name, address, business scope and source and amount of funds of the entity as well as the name and address of the person chiefly in charge of it; | | （一）申请书，申请书应当载明单位名称、地址，制作业务范围，资金来源及数额，法定代表人或者主要负责人姓名、住址等内容； |
| 2. the articles of association of the entity; | | （二）单位章程； |
| 3. certificates on the competence and seniority of its specialized technical personnel; | | （三）专业技术人员的资历证明文件； |
| 4. the certificates of amount, sources and nature of the registered capital; and | | （四）注册资本数额、来源及性质证明； |
| 5. a certificate for the use of the place of business. | | （五）经营场所使用证明。 |
| Article 9 Where a manufacturing entity of audio and video recordings changes its name or business scope, or merges other manufacturing entity, or establishes a new manufacturing entity of audio and video recordings by way of merger or splitting-up, it shall handle the examination and approval formalities in accordance with the provisions of Article 7 and 8 of these Provisions and handle corresponding registration formalities at the administrative department for industry and commerce. | | 第九条 音像制作单位变更名称、业务范围，或者兼并其他音像制作单位，或者因合并、分立而设立新的音像制作单位的，应当依照本办法第七条、第八条的规定办理审批手续，并到工商行政管理部门办理相应的登记手续。 |
| Article 10 Where a manufacturing entity of audio and video recordings changes its address, legal representative or person chiefly in charge, or terminates the manufacturing and operating activities of audio and video recordings, it shall handle the formalities for registration modification or deregistration at the administrative department for industry and commerce where it handled the registration formalities, and, within 10 days, file the relevant material with the administrative department of press and publication of the province, autonomous region, or municipality directly under the Central Government of the place of its locality for archival purpose. | | 第十条 音像制作单位变更地址、法定代表人或者主要负责人，或者终止音像制作经营活动的，应当到原登记的工商行政管理部门办理变更登记或者注销登记，并在10日内向所在地省、自治区、直辖市新闻出版行政部门备案。 |
Article 11 If any manufacturing entity of audio and video recordings fail to carry out the manufacturing business of audio and video recordings within six months or suspend business for one year after obtaining the License for Manufacturing Audio and Video Recordings, the administrative department of press and publication of the province, autonomous region, or municipality directly under the Central Government of the place of its locality shall write-off its License for Manufacturing Audio and Video Recordings.
