The Regulation of the People's Republic of China on Urban Collectively-owned Enterprises, as adopted at the 86th Executive Meeting of the State Council on June 21, 1991, is hereby issued and shall come into force as of January 1, 1992.

 《中华人民共和国城镇集体所有制企业条例》已经一九九一年六月二十一日国务院第八十六次常务会议通过,现予发布,自一九九二年一月一日起施行。

Chapter I General Provisions 

第一章 总则

 
Article 1 This Regulation is enacted for purposes of ensuring the consolidation and development of urban collectively-owned economy, defining the rights and obligations of urban collectively-owned enterprises and protecting their lawful rights and interests.   第一条 为了保障城镇集体所有制经济的巩固和发展,明确城镇集体所有制企业的权利和义务,维护其合法权益,制定本条例。

 
Article 2 This Regulation applies to urban collectively-owned enterprises in all industries and in all forms of organization, with the exception of enterprises collectively established by farmers in rural areas.   第二条 本条例适用于城镇的各种行业、各种组织形式的集体所有制企业,但乡村农民集体举办的企业除外。
Article 3 Urban collectively-owned economy is a basic constituent part of China's socialist public economy and the state encourages and supports the development of urban collectively-owned economy.   第三条 城镇集体所有制经济是我国社会主义公有制经济的一个基本组成部分,国家鼓励和扶持城镇集体所有制经济的发展。
Article 4 Urban collectively-owned enterprises (hereinafter referred to as "collective enterprises") are socialist economic organizations, of which the property is collectively owned by the working masses, subject to joint work, with distribution according to work as the principal distribution method.   第四条 城镇集体所有制企业(以下简称集体企业)是财产属于劳动群众集体所有、实行共同劳动、在分配方式上以按劳分配为主体的社会主义经济组织。
"Collectively owned by the working masses" as referred to in the preceding paragraph shall conform to any of the following provisions: 前款所称劳动群众集体所有,应当符合下列中任一项的规定:
(1) Collectively owned by the working masses of the said collective enterprise. (一)本集体企业的劳动群众集体所有;
(2) Collectively owned by the working masses within the united economic organizations of the collective enterprise. (二)集体企业的联合经济组织范围内的劳动群众集体所有;
(3) collective enterprises consisting two or more investing entities, in which the property collectively owned by the working masses in the foregoing item (1) and item (2) shall be in a dominating position. The term "dominating position" as mentioned in the present item means that the proportion of the property collectively owned by the working masses to the total property of the enterprise shall be generally not less than 51%, provided that under special circumstances the proportion may, upon the approval of the original approval department, be appropriately decreased. (三)投资主体为两个或者两个以上的集体企业,其中前(一)、(二)项劳动群众集体所有的财产应当占主导地位。本项所称主导地位,是指劳动群众集体所有的财产占企业全部财产的比例,一般情况下应不低于51%,特殊情况经过原审批部门批准,可以适当降低。
Article 5 A collective enterprise shall abide by the principle of voluntary incorporation, self-funding, independent accounting, responsibility for its own profit and loss, independent business operation, democratic management, collective accumulation, independent control, distribution according to work and distribution of dividends by shares.   第五条 集体企业应当遵循的原则是:自愿组合、自筹资金、独立核算、自负盈亏,自主经营、民主管理,集体积累、自主支配,按劳分配、入股分红。
A collective enterprise shall advocate the spirit of hard work and building the country with diligence and thrift, and stick to the path of mutual assistance, cooperation and common prosperity. 集体企业应当发扬艰苦奋斗、勤俭建国的精神,走互助合作、共同富裕的道路。
Article 6 A collective enterprise shall obtain the qualification of a legal person and bear independently its own civil responsibility with its whole property.   第六条 集体企业依法取得法人资格,以其全部财产独立承担民事责任。
The property, lawful rights and interests of a collective enterprise shall be protected by the state law and shall not be infringed upon. 集体企业的财产及其合法权益受国家法律保护,不受侵犯。
Article 7 The tasks of a collective enterprise are to, based on the need of the market and society, under the guidance of the state plans, develop production of goods, expand distribution of goods, provide social services, create wealth, increase accumulation, constantly improve social and economic effectiveness, and contribute to the prosperity of socialist economy.   第七条 集体企业的任务是:根据市场和社会需求,在国家计划指导下,发展商品生产,扩大商品经营,开展社会服务,创造财富,增加积累,不断提高经济效益和社会效益,繁荣社会主义经济。
Article 8 Employees of a collective enterprise, as owners of the enterprise, shall exercise the power of managing the enterprise pursuant to the laws and regulations, and the bylaw of the collective enterprise. The lawful rights and interests of the employees of collective enterprises shall be protected by the law.   第八条 集体企业的职工是企业的主人,依照法律、法规和集体企业章程行使管理企业的权力。集体企业职工的合法权益受法律保护。
Article 9 A collective enterprise shall be subject to democratic management pursuant to the law. The employees' (employee representatives') assembly is the authority of the collective enterprise, elects and removes enterprise executives, and decides on major issues on operation and management.   第九条 集体企业依照法律规定实行民主管理。职工(代表)大会是集体企业的权力机构,由其选举和罢免企业管理人员,决定经营管理的重大问题。
A collective enterprise shall be subject to the factory director (manager) accountability system. 集体企业实行厂长(经理)负责制。
The right of democratic management of employees of collective enterprises and the exercise of functions by factory directors (managers) in accordance with the law are both protected by the law. 集体企业职工的民主管理权和厂长(经理)依法行使职权,均受法律保护。
Article 10 The grassroots organizations of the Communist Party of China (CPC) at collective enterprises, as the center of political leadership, shall take the lead in the ideological and political work of enterprises, and ensure and supervise the implementation of the state policies in the enterprises.   第十条 中国共产党在集体企业的基层组织是集体企业的政治领导核心,领导企业的思想政治工作,保证监督党和国家的方针、政策在本企业的贯彻执行。
Article 11 The trade union in a collective enterprise shall safeguard the lawful rights and interests of the employees, conduct its work independently according to the law, organize the employees to participate in democratic management and democratic supervision.   第十一条 集体企业的工会维护职工的合法权益,依法独立自主地开展工作,组织职工参加民主管理和民主监督。
 

第二章 集体企业的设立、变更和终止

Chapter II Establishment, Modification and Termination of Collective Enterprises 
   第十二条 集体企业的设立必须具备下列条件:
Article 12 The establishment of a collective enterprise must meet the following conditions: 
 (一)有企业名称、组织机构和企业章程;
(1) Having a name, organizational structure and bylaw. 
 (二)有固定的生产经营场所、必要的设施并符合规定的安全卫生条件;
(2) Having fixed site for production and business operation, necessary facilities and safety and hygienic conditions conforming to the provisions. 
 (三)有符合国家规定并与其生产经营和服务规模相适应的资金数额和从业人员;
(3) Having capital and personnel satisfying the requirements of the state and commensurate with the size of its operations and services. 
 (四)有明确的经营范围;
(4) Having a definite business scope. 
 (五)能够独立承担民事责任;
(5) Being able to bear the civil liabilities independently. 
 (六)法律、法规规定的其他条件。
(6) Having other requirements as provided by the laws or regulations. 
   第十三条 集体企业章程必须载明下列事项:
Article 13 The bylaw of a collective enterprise must include the following items: 
 (一)企业名称和住所;
(1) Name and domicile of the enterprise. 
 (二)经营范围和经营方式;
(2) Business scope and mode of operation. 
 (三)注册资金;
(3) Registered capital. 
 (四)资金来源和投资方式;
(4) Source of funds and investment mode. 
 (五)收入分配方式;
(5) Mode of distribution of income. 
 (六)组织机构及其职权和议事规则;
(6) Organizational structure and powers as well as rules of procedure. 
 (七)职工加入和退出企业的条件和程序;
(7) Conditions and procedures for employees to join and quit the enterprise. 
 (八)职工的权利和义务;
(8) Rights and obligations of employees. 
 (九)法定代表人的产生程序及其职权范围;
(9) Selection procedure of the legal representative and the scope of his power. 
 (十)企业终止的条件和程序;
(10) Conditions and procedures of the termination of the enterprise. 
 (十一)章程的修订程序;
(11) Procedures for the revision of the bylaw. 
 (十二)章程订立日期;
(12) Date of establishment of the bylaw. 
 (十三)需要明确的其他事项。
(13) Other matters that need to be defined. 
   第十四条 设立集体企业应经省、自治区、直辖市人民政府规定的审批部门批准,并依法经工商行政管理机关核准登记,领取《企业法人营业执照》,取得法人资格后,方得开始生产经营活动。
Article 14 A collective enterprise shall be established upon the approval of approval departments as designated by the people's governments of provinces, autonomous regions and municipalities directly under the Central Government, examined and registered at the competent departments of industry and commerce in accordance with the law, and, upon the attainment of the Business License for Enterprise Legal Person and the qualification of a legal person, commence production and business operation activities. 设立集体企业的审批部门,法律、法规有专门规定的,从其规定。
If the approval department for the establishment of collective enterprises is otherwise provided in the laws and regulations, such laws and regulations shall prevail. 集体企业应当在核准登记的经营范围内从事生产经营活动。
A collective enterprise shall carry out its production and business operation activities within the approved and registered business scope. 
   第十五条 集体企业的合并、分立、停业、迁移或者主要登记事项的变更,必须符合国家的有关规定,由企业提出申请,报经原审批部门批准,依法向原登记机关办理变更登记。
Article 15 The merger, split, cease of business or relocation of a collective enterprise, or the modification of major registered matters, shall conform to the relevant state provisions, and the enterprise shall file an application with the original approval department for approval and handle modification registration at the original registration authority in accordance with the law. 
   第十六条 集体企业的合并和分立,应当遵照自愿平等的原则,由有关各方依法签订协议,处理好债权债务、其他财产关系和遗留问题,妥善安置企业人员。
Article 16 In respect of the merger and split of a collective enterprise, all the relevant parties shall, abiding by the principle of voluntariness and equality, enter into an agreement in accordance with the law, effectively handle claims and debts, other relations in property and historical issues, and properly resettle the personnel of the enterprise. 合并、分立前的集体企业的权利和义务,由合并、分立后的法人享有和承担。
The rights and obligations of a collective enterprise prior to the merger or split shall be enjoyed or borne by the legal person after the merger or split. 
   第十七条 集体企业有下列原因之一的,应当予以终止:
Article 17 A collective enterprise shall be terminated in case of any of the following reasons: 
 (一)企业无法继续经营而申请解散,经原审批部门批准;
(1) The enterprise is unable to continue its business operation and applies for dissolution, which is approved by the original approval department. 
 (二)依法被撤销;
(2) It is dissolved in accordance with the law. 
 (三)依法宣告破产;
(3) It is declared bankrupt in accordance with the law. 
 (四)其他原因。
(4) Other reasons. 
   第十八条 集体企业终止,应当依照国家有关规定清算企业财产。企业财产按下列程序清偿各种债务和费用:
Article 18 In the case of the termination of an enterprise, the property of the enterprise shall be liquidated pursuant to the relevant state provisions. The enterprise shall repay all debts and fees according to the following order. 
 (一)清算工作所需各项费用;
(1) All fees needed in the liquidation. 
 (二)所欠职工工资和劳动保险费用;
(2) Overdue wages of the employees and labor insurance expenses. 
 (三)所欠税款;
(3) Taxes and duties due. 
 (四)所欠银行和信用合作社贷款以及其他债务。
(4) Loans of banks and credit cooperatives as well as other debts. 不足清偿同一顺序的清偿要求的,按照比例分配。
Where the property is insufficient to meet the repayment claims of the same order of priority, it shall be distributed on a pro-rata basis. 
   第十九条 集体企业财产清算后的剩余财产,按照下列办法处理:
Article 19 The remaining property of the collective enterprise upon liquidation shall be disposed of according to the following measures: 
 (一)有国家、本企业外的单位和个人以及本企业职工个人投资入股的,应当依照其投资入股金额占企业总资产的比例,从企业剩余财产中按相同的比例偿还;
(1) If there is equity investment made by the state, entities other than the enterprise and individuals as well as the employees of the enterprise, they shall be repaid with the remaining property of the enterprise based on the ratio of the amount of their equity investment to the total assets of the enterprise. 
 (二)其余财产,由企业上级管理机构作为该企业职工待业和养老救济、就业安置和职业培训等费用,专款专用,不得挪作他用。
(2) The rest property, if any, shall be used by the superior administrative department of the enterprise for the payment of fees for the job waiting and pension remedy, employment resettlement, occupational training, etc. of the employees of the enterprise, and the property shall be used for its specified purpose and shall not be misappropriated for other purposes. 
   第二十条 集体企业终止,必须依照《中华人民共和国企业法人登记管理条例》的规定办理注销登记并公告。
Article 20 In respect of the termination of a collective enterprise, the cancellation of registration shall be handled and announced pursuant to the Regulation of the People's Republic of China on the Administration of the Registration of Enterprise Legal Persons. 

第三章 集体企业的权利和义务

Chapter III Rights and Obligations of Collective Enterprises   第二十一条 集体企业在国家法律、法规的规定范围内享有下列权利:
Article 21 A collective enterprise shall, within the scope as provided for in the state laws and regulations, enjoy the following rights: (一)对其全部财产享有占有、使用、收益和处分的权利,拒绝任何形式的平调;
(1) The right to possess, use, profit from and dispose of its whole property, and refuse any form of transfer. (二)自主安排生产、经营、服务活动;
(2) Independently arranging production, business operation and service activities. (三)除国家规定由物价部门和有关主管部门控制价格的以外,企业有权自行确定产品价格、劳务价格;
(3) The enterprise has the right to independently determine the prices of its products and the charges for its services, except for those which, as stipulated by the state, are under the control of the price authorities and the relevant competent departments. (四)企业有权依照国家规定与外商谈判并签订合同,提取和使用分成的外汇收入;
(4) The enterprise has the right, according to the provisions of the state, to negotiate with foreign companies and enter into contracts, and withdraw and use the shared foreign exchange revenues. (五)依照国家信贷政策的规定向有关专业银行申请贷款;
(5) Applying to the relevant specialized banks for loans pursuant to the state credit policies. (六)依照国家规定确定适合本企业情况的经济责任制形式、工资形式和奖金、分红办法;
(6) Determining the form of the economic responsibility system, form of wage and award, and measures for distributing dividends suitable for the enterprise pursuant to the state provisions. (七)享受国家政策规定的各种优惠待遇;
(7) Enjoying all preferential treatment as provided for in the state policies. (八)吸收职工和其他企业、事业单位、个人集资入股,与其他企业、事业单位联营,向其他企业、事业单位投资,持有其他企业的股份;
(8) Raising funds from and issuing shares to employees as well as other enterprises, public institutions and individuals, engaging in joint operations with other enterprises or institutions, investing in other enterprises or institutions and holding shares of other enterprises. (九)按照国家规定决定本企业的机构设置、人员编制、劳动组织形式和用工办法,录用和辞退职工;
(9) Deciding according to the state provisions the organizational structure, staffing, form of work organization and employment measures, and employing and dismissing employees. (十)奖惩职工。
(10) Rewarding and punishing employees.   第二十二条 集体企业应当承担下列义务:
Article 22 A collective enterprise shall bear the following obligations: (一)遵守国家法律、法规,接受国家计划指导;
(1) Abiding by the state laws and regulations and accepting the guidance of the state plans. (二)依法缴纳税金和交纳费用;
(2) Paying tax and fees in accordance with the law.
