| For the purposes of implementing the decisions and arrangements of the CPC Central Committee and the State Council on bolstering the weakness in infrastructure and preventing and defusing the risks of hidden debts of local governments, strengthening the administration of investments in and construction of PPP projects and making investment decision-making of PPP projects more scientific, in accordance with the Regulation on Government Investment (Order No. 712 of the State Council) recently issued and implemented by the State Council, the Regulation on the Administration of the Confirmation and Recordation of Enterprise Investment Projects (Order No. 673 of the State Council), and the Guiding Opinions of the General Office of the State Council on Maintaining Efforts to Remedy the Shortcomings in the Infrastructure Field (No. 101 [2018] of the General Office of the State Council), etc., you are hereby notified of the relevant matters as follows: | | 为了贯彻落实党中央、国务院关于基础设施补短板、防范化解地方政府隐性债务风险的决策部署，加强PPP项目投资和建设管理、提高PPP项目投资决策科学性，按照近日国务院颁布实施的《政府投资条例》（国务院令第712号），以及《企业投资项目核准和备案管理条例》（国务院令第673号）、《国务院办公厅关于保持基础设施领域补短板力度的指导意见》（国办发〔2018〕101号）等规定，现就有关事项通知如下。 |
| I. Conducting a comprehensive and in-depth feasibility demonstration and examination of PPP projects | | 一、全面、深入开展PPP项目可行性论证和审查 |
| 1. PPP projects involve the allocation of public resources and protection of public interests, and the necessity, feasibility and other major issues of their construction shall be studied and recognized by the government. According to the requirements of the State Council on strengthening the feasibility demonstration of PPP projects and reasonably determining the main content and investment size of the projects, feasibility demonstration shall be carried out for all projects by using the PPP model. Projects that pass the feasibility demonstration and review may be developed under the PPP model. | | （一）PPP项目涉及公共资源配置和公众利益保障，其建设的必要性、可行性等重大事项应由政府研究认可。按照国务院关于“加强PPP项目可行性论证，合理确定项目主要内容和投资规模”的要求，所有拟采用PPP模式的项目，均要开展可行性论证。通过可行性论证审查的项目，方可采用PPP模式建设实施。 |
| 2. The feasibility demonstration of PPP projects shall be conducted not only in terms of the economic and social development needs, planning requirements, technical and economic feasibility, environmental impact, investment and financing plans, comprehensive utilization of resources as well as whether to help improve people's quality of life, but also in terms of the necessity and comparative selection of government investment, project life cycle cost, operating efficiency, risk management and as well as whether to help attract social capital. | | （二）PPP项目可行性论证既要从经济社会发展需要、规划要求、技术和经济可行性、环境影响、投融资方案、资源综合利用以及是否有利于提升人民生活质量等方面，对项目可行性进行充分分析和论证，也要从政府投资必要性、政府投资方式比选、项目全生命周期成本、运营效率、风险管理以及是否有利于吸引社会资本参与等方面，对项目是否适宜采用PPP模式进行分析和论证。 |
| 3. PPP projects that are managed under the approval system may carry out the follow-up work such as PPP implementation plan review and social capital selection after the feasibility study report is approved. The feasibility demonstration and review of PPP projects subject to confirmation shall be carried out separately or at the time of approval. The feasibility demonstration and review shall be carried out separately for PPP projects subject to recordation. | | （三）实行审批制管理的PPP项目，在可行性研究报告审批通过后，方可开展PPP实施方案审查、社会资本遴选等后续工作。实行核准制的PPP项目，应在核准的同时或单独开展可行性论证和审查。实行备案制的PPP项目，应单独开展可行性论证和审查。 |
| II. Implementing project decision-making procedures in strict accordance with laws and regulations | | 二、严格依法依规履行项目决策程序 |
4. PPP projects shall be strictly governed by the Regulation on Government Investment and the Regulation on the Administration of the Confirmation and Recordation of Enterprise Investment Projects
．．．．．． | | （四）PPP项目要严格执行《政府投资条例》、《企业投资项目核准和备案管理条例》，依法依规履行审批、核准、备案程序。采取政府资本金注入方式的PPP项目，按照《政府投资条例》规定，实行审批制。列入《政府核准的投资项目目录》的企业投资项目，按照《企业投资项目核准和备案管理条例》规定，实行核准制。对于实行备案制的企业投资项目，拟采用PPP模式的，要严格论证项目可行性和PPP模式必要性。
