| Article 1 The regulations have been formulated according to State laws and regulations on foreign investment and the country's industrial policy so as to give a guide to foreign investors in placing their investments in China to adapt to China's national economic and social development planning and to better protect the investors' legal rights. | | 第一条 为了指导外商投资方向，使外商投资方向与我国国民经济和社会发展规划相适应，并有利于保护投资者的合法权益，根据国家有关外商投资的法律的规定和产业政策的要求，制定本规定。 |

| Article 2 This set of regulations can be applied to Sino-foreign equity joint ventures, Sino-foreign contractual joint ventures, solely foreign- funded enterprises and foreign-funded projects in other forms (referred to hereinafter as foreign-funded enterprises) in China. | | 第二条 本规定适用于在中国境内投资举办中外合资经营企业、中外合作经营企业和外资企业的项目以及其他形式的外商投资项目（以下简称外商投资项目）。 |

| Article 3 The State Planning Commission will regularly compile and update The Guiding Catalogue of Industries for Foreign Investment, which will be published after the approval of the State Council together with departments concerned of the State Council in accordance with this set of regulations and the situation of the country's economic and technological development. | | 第三条 国家计划委员会会同国务院有关部门根据本规定和国家经济技术发展情况，定期编制和适时修订《外商投资产业指导目录》，经国务院批准后公布。 |
Examination and approval of foreign-funded projects should be made in compliance with the Guiding Catalogue of Industries for Foreign Investment. | |
《外商投资产业指导目录》是指导审批外商投资项目的依据。 |

| Article 4 Foreign funded projects should be divided into those that are to be encouraged, allowed, restricted and forbidden. | | 第四条 外商投资项目分为鼓励、允许、限制和禁止四类。 |
The foreign-funded projects that are to be encouraged, restricted or forbidden are listed in The Guiding Catalogue of Industries for Foreign Investment. Projects not belonging to the kinds of being encouraged, restricted and forbidden are those in the kind of allowed, and are not listed in The Guiding Catalogue of Industries for Foreign Investment. | |
鼓励类、限制类和禁止类的外商投资项目，列入《外商投资产业指导目录》。不属于鼓励类、限制类和禁止类的外商投资项目，为允许类外商投资项目。允许类外商投资项目不列入《外商投资产业指导目录》。 |
The Guiding Catalogue of Industries for Foreign Investment may clearly indicate the projects that cannot be solely funded by foreign businesses and the State assets should have a guiding role or hold a dominating position in shares. | |
《外商投资产业指导目录》可以列明不允许外商独资经营以及应当由国有资产占控股地位或者主导地位的外商投资项目。 |

| Article 5 Foreign-funded projects that fall into one of the following categories are encouraged: | | 第五条 属于下列情形之一的外商投资项目，列为鼓励类外商投资项目： |

| 1. Projects that involve new agricultural techniques, comprehensive agriculture development and development of energy, transportation and major raw materials; | | （一）属于农业新技术、农业综合开发和能源、交通、重要原材料工业建设的； |
| |
|
| 2. Projects that involve new and/or high-tech and thus can help save energy and raw material, raise technical level and economic efficiency of the enterprises or produce new equipment and new materials that are demanded by home market but cannot be sufficiently produced at home; | | （二）属于高新技术、先进技术，能够改进产品性能、节约能源和原材料、提高企业技术经济效益或者生产适应市场需求而国内生产能力不足的新设备、新材料的； |

| 3. Projects that can meet demand of the international market and help upgrade products and thus can help open up markets and expand exports; | | （三）属于适应国际市场需求，能够提高产品档次，开拓新市场，扩大产品外销，增加出口的； |

4. Projects that involve new technology and equipment for the comprehensive use of natural resources, and recycling of resources and prevention of environment pollution;
