| I. The present Provisions are formulated in accordance with the relevant provisions in the “Guiding Opinions on Share-trading Reform of Listed Companies” (No. 80 [2005] of CSRC) and the “Measures for the Administration of Share-trading Reform of Listed Companies” (No. 86 [2005] of CSRC) jointly printed and distributed by CSRC and other 4 ministries and commissions for the purpose of ensuring the implementation of the spirit of “Some Opinions of the State Council on Propelling the Reform, Opening and Stable Development of the Capital Market” (No. 3 [2004] of the State Council), actively and reliably propelling the holders of state-owned financial shares of listed companies to participate in the share-trading reform, and guaranteeing the share-trading reform be carried out smoothly. | | 一、为贯彻落实《国务院关于推进资本市场改革开放和稳定发展的若干意见》（国发[2004]3号）精神，积极稳妥地推进上市公司金融类国有股股东参与股权分置改革，保证股权分置改革工作的顺利进行，根据证监会等5部委联合印发的《关于上市公司股权分置改革的指导意见》（证监发[2005]80号）和《上市公司股权分置改革管理办法》（证监发[2005]86号）等有关规定，制定本规定。 |

| II. The public finance department at each level (the state-owned assets administrative department, the same in the below) and the holders of state-owned financial shares of each listed company shall earnestly perform their respective duties, carefully make the overall planning on the share-trading reform of the locality or of the company pursuant to the principle of “being active, reliable and orderly”, and pay attention to closely combining the share-trading reform with the maintenance of the stability of the securities market. They shall follow the requirement of reforming a listed company once it is mature for share-trading reform, and actively organize the reform of any mature listed company. Even to those immature listed companies, they shall actively create conditions, and probe into the effective reform method. | | 二、各级财政部门（国有资产管理部门，下同）和上市公司金融类国有股股东要切实履行自身职责，按照“积极、稳妥、有序”的基本原则，认真制订本地区或本公司股权分置改革的总体规划，并注意把股权分置改革与维护证券市场稳定有机结合起来，按照成熟一家，推出一家的要求，凡条件成熟的，要积极组织实施，条件暂不成熟的，也要积极创造条件，探索有效改革方式。 |

III. The public finance department at each level shall, when checking the division of functions under a share-trading reform scheme, comply with the “Notice of the Ministry of Finance on Further Doing a Good Job in Registering and Administering the Property Rights of State-owned Assets of Financial Enterprises” (No. 32 [2002] of the Ministry of Finance) and the “Notice of the Ministry of Finance on the Relevant Issues concerning the Administration of State-owned Stock Rights of Joint-Stock Limited Companies” (No. 200 [2000] of the Ministry of Finance). The share-trading reform schemes submitted by local holders of state-owned financial shares shall be checked by the public finance department at the provincial level, among which, the share-trading reform schemes of the listed companies whose shares are controlled by local financial state-owned enterprises shall be submitted by the public finance department at the provincial level to the people's government at the provincial level or the people's government of the municipality under separate state planning for approval. The share-trading reform schemes submitted by holders of central state-owned financial shares shall be checked by the Ministry of Finance.
．．．．．． | | 三、各级财政部门审核股权分置改革方案的职能划分，按照《财政部关于进一步做好金融企业国有资产产权登记管理工作的通知》（财金[2002]32号）和《财政部关于股份有限公司国有股权管理工作有关问题的通知》（财管字[2000]200号）中的相关规定执行。地方金融类国有股股东报送的股权分置改革方案由省级财政部门审核，其中，地方金融类国有企业控股的上市公司的股权分置改革方案，由省级财政部门报省级人民政府或计划单列市人民政府批准；中央金融类国有股股东报送的股权分置改革方案由财政部审核。
