| In recent years, with the rise of banks' non-performing loans and gradual increase in local debts, local asset management companies have developed rapidly, playing an active role in disposing of non-performing assets, revitalizing stock assets, preventing and mitigating financial risks, supporting the development of the real economy, and other respects, but at the same time, they conducted some high-risk and even illegal business operation practices. In order to implement the decision and deployment of the CPC Central Committee and the State Council for “improving financial services, preventing and mitigating financial risks, and deepening the financial supply-side structural reform,” the relevant work of strengthening the supervision and administration of local asset management companies and promoting the steady operation and sound development of local asset management companies is hereby announced as follows: | | 近年来，随着银行不良贷款规模攀升、地方债务逐渐增加，地方资产管理公司快速发展，在处置不良资产、盘活存量资产、防范和化解金融风险、支持实体经济发展等方面发挥了积极作用，但同时也产生了一些高风险甚至违规经营行为。为落实党中央、国务院关于“完善金融服务、防范和化解金融风险、深化金融供给侧结构性改革”的决策部署，现就加强地方资产管理公司监督管理，促进地方资产管理公司稳健经营和健康发展有关工作通知如下： |
| I. Implementing standards strictly and effectively controlling market entry and exit | | 一、严格标准，把好市场入口和市场出口两道关 |
| In order to rectify the market order of non-performing assets and prevent blind establishment of local asset management companies, the local financial regulatory departments of the people's governments of all provinces (autonomous regions and municipalities directly under the Central Government) shall proceed from the reality, strictly implement the standards, regulate the process, and effectively control market entry and exit, to promote the sound development of local asset management companies. | | 为整顿不良资产市场秩序，防止盲目设立地方资产管理公司，各省（区、市）人民政府地方金融监管部门应从实际出发，严格标准，规范流程，把好市场入口和市场出口两道关，促进地方资产管理公司健康发展。 |
| 1. The local financial regulatory departments of the people's governments of all provinces (autonomous regions and municipalities directly under the Central Government) shall, in strict accordance with the Measures for the Administration of Batch Transfer of Non-performing Assets of Financial Enterprises (No. 6 [2012], MOF), the Notice by the China Banking Regulatory Commission of Relevant Issues concerning Conditions for Qualification Licensing of Local Asset Management Companies to Carry out Batch Purchase and Disposal of Non-performing Assets of Financial Enterprises (No. 45 [2013], CBRC), the Letter on Appropriately Adjusting the Relevant Policies for Local Asset Management Companies (Letter No. 1738 [2016], General Office of the CBRC), and other relevant provisions, strictly control the establishment of local asset management companies, conduct all-around demonstration of the feasibility and necessity of the establishment of companies, and submit the demonstration reports and relevant materials to the China Banking and Insurance Regulatory Commission (“CBIRC”). | | （一）各省（区、市）人民政府地方金融监管部门应严格遵守《金融企业不良资产批量转让管理办法》（财金〔2012〕6号）、《关于地方资产管理公司开展金融企业不良资产批量收购处置业务资质认可条件等有关问题的通知》（银监发〔2013〕45号）、《关于适当调整地方资产管理公司有关政策的函》（银监办便函〔2016〕1738号）等有关规定，对地方资产管理公司的设立从严把握，并对公司设立的可行性与必要性进行全方位论证，论证报告及相关材料报送银保监会。 |
| 2. Change in the name, organizational form, registered capital, controlling shareholder, domicile and other matters of a local asset management company shall be reported in writing to the local financial regulatory department of the people's government of the province (autonomous region or municipality directly under the Central Government) in advance. | | （二）地方资产管理公司的名称、组织形式、注册资本、控股股东、住所等事项发生变更，应事前向省（区、市）人民政府地方金融监管部门书面报告。 |
| 3. Where a local asset management company illegally conducts business operation or has acts that endanger its stable operation and may cause financial risks, the local financial regulatory department of the people's government of the province (autonomous region or municipality directly under the Central Government) may order it to take corrective action within a prescribed time limit, hold the relevant responsible persons liable, and take other regulatory measures. | | （三）地方资产管理公司违法经营或有危及公司稳健运行、可能引发金融风险行为的，各省（区、市）人民政府地方金融监管部门可采取责令限期改正、追究相关责任人责任等监管措施。 |
| 4. Where a local asset management company conducts business operation in serious violation of the law, the local financial regulatory department of the people's government of the province (autonomous region or municipality directly under the Central Government) may revoke its qualification of participating in the batch purchase and disposal of non-performing assets of financial enterprises in the region, under the premise of requesting the opinions of the CBIRC in writing. Where consensus is reached, the local financial regulatory department of the people's government of the province (autonomous region or municipality directly under the Central Government) may make a decision of revocation, and send a copy of it to the CBIRC within ten working days, and the CBIRC shall make an announcement. | | （四）地方资产管理公司严重违法经营的，各省（区、市）人民政府地方金融监管部门可撤销该公司参与本地区金融企业不良资产批量收购处置业务的资质，但应书面征求银保监会意见。达成一致意见的，省（区、市）人民政府地方金融监管部门可作出撤销决定，并在10个工作日内抄报银保监会，由银保监会予以公布。 |
5. A local asset management company that is dissolved or declared bankrupt according to the law shall be liquidated and cancelled according to the law, and the liquidation process shall be supervised by the local financial regulatory department of the people's government of the province (autonomous region or municipality directly under the Central Government). After the liquidation, a liquidation institution shall issue a liquidation report, prepare a statement of income and expenditure during the liquidation period, submit it to the local financial regulatory department of the people's government of the province (autonomous region or municipality directly under the Central Government) with the verification report of the certified public accountant, apply to the company registration authority for deregistration, and send a copy thereof to the CBIRC, and the CBIRC shall make an announcement.
．．．．．． | | （五）地方资产管理公司解散或被依法宣告破产的，应依法进行清算并注销，清算过程接受省（区、市）人民政府地方金融监管部门监督。清算结束后，清算机构应出具清算报告，编制清算期间收支报表，连同注册会计师验证报告，一并报送省（区、市）人民政府地方金融监管部门，向公司登记机关申请办理注销登记，并抄报银保监会，由银保监会予以公布。
