| Chapter I. General Provisions | | 第一章 总则 |

| Article 1 The present Measures are formulated for the purpose of carrying out the Mainland/Hong Kong Closer Economic Partnership Arrangement and the Mainland/Macao Closer Economic Partnership Arrangement, which were approved by the State Council, and regulating the associations formed by law firms of Hong Kong or Macao and the Mainland law firms and the administration thereof. | | 第一条 为了落实国务院批准的《内地与香港关于建立更紧密经贸关系的安排》和《内地与澳门关于建立更紧密经贸关系的安排》，规范香港、澳门律师事务所与内地律师事务所在内地进行联营的活动及管理，制定本办法。 |

| Article 2 The term “association” as mentioned in the present Measures means that a law firm of Hong Kong or Macao that has established a representative office in the Mainland cooperates with a Mainland law firm within the province, autonomous region, or municipality directly under the Central Government where the representative office is located, by means of which both parties may, according to the contractual rights and obligations, operate in the Mainland, and provide respectively Hong Kong, Macao, or Mainland legal services to the clients. | | 第二条 本办法所称的联营，是由已在内地设立代表机构的香港、澳门律师事务所与其代表机构所在的省、自治区、直辖市区域内的一个内地律师事务所，按照协议约定的权利和义务，在内地进行联合经营，向委托人分别提供香港、澳门和内地法律服务。 |

| Article 3 The association formed by a Hong Kong or Macao law firm with a Mainland law firm shall not be in the form of a partnership or a legal person. | | 第三条 香港、澳门律师事务所与内地律师事务所联营，不得采取合伙型联营和法人型联营。 |
During the period of association between a Hong Kong or Macao law firm and a Mainland law firm, each party shall keep independent of its legal status, name, and financial affairs, and bear civil liabilities independently. | |
香港、澳门律师事务所与内地律师事务所在联营期间，双方的法律地位、名称和财务应当保持独立，各自独立承担民事责任。 |

| Article 4 An association formed by a Hong Kong or Macao law firm and a Mainland law firm form shall abide by the laws, regulations and rules of the state, scrupulously observe the professional ethics and disciplinary code of a lawyer, and shall not impair national security and public interests. | | 第四条 香港、澳门律师事务所与内地律师事务所联营，应当遵守国家法律、法规和规章，恪守律师职业道德和执业纪律，不得损害国家安全和社会公共利益。 |

| Chapter II. Application for Association | | 第二章 联营申请 |
| |
|
| Article 5 Any law firm in Hong Kong or Macao may apply for association if it meets the following conditions: | | 第五条 符合下列条件的香港、澳门律师事务所，可以申请联营： |
| |
|
| (1) It has been registered and established in accordance with relevant laws and regulations of Hong Kong or Macao; | | （一）根据香港、澳门有关法规登记设立； |
| |
|
| (2) It has been engaged in material commercial business for 3 full years by using its own business place or by renting a business place in Hong Kong or Macao; | | （二）在香港、澳门拥有或者租用业务场所从事实质性商业经营满3年； |
| |
|
| (3) The sole proprietor or all partners shall be certified practicing attorneys of Hong Kong or Macao; | | （三）独资经营者或者所有合伙人必须为香港、澳门注册执业律师； |
| |
|
| (4) Its main business scope shall be limited to providing legal services in Hong Kong or Macao; | | （四）主要业务范围应为在香港、澳门提供本地法律服务； |
| |
|
| (5) The law firm and the sole proprietor or all its partners shall pay Hong Kong profit tax, or Macao income supplement tax or occupation tax; | | （五）律师事务所及其独资经营者或者所有合伙人均须缴纳香港利得税、澳门所得补充税或者职业税； |
| |
|
| (6) It has obtained the approval of establishing a representative office in the Mainland; | | （六）已获准在内地设立代表机构； |
| |
|
| (7) It has no record of punishment by any regulatory institutions of Hong Kong or Macao within 2 years before an application for association is filed. | | （七）申请联营前两年内未受过香港、澳门律师监管机构处罚。 |

|
| Article 6 If a Mainland law firm meets the following conditions, it may apply for association: | | 第六条 符合下列条件的内地律师事务所，可以申请联营： |
| |
|
| (1) It has been established for three years or more; and | | （一）成立满3年； |
| |
|
| (2) It has no record of administrative punishment or guild sanction within 2 years before an application for association is filed. No branch of a Mainland law firm may apply for association as one party to the association. | | （二）申请联营前两年内未受过行政处罚、行业惩戒。 |
| |
内地律师事务所分所不得作为联营一方申请联营。 |
| |

| Article 7 Where a Hong Kong or Macao Law Firm and a Mainland law firm apply for association, they shall jointly submit the following application materials to the provincial judicial administrative organ where the Mainland law firm is located: | | 第七条 香港、澳门律师事务所与内地律师事务所申请联营，应当共同向内地律师事务所所在地的省级司法行政机关提交下列申请材料： |

| (1) The application for association signed by both parties; | | （一）双方签署的联营申请书； |
| |
|
| (2) The draft agreement on association concluded by both parties; | | （二）双方拟定的联营协议草案； |
| |
|
| (3) A photocopy of the valid registration certificate, which demonstrates the establishment of a law firm of Hong Kong or Macao upon approval, the name of the sole proprietor or persons-in-charge, the name list of all the partners, a photocopy of the practicing license of its representative office in the Mainland and the name list of the representatives; | | （三）香港、澳门律师事务所获准在香港、澳门设立的有效登记证件的复印件，独资经营者或者负责人、所有合伙人名单，驻内地代表机构执业许可证的复印件及代表名单； |

(4) A certificate issued by the relevant departments of Hong Kong Special Administrative Region or Macao Special Administrative Region, which demonstrates that the law firm of Hong Kong or Macao meets the requirements for the legal service providers;
