| The State Council has approved the Scheme for the Registration System Reform of Registered Capital, which is hereby issued. | | 国务院批准《注册资本登记制度改革方案》（以下简称《方案》），现予印发。 |
| I. To reform the system of industrial and commercial registration and promote the facilitation of the system of industrial and commercial registration are a major decision adopted by the Central Committee of the Communist Party of China (CPC) and the State Council. To reform the system of registered capital registration is a major move to profoundly implement the spirit of the 18th National Congress of the CPC and the 2nd and 3rd Plenary Sessions of the 18th Central Committee of the CPC and comprehensively deepen reforms under the new situation, and is of important significance in accelerating the transformation of government functions, innovating in the modes of governmental regulation, establishing fair, open and transparent market rules, and protecting business startups and innovations. | | 一、改革工商登记制度，推进工商注册制度便利化，是党中央、国务院作出的重大决策。改革注册资本登记制度，是深入贯彻党的十八大和十八届二中、三中全会精神，在新形势下全面深化改革的重大举措，对加快政府职能转变、创新政府监管方式、建立公平开放透明的市场规则、保障创业创新，具有重要意义。 |
| II. As the registration system reform of registered capital involves a wide range of areas and is highly policy-related, the people's governments at all levels shall strengthen their organization and leadership, and coordinate in the solution of specific problems in the reform. All regions and all departments shall closely cooperate with one another in accelerating the development and improvement of supportive measures. The administrative authorities for industry and commerce shall optimize the procedures, improve the systems and ensure smooth transition of the work of management before and after reform. The roles of self-management by enterprises, self-regulation by industrial associations and supervision by social organization shall be strengthened, and the level of market regulation shall be enhanced, to practically enable this reform to “find a foothold and take roots”, further release reform dividends, boost business startups, and stimulate the generation of new driving force for development. | | 二、改革注册资本登记制度涉及面广、政策性强，各级人民政府要加强组织领导，统筹协调解决改革中的具体问题。各地区、各部门要密切配合，加快制定完善配套措施。工商行政管理机关要优化流程、完善制度，确保改革前后管理工作平稳过渡。要强化企业自我管理、行业协会自律和社会组织监督的作用，提高市场监管水平，切实让这项改革举措“落地生根”，进一步释放改革红利，激发创业活力，催生发展新动力。 |

In accordance with the decision of the Standing Committee of the National People's Congress on amending the Company Law and this Scheme, corresponding amendments shall be made to the relevant administrative regulations and decisions of the State Council. | In accordance with the Scheme for the Structural Reform and Transformation of Functions of the State Council, this Scheme is developed to positively and steadily promote the registration system reform of registered capital. | | 根据《国务院机构改革和职能转变方案》，为积极稳妥推进注册资本登记制度改革，制定本方案。 |
| I. Guiding Ideology, General Objectives and Basic Principles | | 一、指导思想、总体目标和基本原则 |

| With the great banner of socialism with Chinese characteristics held high, under the guidance of the Deng Xiaoping Theory, the important thought of “Three Represents” and Scientific Outlook on Development, in adherence to the orientation of reform of the socialist market economy, and in accordance with requirement for accelerating the transformation of government functions and building a service-oriented government, the registration reform of registered capital and other matters of companies shall be promoted, reform of supportive regulatory rules shall be promoted, and the modern corporate system shall be established and improved, to provide service for sustained and sound economic and social development. | | 高举中国特色社会主义伟大旗帜，以邓小平理论、“三个代表”重要思想、科学发展观为指导，坚持社会主义市场经济改革方向，按照加快政府职能转变、建设服务型政府的要求，推进公司注册资本及其他登记事项改革，推进配套监管制度改革，健全完善现代企业制度，服务经济社会持续健康发展。 |
| 2. General objectives: | | （二）总体目标。 |
| Through the registration reform of registered capital and other matters of companies, the control over access of market entities shall be further eased, the threshold for access shall be lowered, and the business environment shall be optimized, to promote acceleration of development of market entities. Through reform of regulatory systems, the modes of regulation shall be further changed, credit regulation shall be strengthened, and coordinated regulation shall be promoted, to improve the efficacy of regulation. Through strengthened publication of information on market entities, supervision from the general public shall be further expanded to promote common governance of society, stimulate creations by all types of market entities, and strengthen the intrinsic driving force of economic development. | | 通过改革公司注册资本及其他登记事项，进一步放松对市场主体准入的管制，降低准入门槛，优化营商环境，促进市场主体加快发展；通过改革监管制度，进一步转变监管方式，强化信用监管，促进协同监管，提高监管效能；通过加强市场主体信息公示，进一步扩大社会监督，促进社会共治，激发各类市场主体创造活力，增强经济发展内生动力。 |
| 3. Basic principles: | | （三）基本原则。 |
| (1) Convenience, swiftness and high efficiency: In accordance with the requirements of appropriate conditions, simplified and convenient procedures, and lower costs, the formalities for market entity registration undergone by applicants shall be convenient. Investment in business startups shall be encouraged. Ways of service shall be innovated. The efficiency of registration shall be raised. | | 1.便捷高效。按照条件适当、程序简便、成本低廉的要求，方便申请人办理市场主体登记注册。鼓励投资创业，创新服务方式，提高登记效率。 |
| (2) Unification of norms: Uniform registration procedures and registration requirements and basically equal registration items shall be applied to all types of market entities, and registration conditions and registration documentation shall be well-regulated to reduce intervention in the autonomous affairs of market entities. | | 2.规范统一。对各类市场主体实行统一的登记程序、登记要求和基本等同的登记事项，规范登记条件、登记材料，减少对市场主体自治事项的干预。 |
| (3) Ease access and strict regulation: While access requirements for registered capital and other matters are eased, the responsibility of market entities shall be further strengthened, and supportive regulatory rules shall be established and be improved to strengthen supervision and administration of market entities, promote the construction of the social integrity system, and maintain the easy access and fair competition market order. | | 3.宽进严管。在放宽注册资本等准入条件的同时，进一步强化市场主体责任，健全完善配套监管制度，加强对市场主体的监督管理，促进社会诚信体系建设，维护宽松准入、公平竞争的市场秩序。 |
| II. Easing Control over Access of Market Entities and Practically Optimizing the Business Environment | | 二、放松市场主体准入管制，切实优化营商环境 |
| 1. Application of the subscription registration system of registered capital: The total capital contribution subscribed by shareholders of companies or the total share capital subscribed by the promoters (i.e. registered capital of companies) shall undergo registration at administrative authorities for industry and commerce. The shareholders (promoters) of companies shall independently agree on the total capital contribution subscribed by them, the ways of their capital contribution, the period of their capital contribution, etc, which shall be stated in the bylaws of companies. Shareholders in limited liability companies shall assume liability within the limitation of the capital contribution subscribed by them, while shareholders in joint-stock limited companies shall assume liability within the limitation of the shares subscribed by them. Companies shall publish the capital contribution subscribed by their shareholders or the share capital subscribed by promoters, the ways of their capital contribution, the period of their capital contribution and payment of their capital contribution through the market entity credit information publication system. The shareholders (promoters) of companies shall be responsible for the truth and lawfulness of the payment of their capital contribution. | | （一）实行注册资本认缴登记制。公司股东认缴的出资总额或者发起人认购的股本总额（即公司注册资本）应当在工商行政管理机关登记。公司股东（发起人）应当对其认缴出资额、出资方式、出资期限等自主约定，并记载于公司章程。有限责任公司的股东以其认缴的出资额为限对公司承担责任，股份有限公司的股东以其认购的股份为限对公司承担责任。公司应当将股东认缴出资额或者发起人认购股份、出资方式、出资期限、缴纳情况通过市场主体信用信息公示系统向社会公示。公司股东（发起人）对缴纳出资情况的真实性、合法性负责。 |
Easing registration conditions for registered capital: Except that laws, administrative regulations and State Council decisions provide otherwise for the minimum amounts of registered capital in particular industries, the restrictions, such as the minimum amount of registered capital of 30,000 yuan in a limited liability company, 100,000 yuan in a one-man limited liability company, and 5 million yuan in a joint-stock limited company, shall be cancelled. There shall no longer be restriction on the ratio of initial capital contribution by all shareholders (promoters) at the time of formation of a company. There shall no longer be restriction on the proportion of the value of monetary capital contribution by all shareholders (promoters) of companies in the registered capital. There shall no longer be restriction on the time limit for completing the full payment of capital contribution by all shareholders (promoters) of companies.
．．．．．． | | 放宽注册资本登记条件。除法律、行政法规以及国务院决定对特定行业注册资本最低限额另有规定的外，取消有限责任公司最低注册资本3万元、一人有限责任公司最低注册资本10万元、股份有限公司最低注册资本500万元的限制。不再限制公司设立时全体股东（发起人）的首次出资比例，不再限制公司全体股东（发起人）的货币出资金额占注册资本的比例，不再规定公司股东（发起人）缴足出资的期限。
