商务部办公厅关于开展融资租赁业风险排查工作的通知

The competent departments of commerce of all provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning, and Xinjiang Production and Construction Corps: 各省、自治区、直辖市、计划单列市及新疆生产建设兵团商务主管部门:
In accordance with the relevant work arrangements of the State Council, in order to effectively prevent and eliminate the hidden dangers and risks of the financial leasing industry, regulate the market order, and promote the sound development of the industry, the Ministry of Commerce shall organize local authorities to conduct the risk screening of the financial leasing industry from May 2 to June 30. You are hereby notified of the relevant matters as follows: 按照国务院有关工作部署,为有效防范和化解融资租赁行业风险隐患,规范市场秩序,促进行业健康发展,我部定于5月2日至6月30日组织各地开展融资租赁行业风险排查工作。现将有关事项通知如下:
I. Key points of the risk screening   一、排查要点
1. Targets of the risk screening. This round of risk screening shall target all Chinese-funded finance leasing enterprises covered by the pilot program and all foreign-funded finance leasing enterprises, focusing on the inspection on enterprises falling under the following circumstance: (一)排查对象。本次风险排查工作对象为所有内资融资租赁试点企业和外商投资融资租赁企业,对存在以下情况的企业要进行重点检查:
(1) Enterprises with affiliated companies engaging in such business as Internet finance, investment consulting, wealth management, third-party wealth management, small loans, financing guarantees, commercial factoring, and pawn. An enterprise's affiliated companies shall include its shareholders, enterprises invested in by its shareholders, other enterprises controlled by its same actual controller, enterprises invested by it. 1.关联公司从事互联网金融、投资咨询、财富管理、第三方理财、小额贷款、融资担保、商业保理、典当等业务的企业。关联公司包括股东、股东投资的企业、同一实际控制人控制的其他企业及本公司所投资的企业。
(2) Enterprises with affiliated companies generally being the lessees of the financing sale and leaseback projects. 2.售后回租项目承租人多为关联公司的企业。
(3) Enterprises whose shareholders or affiliated companies with transaction relations and the senior executives thereof have recently committed major violations of laws and regulations. 3.股东或存在交易关系的关联公司及其高级管理人员近期出现过重大违法违规行为的企业。
(4) Enterprises with the extraordinary growth of the business scale in the short term as well as an excessively high risk-asset ratio, debt-to-asset ratio or rental overdue rate. 4.业务规模短期内以超常规速度增长,风险资产比例、资产负债率和租金逾期率过高的企业。
(5) Enterprises with a low percentage of main business as well as lots of foreign investment and external guarantees. 5.主营业务占比偏低,存在大量对外投资和对外担保的企业。
(6) Enterprises with industrial raw materials, precious metals and other properties restricted from circulation, intangible assets, biological assets, commercial real estate and even residential properties as their main leased properties. 6.以工业原材料、贵重金属等限制流通物,无形资产、生物资产、商业地产甚至住宅等作为主要租赁物的企业。
(7) Enterprises which raise funds with a large-scale financing through Internet lending platforms and other Internet financial enterprises. 7.通过网络借贷平台等互联网金融企业进行融资,且融资规模较大的企业。
(8) Enterprises with natural persons as leasees or business partners and having several business disputes recently (for example, conducting the auto financing lease business for individuals). 8.以自然人为承租人或业务合作对象,且近期发生过多次业务纠纷的企业(例如面向个人开展汽车融资租赁业务)。
(9) Enterprises failing to fill out the relevant information through the national financial leasing enterprise management information system in a timely manner as required, or enterprises filling out obviously false or inaccurate information. 9.未按要求及时通过全国融资租赁企业管理信息系统填报相关信息的企业,或所填报信息明显存在不实、不准确等情况的企业。
(10) Enterprises of which the places of registration are inconsistent with the actual places of business or the contact information has been changed or those which have been unable to be contacted. 10.注册地与实际经营地不一致、联系方式发生变化或已无法联系的企业。
(11) Enterprises that have not conducted business for a long period of time (more than one year) after they have obtained the qualification for business operation. 11.取得经营资质后长期(超过一年)未开展业务的企业。
(12) Enterprises with a low percentage of paid-in registered capital (less than 30%), especially foreign-funded enterprises with a relatively low percentage of paid-in registered capital but conducting large-scale business. 12.注册资本实到率偏低(不足30%)的企业,特别是注册资本实到率低但开展业务规模较大的外资企业。
2. Focus of risk screening. (二)重点排查内容。
First, basic information: 一是基本情况:
(1) The basic information of enterprises, including but not limited to their shareholders or capital contributors, actual controllers, legal representatives, registered capital and paid-in amount, as well as the number and distribution of their branches. 1.企业基本信息,包括但不限于股东或出资人、实际控制人、法定代表人、注册资本及实缴金额、分支机构数量及分布等。
(2) The information on business operations, including leasees, leased properties and ownership of such properties, financing sources and methods, business compliance, collection of rentals and overdue rate. 2.业务开展情况,包括承租人、租赁物及其权属状况、融资来源及方式、业务合规性、租金收取情况及逾期率等。
(3) The information on the cross-border flow of funds such as overseas loans and overseas lending. 3.境外借款、境外放款等资金跨境流动情况。
Second, existing main problems: 二是存在的主要问题:
(1) Whether there are such activities as directly engaging in or participating in the absorption or disguised absorption of public deposits; whether an enterprise engages in the interbank lending, equity investment and other business without the approval of the relevant departments. 1.是否存在直接从事或参与吸收或变相吸收公众存款等行为;是否未经相关部门批准,从事同业拆借、股权投资等业务。
(2) Whether an enterprise, in violation of the relevant provisions of the state, provides financing to local governments and local government financing platform companies or requires local governments to provide guarantees or commit to make repayment for leasing projects. 2.是否违反国家有关规定向地方政府、地方政府融资平台公司提供融资或要求地方政府为租赁项目提供担保、承诺还款等。
(3) Whether there is any act such as fabricating leased properties, taking the subject not conforming to the legal provisions as leased properties, failing to actually obtain the ownership of the leased properties or obtaining the leased properties with the contract value that is obviously inconsistent with the actual value, actually engaging in the financing business in the name of financial leasing or even granting loans in any disguised form.

 3.是否存在虚构租赁物、以不符合法律规定的标的为租赁物、未实际取得租赁物所有权或租赁物合同价值与实际价值明显不符,以融资租赁为名义实际从事资金融通业务甚至变相发放贷款等行为。
