| The natural resources departments of all provinces, autonomous regions, and municipalities directly under the Central Government, and the natural resources department of Xinjiang Production and Construction Corps: | | 各省、自治区、直辖市自然资源主管部门，新疆生产建设兵团自然资源主管部门： |
| For the purposes of implementing the decisions and arrangements of the CPC Central Committee and the State Council on the reform of the mineral right assignment system, the reform of the petroleum and natural gas system, and the enhancement of oil and gas exploration and development, among others, maximizing the decisive role of the market in allocating resources and bringing the role of the government into better play, deepening the reform of “simplification of administrative procedures, decentralization of powers, combination of decentralization with appropriate control, and optimization of services,” and further improving the administration of mineral resources, the opinions on promoting the reform of administration of mineral resources are hereby offered as follows: | | 为贯彻落实党中央、国务院关于矿业权出让制度改革、石油天然气体制改革、加大油气勘探开发力度等决策部署，充分发挥市场配置资源的决定性作用和更好发挥政府作用，深化“放管服”改革，进一步完善矿产资源管理，现就推进矿产资源管理改革提出如下意见。 |
| I. Comprehensively promoting the competition-based assignment of mineral rights | | 一、全面推进矿业权竞争性出让 |
| Except for those assigned by agreement, other mineral rights shall be assigned in an open and comprehensive manner through bidding, auction, or quotation. Before the assignment, the relevant information shall be published for not less than 20 working days on the portal website of Ministry of Natural Resources, the portal websites of natural resources departments at the same level (or portal websites of governments) and government public resources trading platforms (mineral right trading platforms). In the case of assignment through bidding, a bid winner shall be determined on a comprehensive and merit basis based on the terms of bidding. In the case of assignment through auction, a bid winner shall be the bidder offering the highest price which is not less than the base price; and in case of assignment through quotation, a bid winner shall be the bidder offering the highest quote which is not less than the base price, and if there is only one bidder offering the lowest quote and the quotation is not lower than the base price, the quotation transaction is stricken. | | 除协议出让外，对其他矿业权以招标、拍卖、挂牌方式公开竞争出让，出让前应当在自然资源部门户网站、同级自然资源主管部门门户网站（或政府门户网站）和政府公共资源交易平台（矿业权交易平台）公告不少于20个工作日。以招标方式出让的，依据招标条件，综合择优确定中标人。以拍卖方式出让的，应价最高且不低于底价的竞买人为竞得人；以挂牌方式出让的，报价最高且不低于底价者为竞得人，只有一个竞买人报价且不低于底价的，挂牌成交。 |
| The pilot program of competition-based assignment of oil and gas (including petroleum, hydrocarbon natural gas, shale gas, coal bed methane, and natural gas hydrate, here and below) prospecting rights shall be further advanced. Explorations shall be made nationwide for conducting the pilot program of competition-based assignment of oil and gas prospecting rights with the prices determined based on the market benchmark prices of income from the assignment of mineral rights listed in the Annex as the starting prices for the competition-based assignment of oil and gas prospecting rights, and practical experience shall be explored and accumulated so as to steadily advance the reform of oil and gas prospecting and exploitation administration. | | 继续推进油气（包括石油、烃类天然气、页岩气、煤层气、天然气水合物，下同）探矿权竞争出让试点。在全国范围内探索以本附件所列的出让收益市场基准价确定的价格等作为油气探矿权竞争出让起始价，开展油气探矿权竞争出让试点，探索积累实践经验，稳步推进油气勘查开采管理改革。 |
| II. Strictly controlling the assignment of mineral rights by agreement | | 二、严格控制矿业权协议出让 |
| For rare earth and radioactive mineral prospecting and exploitation projects or key construction projects approved by the State Council, natural resources departments may assign mineral rights to specific entities by agreement. Where, considering work safety in mines and reasonable development and utilization of resources, it is necessary to further prospect and exploit mineral resources by utilizing the original production system with respect to the same type of minerals in the deep or upper part of a mining area under an existing exploitation right (the category in the Detailed Classification List of Mineral Resources, except for minerals in the category of sand, stone and soil for general construction use), the prospecting right and the exploitation right may be assigned to the same party by agreement. For the assignment of mineral rights by agreement, price evaluation and result publication shall be conducted. The income from the assignment of mineral rights shall be determined by natural resources departments based on the assessed values and market benchmark prices. | | 稀土、放射性矿产勘查开采项目或国务院批准的重点建设项目，自然资源主管部门可以协议方式向特定主体出让矿业权。基于矿山安全生产和资源合理开发利用等考虑，已设采矿权深部或上部的同类矿产（《矿产资源分类细目》的类别，普通建筑用砂石土类矿产除外），需要利用原有生产系统进一步勘查开采矿产资源的，可以协议方式向同一主体出让探矿权、采矿权。协议出让矿业权，必须实行价格评估、结果公示，矿业权出让收益由自然资源主管部门根据评估价值、市场基准价确定。 |
| Local natural resources departments that are to assignment mineral rights by agreement shall seek the opinions of the local people's government at the same level, and those needing the mineral rights assigned by the Ministry of Natural Resources by agreement shall first seek the opinions of provincial people's governments, except for the prospecting rights and exploitation rights of minerals in the deep or upper parts in mining areas under existing exploitation rights which need to be assigned by agreement. | | 地方自然资源主管部门协议出让矿业权须征求同级地方人民政府意见，需自然资源部协议出让的矿业权应先征求省级人民政府意见。已设采矿权深部或上部需要协议出让的探矿权采矿权除外。 |
| III. Actively promoting “net mineral right” assignment | | 三、积极推进“净矿”出让 |
“Net mineral right” assignment for sand, stone and soil, among others, featuring direct assignment of exploitation rights, shall be conducted; “net mineral right” assignment for other minerals shall be actively promoted; early-stage preparations for the assignment of mineral rights shall be strengthened; the mineral right assignment process shall be optimized; service efficiency shall be enhanced; mineral right assignment project pools shall be established based on the results of geological work and the needs of market participants; and, in conjunction with relevant departments, red lines of ecological protection and other areas where prospecting and exploitation are prohibited or restricted shall be avoided in accordance with laws and regulations, the scope of assignment shall be determined in a reasonable manner, and effective connection with land, sea, forest and grass use approval and other approval items shall be ensured so as to ensure that mineral right holders can conduct prospecting and exploitation after the assignment of mineral rights.
．．．．．． | | 开展砂石土等直接出让采矿权的“净矿”出让，积极推进其他矿种的“净矿”出让，加强矿业权出让前期准备工作，优化矿业权出让流程，提高服务效率，依据地质工作成果和市场主体需求，建立矿业权出让项目库，会同相关部门，依法依规避让生态保护红线等禁止限制勘查开采区，合理确定出让范围，并做好与用地用海用林用草等审批事项的衔接，以便矿业权出让后，矿业权人正常开展勘查开采工作。
