In accordance with the provisions of the Real Rights Law of the People's Republic of China and other relevant laws, the People's Bank of China has revised the Measures for the Registration of the Pledge of Accounts Receivable (Order No. 4 [2007], PBC), which, as revised, were adopted at the 8th governor's meeting on August 24, 2017, and are hereby issued, with effect from December 1, 2017. 根据《中华人民共和国物权法》等相关法律规定,中国人民银行对《应收账款质押登记办法》(中国人民银行令〔2007〕第4号发布)进行了修订,经2017年8月24日第8次行长办公会议通过,现予发布,自2017年12月1日起施行。

Measures for the Registration of the Pledge of Accounts Receivable 应收账款质押登记办法
(adopted at the 21st governor's meeting on September 26, 2007; and revised at the 8th governor's meeting on August 24, 2017) (2007年9月26日第21次行长办公会通过,2017年8年24日第8次行长办公会通过修订)
Chapter I General Provisions 

第一章 总 则

Article 1 For the purposes of regulating the registration of the pledge of accounts receivable and protecting the lawful rights and interests of the parties to a pledge and interested parties, these Measures are developed in accordance with the provisions of the Real Rights Law of the People's Republic of China and other relevant laws.   第一条 为规范应收账款质押登记,保护质押当事人和利害关系人的合法权益,根据《中华人民共和国物权法》等相关法律规定,制定本办法。
Article 2 For the purposes of these Measures, “accounts receivable” means the right obtained by the right holder to require the obligor to make payment for certain goods, services or facilities provided and other legal claims for payment, including existing and future pecuniary claims, but excluding claims for payment arising from commercial paper or other negotiable securities and claims for payment prohibited from assignment by any law or administrative regulation.   第二条 本办法所称应收账款是指权利人因提供一定的货物、服务或设施而获得的要求义务人付款的权利以及依法享有的其他付款请求权,包括现有的和未来的金钱债权,但不包括因票据或其他有价证券而产生的付款请求权,以及法律、行政法规禁止转让的付款请求权。
For the purposes of these Measures, “accounts receivable” includes the following rights: 本办法所称的应收账款包括下列权利:
(1) Claims arising from sale or lease, including the sale of goods, the supply of water, electricity, gas, or heat, the licensed use of intellectual property rights, and the lease of movable or immovable property, among others. (一) 销售、出租产生的债权,包括销售货物,供应水、电、气、暖,知识产权的许可使用,出租动产或不动产等;
(2) Claims arising from the provision of medical, educational, tourism, and other services or labor services. (二) 提供医疗、教育、旅游等服务或劳务产生的债权;
(3) The rights to obtain income from energy, transport, water conservancy, environmental protection, municipal works, and other infrastructure and public utility projects. (三) 能源、交通运输、水利、环境保护、市政工程等基础设施和公用事业项目收益权;
(4) Claims arising from the provision of loans or other credit activities. (四) 提供贷款或其他信用活动产生的债权;
(5) Other claims involving pecuniary payment under contracts. (五) 其他以合同为基础的具有金钱给付内容的债权。
Article 3 For the purposes of these Measures, “pledge of accounts receivable” means the pledge of accounts receivable prescribed in Article 223 of the Real Rights Law of the People's Republic of China, which specifically means that for the purpose of securing the performance of obligations, the debtor or a third person pledges the accounts receivable legally owned by it to the creditor, and if the debtor fails to perform its obligations by the due date or any circumstance for exercise of the pledgee's right as agreed upon by the parties occurs, the pledgee has the right to receive repayment in preference to other creditors from the accounts receivable and the income derived therefrom.   第三条 本办法所称应收账款质押是指《中华人民共和国物权法》第二百二十三条规定的应收账款出质,具体是指为担保债务的履行,债务人或者第三人将其合法拥有的应收账款出质给债权人,债务人不履行到期债务或者发生当事人约定的实现质权的情形,质权人有权就该应收账款及其收益优先受偿。
Article 4 The Credit Reference Center of the People's Bank of China (hereinafter referred to as the “Credit Reference Center”) shall be the registration authority of the pledge of accounts receivable.   第四条 中国人民银行征信中心(以下简称征信中心)是应收账款质押的登记机构。
The Credit Reference Center shall establish an Internet-based registration publication system (hereinafter referred to as the “registration publication system”) to conduct the registration of the pledge of accounts receivable and provide the public with inquiry services. 征信中心建立基于互联网的登记公示系统(以下简称登记公示系统),办理应收账款质押登记,并为社会公众提供查询服务。
Article 5 The People's Bank of China shall administer the activities of the Credit Reference Center related to the registration of the pledge of accounts receivable.   第五条 中国人民银行对征信中心办理应收账款质押登记有关活动进行管理。
Article 6 Where multiple rights are created on the same account receivable, the pledgees shall exercise their rights according to the chronological sequence of registration.   第六条 在同一应收账款上设立多个权利的,质权人按照登记的先后顺序行使质权。
Chapter II Registration and Inquiry 

第二章 登记与查询

Article 7 The registration of the pledge of accounts receivable shall be conducted through the registration publication system.
