The Regulations of the People's Republic of China on the Management of Foreign-Funded Financial Institutions, as adopted at the 14th executive meeting of the State Council on January 7, 1994, are hereby promulgated and shall come into force from April 1, 1994. | |

| CHAPTER ONE GENERAL PROVISIONS | | 第一章 总则 |

|
| Article 1 The regulations have been formulated with a view to strengthening and perfecting the management of foreign-funded financial institutions in China to adapt to the demand arising from the work of opening to the outside and economic development. | | 第一条 为了适应对外开放和经济发展的需要，加强和完善对外资金融机构的管理，制定本条例。 |

| Article 2 The term "foreign-funded financial institutions" mentioned in the regulations are referred to the following institutions which have been approved to be established to operate within the territory of China according to the relevant laws and regulations of the People's Republic of China. | | 第二条 本条例所称外资金融机构，是指依照中华人民共和国有关法律、法规的规定，经批准在中国境内设立和营业的下列金融机构： |

| 1. Foreign banks whose headquarters are within the territory of China (hereinafter referred to as foreign banks); | | （一）总行在中国境内的外国资本的银行（以下简称外资银行）； |
| |
|
| 2. Branches of foreign banks within the territory of China; | | （二）外国银行在中国境内的分行（以下简称外国银行分行）； |
| |
|
| 3. Joint venture banks within the territory of China established jointly by foreign and Chinese financial institutions; | | （三）外国的金融机构同中国的金融机构在中国境内合资经营的银行（以下简称合资银行）； |
| |
|
| 4. Foreign financial companies whose headquarters are within the territory of China (hereinafter referred to as foreign financial companies); | | （四）总公司在中国境内的外国资本的财务公司（以下简称外资财务公司）； |
| |
|
| 5. Joint venture financial companies established jointly by foreign and Chinese financial institutions. | | （五）外国的金融机构同中国的金融机构在中国境内合资经营的财务公司（以下简称合资财务公司）。 |
The areas where foreign-funded financial institutions are allowed to be established shall be determined by the State Council. | |
设立外资金融机构的地区，由国务院确定。 |

| Article 3 Foreign-funded financial institutions shall abide by the laws and regulations of the People's Republic of China and shall not make harm to the social and public interests of the People's Republic of China. | | 第三条 外资金融机构必须遵守中华人民共和国法律、法规，不得损害中华人民共和国的社会公共利益。 |
The normal operations and legitimate rights and interests of foreign- funded financial institutions shall be protected by the laws of the People's Republic of China. | |
外资金融机构的正当经营活动和合法权益受中华人民共和国法律保护。 |

| Article 4 The People's Bank of China is the organization which is in charge of the management and supervision of foreign-funded financial institutions. The branches of the People's Bank of China shall undertake the routine management and supervision of the foreign-funded financial institutions in their own areas. | | 第四条 中国人民银行是管理和监督外资金融机构的主管机关；外资金融机构所在地区的中国人民银行分支机构对本地区外资金融机构进行日常管理和监督。 |

| CHAPTER TWO ESTABLISHMENT AND REGISTRATION | | 第二章 设立与登记 |

| Article 5 The minimum registered capital of foreign banks and joint venture banks shall be convertible foreign currencies on a bar with RMB300 million; the minimum registered capital of foreign financial companies and joint venture financial companies shall be convertible foreign currencies on a par with RMB200 million. The paid-up capital shall not be less than 50 percent of the registered capital. | | 第五条 外资银行、合资银行的最低注册资本为3亿元人民币等值的自由兑换货币；外资财务公司、合资财务公司的最低注册资本为2亿元人民币等值的自由兑换货币；其实收资本不低于其注册资本的百分之五十。 |
The working capital of branches of foreign banks provided by their head offices shall be no less than convertible foreign currencies on a par with RMB100 million. | |
外国银行分行应当由其总行无偿拨给不少于1亿元人民币等值的自由兑换货币的营运资金。 |

| Article 6 In applying for the establishment of a foreign bank or a foreign financial company, the applicant must be qualified as: | | 第六条 设立外资银行或者外资财务公司，申请者应当具备下列条件： |
| |
|
| 1. a financial institution; | | （一）申请者为金融机构； |
| |
|
| 2. to have a representative office in China for at least two years; | | （二）申请者在中国境内已经设立代表机构2年以上； |
| |
|
| 3. to have a total assets of no less than US$10 billion at the end of the year before the application is filed; | | （三）申请者提出设立申请前1年年末总资产不少于100亿美元； |
| |
|
| 4. to have a complete financial supervision and control system in the country or region where it is located. | | （四）申请者所在国家或者地区有完善的金融监督管理制度。 |
| |
|
| Article 7 In applying for establishing a foreign bank branch, the applicant must be qualified as: | | 第七条 设立外国银行分行，申请者应当具备下列条件： |
| |
|
| 1. to have a representative office in China for at least two years; | | （一）申请者在中国境内已经设立代表机构2年以上； |
| |
|
| 2. to have a total assets of no less than US$20 billion at the end of the year before the application is filed; | | （二）申请者提出设立申请前1年年末总资产不少于200亿美元； |
| |
|
| 3. to have a complete financial supervision and control system in the country or region where it is located. | | （三）申请者所在国家或者地区有完善的金融监督管理制度。 |
| |
|
| Article 8 To apply for establishing a joint venture bank or joint venture financial company must meet the following conditions: | | 第八条 设立合资银行或者合资财务公司，申请者应当具备下列条件： |
| |
|
| 1. The joint venture partners must all be financial institutions; | | （一）合资各方均为金融机构； |
| |
|
| 2. The foreign partner has set up a representative office in China; | | （二）外国合资者在中国境内已经设立代表机构； |
| |
|
| 3. The total assets of the foreign partner shall not be less than US$10 billion at the end of the year before the application is filed; | | （三）外国合资者提出设立申请前1年年末总资产不少于100亿美元； |
| |
|
| 4. There is a complete financial supervision and control system in the country or region where the foreign partner is located. | | （四）外国合资者所在国家或者地区有完善的金融监督管理制度。 |
| |
|
| Article 9 In applying for establishing a foreign bank or foreign financial company in China, the applicant shall file and application in written form with the People's Bank of China and submit the following materials: | | 第九条 设立外资银行或者外资财务公司，应当由申请者向中国人民银行提出书面申请，并提交下列资料： |
| |
|
| 1. An application form for establishing a foreign bank or a foreign financial company with the name, registered capital and paid-up capital and line of business of the bank or financial company to be established; | | （一）设立外资银行或者外资财务公司的申请书，其内容包括：拟设外资银行或者外资财务公司的名称，注册资本和实收资本额，申请经营的业务种类等； |
| |
|
| 2. A feasibility study report; | | （二）可行性研究报告； |
| |
|
| 3. The articles of association of the bank or financial company to be established; | | （三）拟设外资银行或者外资财务公司的章程； |
| |
|
| 4. Business license (copy) issued by the country or authority in charge of the region where the applicant institution is located; | | （四）申请者所在国家或者地区有关主管当局核发的营业执照（副本）； |
| |
|
| 5. The annual financial statements of the last three years of the applicant institution; and | | （五）申请者最近3年的年报； |
| |
|
| 6. Other materials as will be required by the People's Bank of China. | | （六）中国人民银行要求提供的其他资料。 |
| |
|
| Article 10 In applying for establishing a foreign bank branch in China, the applicant shall file an application in written form with the People's Bank of China and submit the following materials: | | 第十条 设立外国银行分行，应当由外国银行总行向中国人民银行提出书面申请，并提交下列资料： |
| |
|
| 1. An application form with the name of the branch to be established, the amount of working capital appropriated by its head office and the line of business to be handled signed by the legal representative. | | （一）法定代表人签署的申请书，其内容包括：拟设外国银行分行的名称，总行无偿拨给的营运资金数额，申请经营的业务种类等； |
| |
|
| 2. Business license (copy) issued by the country or authority in charge of the region where the applicant institution is located; | | （二）申请者所在国家或者地区有关主管当局核发的营业执照（副本）； |
| |
|
| 3. The annual financial statements the of last three years of the applicant institution; and | | （三）申请者最近3年的年报； |
| |
|
| 4. Other materials as will be required by the People's Bank of China. | | （四）中国人民银行要求提供的其他资料。 |
| |
|
| Article 11 In applying for establishing a joint venture bank or joint venture financial company in China, the applicant shall file and application in written form with the People's Bank of China and submit the following materials: | | 第十一条 设立合资银行或者合资财务公司，应当由合资各方共同向中国人民银行提出书面申请，并提交下列资料： |
| |
|
| 1. An application form for establishing the joint venture bank or joint venture financial company with the name of the new company, the names of joint venture partners, the amount of registered capital and paid-up capital, the ratio of investment of each joint venture partner and the line of business to be applied for; | | （一）设立合资银行或者合资财务公司的申请书，其内容包括：拟设合资银行或者合资财务公司的名称，合资各方名称，注册资本和实收资本额，合资各方出资比例，申请经营的业务种类等； |
| |
|
| 2. A feasibility study report; | | （二）可行性研究报告； |
| |
|
| 3. The joint venture contract and articles of association of the joint venture bank or joint venture financial company to be set up; | | （三）合资经营合同及拟设合资银行或者合资财务公司的章程； |
| |
|
| 4. Business licenses (copy) of the joint venture partners issued by the countries or authority in charge of the region where the joint venture partners are located; | | （四）申请者所在国家或者地区有关主管当局核发给合资各方的营业执照（副本）； |
| |
|
| 5. The annual financial statements of the last three years of the joint venture partners; and | | （五）合资各方最近3年的年报； |
| |
|
| 6. Other materials as will be required by the People's Bank of China. | | （六）中国人民银行要求提供的其他资料。 |
| |
|
| Article 12 The materials indicated in Article 9, 10 and 11, apart from the annual financial statement, shall have a Chinese translation attached if they are written in a foreign language. | | 第十二条 本条例第九条、第十条、第十一条所列资料，除年报外，凡用外文书写的，应当附有中文译本。 |
| |
|
| Article 13 After the initial examination and approval, the People's Bank of China shall issue and official application form to be filled-up by the applicant. If the applicant has not received the official application form within 90 days after the application is filed, the application has been formally rejected. | | 第十三条 中国人民银行对设立外资金融机构的申请初步审查同意后，发给申请者正式申请表。申请者自提出设立申请之日起满90日未接到正式申请表的，其设立申请即为不予受理。 |

| Article 14 An applicant shall fill in the formal application form and submit it to the People's Bank of China for examination and approval within 60 days after receipt of the form, together with the following documents: | | 第十四条 申请者应当自接到正式申请表之日起60日内将填写好的申请表连同下列文件报中国人民银行审批： |
| |
|
| 1. A list and resume of the CEOs of the foreign financial institution; | | （一）拟设外资金融机构主要负责人名单及简历； |
