| Chapter I General Provisions | | 第一章 总则 |
| Article 1 For the purpose of strengthening the administration of telecommunications business licensing, these Measures are developed in accordance with the provisions of the Telecommunications Regulation of the People's Republic of China and other laws and administrative regulations. | | 第一条 为了加强电信业务经营许可管理，根据《中华人民共和国电信条例》及其他法律、行政法规的规定，制定本办法。 |
| Article 2 These Measures shall apply to the application for and the approval, use and administration of a telecommunications business permit (hereinafter referred to as a “business permit”) within the territory of the People's Republic of China. | | 第二条 在中华人民共和国境内申请、审批、使用和管理电信业务经营许可证（以下简称经营许可证），适用本办法。 |
| Article 3 The MIIT and the communications administrations of provinces, autonomous regions and municipalities directly under the Central Government (hereinafter collectively referred to as “telecommunications administrations”) are the administrative authorities in charge of the approval of business permits. | | 第三条 工业和信息化部和省、自治区、直辖市通信管理局（以下统称电信管理机构）是经营许可证的审批管理机构。 |
| The administration of approval of business permits shall follow the principles of convenience for the people, high efficiency, openness, fairness and impartiality. | | 经营许可证审批管理应当遵循便民、高效、公开、公平、公正的原则。 |
| The MIIT shall establish a comprehensive management platform for telecommunications business (hereinafter referred to as the “management platform”) to promote the online application for and approval and administration of business permits and the publication, inquiry and sharing of relevant information and improve the credit management mechanism. | | 工业和信息化部建立电信业务综合管理平台（以下简称管理平台），推进经营许可证的网上申请、审批和管理及相关信息公示、查询、共享，完善信用管理机制。 |
| Article 4 Telecommunications business may not be operated unless a business permit has been obtained from the telecommunications administration according to the law. | | 第四条 经营电信业务，应当依法取得电信管理机构颁发的经营许可证。 |
| Telecommunications operators shall, when engaging in telecommunications business activities, abide by the provisions on business permits, and accept and support the supervision and administration by telecommunications administrations. | | 电信业务经营者在电信业务经营活动中，应当遵守经营许可证的规定，接受、配合电信管理机构的监督管理。 |
| A telecommunications operator that operates telecommunications business pursuant to the provisions on business permits shall be protected by law. | | 电信业务经营者按照经营许可证的规定经营电信业务受法律保护。 |
| Chapter II Application for a Business Permit | | 第二章 经营许可证的申请 |
| Article 5 An applicant for operating basic telecommunications business shall satisfy the following requirements: | | 第五条 经营基础电信业务，应当具备下列条件： |
| (1) It is a company legally formed for specially engaging in basic telecommunications business, in which the state-owned equities or shares account for at least 51%. | | （一）经营者为依法设立的专门从事基础电信业务的公司，并且公司的国有股权或者股份不少于51%； |
| (2) It has a business development study report and a technical scheme on networking. | | （二）有业务发展研究报告和组网技术方案； |
| (3) It has the funds and professionals suitable for its business activities. | | （三）有与从事经营活动相适应的资金和专业人员； |
| (4) It has the sites, facilities and corresponding resources for engaging in its business activities. | | （四）有从事经营活动的场地、设施及相应的资源； |
| (5) It has the credibility for or capability of providing customers with long-term services. | | （五）有为用户提供长期服务的信誉或者能力； |
| (6) Its registered capital is 100 million yuan or more if it is to operate the business within a province, autonomous region or municipality directly under the Central Government; and its registered capital is 1 billion yuan or more if it is to operate the business nationwide or across provinces, autonomous regions and/or municipalities directly under the Central Government. | | （六）在省、自治区、直辖市范围内经营的，注册资本最低限额为1亿元人民币；在全国或者跨省、自治区、直辖市范围经营的，注册资本最低限额为10亿元人民币； |
| (7) The company and its major investors and major business managers are not included in the list of enterprises with dishonest telecommunications business operations. | | （七）公司及其主要投资者和主要经营管理人员未被列入电信业务经营失信名单； |
| (8) Other requirements as prescribed by the state. | | （八）国家规定的其他条件。 |
| Article 6 An applicant for operating the value-added telecommunications business shall satisfy the following requirements: | | 第六条 经营增值电信业务，应当具备下列条件： |
| (1) It is a legally formed company. | | （一）经营者为依法设立的公司； |
| (2) It has the funds and professionals suitable for its business activities. | | （二）有与开展经营活动相适应的资金和专业人员； |
| (3) It has the credibility for or capability of providing customers with long-term services. | | （三）有为用户提供长期服务的信誉或者能力； |
| (4) Its registered capital is 1 million yuan or more if it is to operate the business within a province, autonomous region or municipality directly under the Central Government; and its registered capital is 10 million yuan or more if it is to operate the business nationwide or across provinces, autonomous regions and/or municipalities directly under the Central Government. | | （四）在省、自治区、直辖市范围内经营的，注册资本最低限额为100万元人民币；在全国或者跨省、自治区、直辖市范围经营的，注册资本最低限额为1000万元人民币； |
| (5) It has necessary sites, facilities and technical schemes. | | （五）有必要的场地、设施及技术方案； |
| (6) The company and its major investors and major business managers are not included in the list of enterprises with dishonest telecommunications business operations. | | （六）公司及其主要投资者和主要经营管理人员未被列入电信业务经营失信名单； |
| (7) Other requirements as prescribed by the state. | | （七）国家规定的其他条件。 |
| Article 7 An applicant for a basic telecommunications business permit shall submit the following application materials to the MIIT: | | 第七条 申请办理基础电信业务经营许可证的，应当向工业和信息化部提交下列申请材料： |
| (1) A written application for operating basic telecommunications business signed by the company's legal representative, which shall include the type of the telecommunications business the applicant applies for operating, the business coverage, and the company's name and contract information, among others. | | （一）公司法定代表人签署的经营基础电信业务的书面申请，内容包括：申请经营电信业务的种类、业务覆盖范围、公司名称和联系方式等； |
| (2) The duplicate and photocopy of the business license of the company. | | （二）公司营业执照副本及复印件； |
| (3) The company profile, including the company's basic information, information on the setup and management of its institution to engage in the telecommunications business, information on the technical strength and business management personnel, information on the sites and facilities suitable for its business activities, among others. | | （三）公司概况，包括公司基本情况，拟从事电信业务的机构设置和管理情况、技术力量和经营管理人员情况，与从事经营活动相适应的场地、设施等情况； |
| (4) The company's bylaw and the relevant information on the company's equity structure and shareholders. | | （四）公司章程、公司股权结构及股东的有关情况； |
| (5) The business development study report, including the business development and implementation plan for operating the telecommunications business, the service items, business coverage, fee collection scheme, expected service quality, and benefit analysis, among others. | | （五）业务发展研究报告，包括：经营电信业务的业务发展和实施计划、服务项目、业务覆盖范围、收费方案、预期服务质量、效益分析等； |
| (6) The technical scheme on networking, including network structure, network scale, network construction plan, network interconnection scheme, technical standards, configuration of telecommunications equipment, and scheme on the use of telecommunications resources, among others. | | （六）组网技术方案，包括：网络结构、网络规模、网络建设计划、网络互联方案、技术标准、电信设备的配置、电信资源使用方案等； |
| (7) The measures for providing customers with long-term services and quality assurance. | | （七）为用户提供长期服务和质量保障的措施； |
| (8) The network and information security guarantee measures. | | （八）网络与信息安全保障措施； |
| (9) The relevant materials proving the credit standing of the company. | | （九）证明公司信誉的有关材料； |
| (10) A letter of commitment that the company will operate telecommunications business according to the law signed by the company's legal representative. | | （十）公司法定代表人签署的公司依法经营电信业务的承诺书。 |
| Article 8 An applicant for a value-added telecommunications business permit shall submit the following application materials to the telecommunications administration: | | 第八条 申请办理增值电信业务经营许可证的，应当向电信管理机构提交下列申请材料： |
| (1) A written application for engaging in the value-added telecommunications business signed by the company's legal representative, including the type of the telecommunications business the applicant applies for operating, business coverage, and the company's name and contact information, among others. | | （一）公司法定代表人签署的经营增值电信业务的书面申请，内容包括：申请经营电信业务的种类、业务覆盖范围、公司名称和联系方式等； |
| (2) The duplicate and photocopy of the company's business license. | | （二）公司营业执照副本及复印件； |
| (3) The company profile, including the company's basic information and the information on the personnel, sites and facilities, among others, for engaging in the telecommunications business. | | （三）公司概况，包括：公司基本情况，拟从事电信业务的人员、场地和设施等情况； |
| (4) The company's bylaw and the relevant information on the company's equity structure and shareholders. | | （四）公司章程、公司股权结构及股东的有关情况； |
| (5) The business development and implementation plan and the technical scheme on the telecommunications business. | | （五）经营电信业务的业务发展和实施计划及技术方案； |
| (6) The measures for providing customers with long-term services and quality assurance. | | （六）为用户提供长期服务和质量保障的措施； |
| (7) The network and information security guarantee measures. | | （七）网络与信息安全保障措施； |
| (8) The relevant materials proving the credit standing of the company. | | （八）证明公司信誉的有关材料； |
| (9) A letter of commitment that the company will operate telecommunications business according to the law signed by the company's legal representative. | | （九）公司法定代表人签署的公司依法经营电信业务的承诺书。 |
| If the telecommunications business the applicant applies for operating shall be subject to the prior examination and approval by the relevant competent department in accordance with any law or administrative regulation or relevant provision of the state, the applicant shall submit the approval document of the relevant competent department. | | 申请经营的电信业务依照法律、行政法规及国家有关规定须经有关主管部门事先审核同意的，应当提交有关主管部门审核同意的文件。 |
| Chapter III Approval of Business Permits | | 第三章 经营许可证的审批 |
| Article 9 Business permits are divided into two categories, namely, the Basic Telecommunications Business Permit and the Value-Added Telecommunications Business Permit, of which, the Value-Added Telecommunications Business Permit is divided into the Cross-Region Value-Added Telecommunications Business Permit and the Value-Added Telecommunications Business Permit within the scope of a province, autonomous region, or municipality directly under the Central Government. | | 第九条 经营许可证分为《基础电信业务经营许可证》和《增值电信业务经营许可证》两类。其中，《增值电信业务经营许可证》分为《跨地区增值电信业务经营许可证》和省、自治区、直辖市范围内的《增值电信业务经营许可证》。 |
| The Basic Telecommunications Business Permit and the Cross-Region Value-Added Telecommunications Business Permit shall be subject to approval by the MIIT. | | 《基础电信业务经营许可证》和《跨地区增值电信业务经营许可证》由工业和信息化部审批。省、自治区、直辖市范围内的《增值电信业务经营许可证》由省、自治区、直辖市通信管理局审批。 |
| The Value-Added Telecommunications Business Permit within the scope of a province, autonomous region, or municipality directly under the Central Government shall be subject to approval by the communications administration of a province, autonomous region, or municipality directly under the Central Government. | | 外商投资电信企业的经营许可证，由工业和信息化部根据《外商投资电信企业管理规定》审批。 |
| The business permit of a foreign-funded telecommunications enterprise shall be subject to approval by the MIIT in accordance with the Provisions on the Administration of Foreign-Funded Telecommunications Enterprises. | | |
| | 第十条 工业和信息化部应当对申请经营基础电信业务的申请材料进行审查。申请材料齐全、符合法定形式的，应当向申请人出具受理申请通知书。申请材料不齐全或者不符合法定形式的，应当当场或者在五日内一次告知申请人需要补正的全部内容。 |
| Article 10 The MIIT shall examine the application materials submitted by an applicant for engaging in the basic telecommunications business. If the application materials are complete and in statutory forms, it shall issue to the applicant a notice of acceptance of the application. If the application materials are incomplete or fail to be in the statutory forms, it shall, on the spot or within five days, inform at one time the applicant of all the required supplements and corrections. | | 工业和信息化部受理申请之后，应当组织专家对第七条第五项、第六项、第八项申请材料进行评审，形成评审意见。 |
| After accepting an application, the MIIT shall arrange for experts to review the application materials as prescribed in items (5), (6) and (8) of Article 7 to form a review opinion. | | 工业和信息化部应当自受理申请之日起180日内审查完毕，作出批准或者不予批准的决定。予以批准的，颁发《基础电信业务经营许可证》。不予批准的，应当书面通知申请人并说明理由。 |
| The MIIT shall complete the examination within 180 days of acceptance of an application, and make a decision of approval or disapproval. If it approves the application, it shall issue to the applicant a Basic Telecommunications Business Permit. If it disapproves the application, it shall notify in writing the applicant of the disapproval and the reasons therefor. | | |
| | 第十一条 电信管理机构应当对申请经营增值电信业务的申请材料进行审查。申请材料齐全、符合法定形式的，应当向申请人出具受理申请通知书。申请材料不齐全或者不符合法定形式的，应当当场或者在五日内一次告知申请人需要补正的全部内容。 |
| Article 11 A telecommunications administration shall examine the application materials submitted by an applicant for engaging in the value-added telecommunications business. If the application materials are complete and in statutory forms, it shall issue to the applicant a notice of acceptance of the application. If the application materials are incomplete or fail to in statutory forms, it shall, on the spot or within five days, notify at one time the applicant of all the required supplements and corrections. | | 电信管理机构根据管理需要，可以组织专家对第八条第五项、第六项和第七项申请材料进行评审，形成评审意见。 |
| The telecommunications administration may, as needed for administration, arrange for experts to review the application materials in items (5), (6) and (7) of Article 8 to form a review opinion. | | 电信管理机构应当自收到全部申请材料之日起60日内审查完毕，作出批准或者不予批准的决定。予以批准的，颁发《跨地区增值电信业务经营许可证》或者省、自治区、直辖市范围内的《增值电信业务经营许可证》。不予批准的，应当书面通知申请人并说明理由。 |
| The telecommunications administration shall complete the examination within 60 days of acceptance of all application materials, and make a decision of approval or disapproval. If it approves the application, the Cross-Region Value-Added Telecommunications Business Permit or the Value-Added Telecommunications Business Permit within the scope of a province, autonomous region, or municipality directly under the Central Government shall be issued. If it disapproves the application, it shall notify in writing the applicant of the disapproval and the reasons therefor. | | |
| | 第十二条 电信管理机构需要对申请材料实质内容进行核实的，可以自行或者委托其他机构对申请人实地查验，申请人应当配合。 |
| Article 12 Where a telecommunications administration needs to verify the substantial contents of the application materials, it may conduct on its own initiative or authorize any other agency to conduct the field inspection of the applicant, which shall be supported by the applicant. | | 电信管理机构组织专家评审的，专家评审时间不计算在本办法第十条第三款和第十一条第三款规定的审查期限内。 |
| Where the telecommunications administration arranges for experts to conduct review, the time required for expert review shall not be included in the examination period as prescribed in paragraph 3 of Article 10 and paragraph 3 of Article 11 of these Measures. | | |
| | 第十三条 经营许可证由正文和附件组成。 |
| Article 13 A business permit shall consist of the main body and the annex thereto. | | 经营许可证正文应当载明公司名称、法定代表人、业务种类（服务项目）、业务覆盖范围、有效期限、发证机关、发证日期、经营许可证编号等内容。 |
| The main body of a business permit shall specify the company name, legal representative, business type (service items), business coverage, period of validity, permit-issuing authority, date of issuance, business permit number and other contents. | | 经营许可证附件可以规定特别事项，由电信管理机构对电信业务经营行为、电信业务经营者权利义务等作出特别要求。 |
| The annex to a business permit may provide for special matters, and the telecommunications administration shall make special requirements for the telecommunications business operations and the rights and obligations of telecommunications operators, among others. | | 经营许可证应当加盖发证机关印章。 |
| A business permit shall be stamped with the seal of the permit-issuing authority. | | 工业和信息化部可以根据实际情况，调整经营许可证的内容，重新公布。 |
| The MIIT may adjust the contents of a business permit according to the actual circumstances and re-publish them. | | |
| | 第十四条 《基础电信业务经营许可证》的有效期，根据电信业务种类分为5年、10年。 |
| Article 14 A Basic Telecommunications Business Permit shall be valid for five years or ten years based on the type of the telecommunications business. | | 《跨地区增值电信业务经营许可证》和省、自治区、直辖市范围内的《增值电信业务经营许可证》的有效期为5年。 |
| The Cross-Region Value-Added Telecommunications Business Permit or the Value-Added Telecommunications Business Permit within the scope of a province, autonomous region, or municipality directly under the Central Government shall be valid for five years. | | |
