| The Standing Committee of the National People's Congress adopted the Decision of the Standing Committee of the National People's Congress on Amending the Non-state Education Promotion Law of the People's Republic of China, as issued by the Order (No. 55) signed by Xi Jinping, President of the People's Republic of China, on November 7, 2016, specifying that non-state schools shall be subject to administration by non-profit and for-private categories. The Several Opinions of the State Council on Encouraging Social Resources to Invest in Education and Promote Sound Development of Non-state Education (No. 81 [2016], State Council) comprehensively made arrangements for all the policies and measures for the reform and development of non-state education. For the purposes of implementing in depth the decisions and arrangements of the CPC Central Committee and the State Council and ensuring the orderly advancement of the reform of category-based administration, the Detailed Rules for the Implementation of Supervision and Administration of For-profit Non-state Schools were researched and developed and are hereby issued. | | 2016年11月7日，全国人民代表大会常务委员会通过了《全国人民代表大会常务委员会关于修改＜中华人民共和国民办教育促进法＞的决定》，规定对民办学校实行非营利性和营利性分类管理，并以国家主席习近平签署的中华人民共和国主席令（第五十五号）予以公布。《国务院关于鼓励社会力量兴办教育促进民办教育健康发展的若干意见》（国发〔2016〕81号，以下简称《若干意见》），全面部署了民办教育改革发展的各项政策措施。为深入贯彻落实党中央、国务院的决策部署，确保分类管理改革的有序推进，特研究制定《营利性民办学校监督管理实施细则》，现予印发。 |
| The category-based administration of non-state schools is a major reform direction determined by the CPC Central Committee and the State Council, an important measure to implement the Non-state Education Promotion Law, and significant content to deepen the comprehensive reform in the education field. | Chapter I General Provisions | | 第一章 总 则 |
| Article 1 For the purposes of implementing the Several Opinions of the State Council on Encouraging Social Resources to Invest in Education and Promote Sound Development of Non-state Education, regulating the operation of the for-profit non-state school, and promoting the sound development of non-state education, these Detailed Rules are developed in accordance with the Education Law of the People's Republic of China, the Non-state Education Promotion Law of the People's Republic of China, the Decision of the Standing Committee of the National People's Congress on Amending the Non-state Education Promotion Law of the People's Republic of China as adopted on November 7, 2016, and other laws and regulations. | | 第一条 为贯彻落实《国务院关于鼓励社会力量兴办教育促进民办教育健康发展的若干意见》，规范营利性民办学校办学行为，促进民办教育健康发展，根据《中华人民共和国教育法》《中华人民共和国民办教育促进法》和2016年11月7日《全国人民代表大会常务委员会关于修改＜中华人民共和国民办教育促进法＞的决定》等法律法规，制定本细则。 |
| Article 2 A social organization or an individual may run a kindergarten, or a school at the phase of secondary education, or a for-profit non-state school of higher education or any other institution of higher education, and may not run a for-profit non-state school providing compulsory education. | | 第二条 社会组织或者个人可以举办营利性民办高等学校和其他高等教育机构、高中阶段教育学校和幼儿园，不得设立实施义务教育的营利性民办学校。 |
| No social organization or individual shall run or participate in the running of a for-profit non-state school with fiscal funds or donated assets. | | 社会组织或者个人不得以财政性经费、捐赠资产举办或者参与举办营利性民办学校。 |
| Article 3 A for-profit non-state school shall comply with the laws and regulations issued by the state, comprehensively carry out the education policy of the party, adhere to the leadership of the party, follow the socialist direction in operation, advocate moral education, enhance education of core socialist values for students, and cultivate socialist constructors and successors in an all-round development in the aspects of morals, intelligence, physical conditions and aesthetics, among others. | | 第三条 营利性民办学校应当遵守国家法律法规，全面贯彻党的教育方针，坚持党的领导，坚持社会主义办学方向，坚持立德树人，对受教育者加强社会主义核心价值观教育，培养德、智、体、美等方面全面发展的社会主义建设者和接班人。 |
| A for-profit non-state school shall adhere to the public welfare of education, make the fostering of high-quality talents and the service for social and economic development a top priority at all times, and unify social and economic benefit. | | 营利性民办学校应当坚持教育的公益性，始终把培养高素质人才、服务经济社会发展放在首位，实现社会效益与经济效益相统一。 |
| Article 4 An approval department, an administration for commerce and industry or any other relevant department shall, within the scope of its duties, exercise the power of inspection and administration against for-profit non-state schools in accordance with the law. | | 第四条 审批机关、工商行政管理部门和其他相关部门在职责范围内，依法对营利性民办学校行使监督管理职权。 |
| Chapter II School Establishment | | 第二章 学校设立 |
| Article 5 The establishment of a for-profit non-state school shall be approved by reference to the standards for same-level and same-class schools issued by the state and fall into two phases in general: preparation and establishment. In the case of a for-profit non-state school for which the preparation is approved, the founder shall file an official application for establishment within three years following the date of the approval of the preparation, and if no such application is filed within three years, the preparation approval documents shall be repealed automatically. | | 第五条 批准设立营利性民办学校参照国家同级同类学校设置标准，一般分筹设、正式设立两个阶段。经批准筹设的营利性民办学校，举办者应当自批准筹设之日起3年内提出正式设立申请，3年内未提出正式设立申请的，原筹设批复文件自然废止。 |
| A for-profit non-state school shall not recruit any students within the period of preparation. | | 营利性民办学校在筹设期内不得招生。 |
| Article 6 An approval department shall adhere to the orientation of high level school with distinctive features when approving the establishment of a for-profit non-state school. The establishment of a for-profit non-state school of higher education shall be included in the local planning on the establishment of schools of higher education, and the size thereof shall be strictly confirmed according to the standards for the establishment of schools, operation conditions and the number of disciplines and departments, among others. The size of a for-profit non-state school at or below the medium level shall be determined by the provincial-level people's government based on local actual circumstances. | | 第六条 审批机关应当坚持高水平、有特色导向批准设立营利性民办学校。设立营利性民办高等学校，应当纳入地方高等学校设置规划，按照学校设置标准、办学条件和学科专业数量等严格核定办学规模。中等以下层次营利性民办学校办学规模由省级人民政府根据当地实际制定。 |
| Article 7 The amount of registered capital of a for-profit non-state school shall match the category, level and size of the school. | | 第七条 营利性民办学校注册资本数额要与学校类别、层次、办学规模相适应。 |
| Article 8 The social organization or an individual that runs a for-profit non-state school shall have economic strength matching the level, type and size of the school operated and the net assets or financial capital to meet the need of the establishment and development of the school. | | 第八条 举办营利性民办学校的社会组织或者个人应当具备与举办学校的层次、类型、规模相适应的经济实力，其净资产或者货币资金能够满足学校建设和发展的需要。 |
| Article 9 The social organization which runs a non-state school shall satisfy the following conditions: | | 第九条 举办营利性民办学校的社会组织，应当具备下列条件： |
| (1) Having the status of a legal person of the People's Republic of China. | | （一）有中华人民共和国法人资格。 |
| (2) Having good credit standing, not listed as an enterprise in abnormal operation or as a dishonest enterprise in serious violation of the law, and having no record of misconduct. | | （二）信用状况良好，未被列入企业经营异常名录或严重违法失信企业名单，无不良记录。 |
| (3) The legal representative is a national of the People's Republic of China residing therein, having good credit standing, without criminal records, entitled to political rights, and fully capable of civil conduct. | | （三）法定代表人有中华人民共和国国籍，在中国境内定居，信用状况良好，无犯罪记录，有政治权利和完全民事行为能力。 |
| Article 10 The individual who runs a non-state school shall satisfy the following conditions: | | 第十条 举办营利性民办学校的个人，应当具备下列条件： |
| (1) Being a national of the People's Republic of China residing in China. | | （一）有中华人民共和国国籍，在中国境内定居。 |
| (2) Having good credit standing and no criminal records. | | （二）信用状况良好，无犯罪记录。 |
| (3) Having political rights and full capacity for civil conduct. | | （三）有政治权利和完全民事行为能力。 |
| Article 11 In applying for the preparation for a for-profit non-state school, the founder shall submit the following documents: | | 第十一条 申请筹设营利性民办学校，举办者应当提交下列材料： |
| (1) An application for preparation. The content mainly includes: the name and address or the name, address and qualifications of the founder and the name, address, level, size, conditions, fostering objectives, forms, internal management mechanism, party organization, and fund raising and the management and use of the funds of the school for which the preparation is made. | | （一）筹设申请报告。内容主要包括：举办者的名称、地址或者姓名、住址及其资质，筹设学校的名称、地址、办学层次、办学规模、办学条件、培养目标、办学形式、内部管理机制、党组织设置、经费筹措与管理使用等。 |
| (2) A report of the establishment of the school. | | （二）设立学校论证报告。 |
| (3) Qualification certification documents of the founder. Where the founder is a social organization, the license, registration certificate or business license of the social organization, the photocopy of the valid identification certificate of the legal representative, list of and photocopies of the valid identification certificates of the persons in charge and members of the decision-making body and the authority body, the audit results of the annual financial accounting reports of the social organization issued by a qualified accounting firm in recent two years, and the resolutions made by the decision-making body and the authority body on consenting to the investment in and running of the school shall be included. Where the founder is an individual, the photocopy of the valid identification certificate, the deposits of the individual, the decision on the investment in and running of the school signed by the individual himself, and other certification documents shall be included. | | （三）举办者资质证明文件。举办者是社会组织的，应当包括社会组织的许可证、登记证或者营业执照、法定代表人有效身份证件复印件，决策机构、权力机构负责人及组成人员名单和有效身份证件复印件，有资质的会计师事务所出具的该社会组织近2年的年度财务会计报告审计结果，决策机构、权力机构同意投资举办学校的决议。举办者是个人的，应当包括有效身份证件复印件、个人存款、有本人签名的投资举办学校的决定等证明文件。 |
| (4) Sources of assets, amount of funds and valid certificates specifying property. | | （四）资产来源、资金数额及有效证明文件，并载明产权。 |
| (5) Where the founder of a non-state school applies for the running of a for-profit non-state school, photocopies of the permit in running a school, registration certificate or business license and organization code certificate, certificate of the right to use land for school, and certificate of property in the school buildings of the existing non-state school which he runs or participated in the running of, the supporting documents on the annual examinations in recent two years, and the audit results of the annual financial accounting reports of the school issued by a qualified accounting firm in recent two years shall be submitted in addition. | | （五）民办学校举办者再申请举办营利性民办学校的，还应当提交其举办或者参与举办的现有民办学校的办学许可证、登记证或者营业执照、组织机构代码证、校园土地使用权证、校舍房屋产权证明复印件，近2年年度检查的证明材料，有资质的会计师事务所出具的学校上年度财务会计报告审计结果。 |
| (6) Where there are more than two founders, a cooperation agreement on the establishment of a school shall be submitted, specifying the amount of the capital contributed by each founder, mode of capital contribution, rights and obligations, the order of the founders, measures for the settlement of disputes, and other content. Where the capital contributed is included in the registered capital of the school, the amount of the capital contributed by each founder which is included in the registered capital of the school, mode of capital contribution, and the proportions of the registered capital shall be specified. | | （六）有两个以上举办者的，应当提交合作办学协议，明确各举办者的出资数额、出资方式、权利义务，举办者的排序、争议解决办法等内容。出资计入学校注册资本的，应当明确各举办者计入注册资本的出资数额、出资方式、占注册资本的比例。 |
| Article 12 In applying for the establishment of a for-profit non-state school, the founder shall submit the following documents: | | 第十二条 申请正式设立营利性民办学校，举办者应当提交下列材料： |
