Chapter I: Scope of Application

1. This Convention applies to: 1.本公约适用于:
(a) Assignments of international receivables and to international assignments of receivables as defined in this chapter, if, at the time of conclusion of the contract of assignment, the assignor is located in a Contracting State; and (a)符合本章定义的国际应收款的转让和应收款的国际转让,前提是转让合同订立时转让人所在地在一缔约国内;以及

3. This Convention does not affect the rights and obligations of the debtor unless, at the time of conclusion of the original contract, the debtor is located in a Contracting State or the law governing the original contract is the law of a Contracting State. 3.本公约不影响债务人的权利和义务,除非在原始合同订立时债务人所在地在一缔约国内或管辖原始合同的法律是一缔约国的法律。
4. The provisions of chapter V apply to assignments of international receivables and to international assignments of receivables as defined in this chapter independently of paragraphs 1 to 3 of this article. Article 2 Assignment of Receivables   第2条 应收款的转让
For the purposes of this Convention: 在本公约中:
(a) "Assignment" means the transfer by agreement from one person ("assignor") to another person ("assignee") of all or part of or an undivided interest in the assignor's contractual right to payment of a monetary sum ("receivable") from a third person ("the debtor"). Article 3 Internationality   第3条 国际性
A receivable is international if, at the time of conclusion of the original contract, the assignor and the debtor are located in different States. An assignment is international if, at the time of conclusion of the contract of assignment, the assignor and the assignee are located in different States. 原始合同订立时,转让人和债务人所在地在不同国家的,该应收款具有国际性。转让合同订立时,转让人和受让人所在地在不同国家的,该转让具有国际性。
Article 4 Exclusions and Other Limitations   第4条 除外情况和其他限制
1. This Convention does not apply to assignments made: 1.本公约不适用于下列转让:
(a) To an individual for his or her personal, family or household purposes; (a)对个人进行的为其个人、家人或家庭目的的转让;
(b) As part of the sale or change in the ownership or legal status of the business out of which the assigned receivables arose. (b)产生所转让应收款的企业作为企业变卖的一部分或变更其所有权或法律地位而进行的转让。
2. This Convention does not apply to assignments of receivables arising under or from: 2.本公约不适用于下列情况下或从其中而产生的应收款转让:
(a) Transactions on a regulated exchange; (a)受管制交易所的交易;

(c) Foreign exchange transactions; (c)外汇交易;

(f) Bank deposits; (f)银行存款;
(g) A letter of credit or independent guarantee. (g)信用证或独立担保。
3. Nothing in this Convention affects the rights and obligations of any person under the law governing negotiable instruments. 3.本公约任何规定概不影响管辖流通票据的法律规定的任何人的权利和义务。
4. Nothing in this Convention affects the rights and obligations of the assignor and the debtor under special laws governing the protection of parties to transactions made for personal, family or household purposes. 4.本公约任何规定概不影响转让人和债务人根据关于保护为个人、家人或家庭目的进行的交易的当事方的特别法律而享有的权利和承担的义务。
5. Nothing in this Convention: 5.本公约任何规定:
(a) Affects the application of the law of a State in which real property is situated to either: (a)概不影响不动产所在国的法律适用于下列情况:
(i) An interest in that real property to the extent that under that law the assignment of a receivable confers such an interest; or (一)根据该法律应收款的转让授予对该不动产权益的,适用于此种权益;或
(ii) The priority of a right in a receivable to the extent that under that law an interest in the real property confers such a right; or (二)根据该法律不动产权益授予应收款权利的,适用于此种权利的优先权;
(b) Makes lawful the acquisition of an interest in real property not permitted under the law of the State in which the real property is situated. (b)使不动产所在国法律所不允许的不动产权益购置行为成为合法行为。
Chapter II: General Provisions 

第二章 总则

Article 5 Definitions and Rules of Interpretation   第5条 定义和解释规则
For the purposes of this Convention: 在本公约中:
(a) "Original contract" means the contract between the assignor and the debtor from which the assigned receivable arises; (a)“原始合同”系指转让人与债务人之间据以产生所转让应收款的合同;
(b) "Existing receivable" means a receivable that arises upon or before conclusion of the contract of assignment and "future receivable" means a receivable that arises after conclusion of the contract of assignment; (b)“现有应收款”系指转让合同订立时或此前产生的应收款,“未来应收款”系指转让合同订立后产生的应收款;
(c) "Writing" means any form of information that is accessible so as to be usable for subsequent reference. Where this Convention requires a writing to be signed, that requirement is met if, by generally accepted means or a procedure agreed to by the person whose signature is required, the writing identifies that person and indicates that person's approval of the information contained in the writing; (c)“书面”系指可供日后查阅用的任何可及的信息形式。凡本公约要求签署书面文件时,该书面文件通过普遍公认手段或通过需签字者所同意的程序标明签字者并表明其已认可该书面文件所载信息的,这项要求即已满足;
(d) "Notification of the assignment" means a communication in writing that reasonably identifies the assigned receivables and the assignee; (d)“转让通知”系指合理指明所转让的应收款和受让人的书面通信;
(e) "Insolvency administrator" means a person or body, including one appointed on an interim basis, authorized in an insolvency proceeding to administer the reorganization or liquidation of the assignor's assets or affairs; (e)“破产管理人”系指在破产程序中经授权负责管理转让人资产或事务重整或清算的个人或机构,包括临时指定的个人或机构;
(f) "Insolvency proceeding" means a collective judicial or administrative proceeding, including an interim proceeding, in which the assets and affairs of the assignor are subject to control or supervision by a court or other competent authority for the purpose of reorganization or liquidation; (f)“破产程序”系指集体的司法或行政程序,包括临时程序,在此程序中,转让人的资产和事务须受法院或其他主管当局为重整或清算目的而实行的控制或监督;
(g) "Priority" means the right of a person in preference to the right of another person and, to the extent relevant for such purpose, includes the determination whether the right is a personal or a property right, whether or not it is a security right for indebtedness or other obligation and whether any requirements necessary to render the right effective against a competing claimant have been satisfied; (g)“优先权”系指一人优先于另一人的权利,并以适合此目的为限,包括确定该项权利是一项对人权还是一项对物权,是否属于一项对负债或其他义务的担保权利,以及该项权利对竞合求偿人发生效力的任何必要条件是否得到满足;
(h) A person is located in the State in which it has its place of business. If the assignor or the assignee has a place of business in more than one State, the place of business is that place where the central administration of the assignor or the assignee is exercised. If the debtor has a place of business in more than one State, the place of business is that which has the closest relationship to the original contract. If a person does not have a place of business, reference is to be made to the habitual residence of that person; (h)一人的所在地为其营业地所在国。转让人或受让人在一个以上国家境内设有营业地的,转让人或受让人的中央管理职能行使地为营业地。债务人在一个以上国家境内设有营业地的,与原始合同关系最密切的营业地为营业地。某人无营业地的,以其惯常居住地为准;

(j) "Proceeds" means whatever is received in respect of an assigned receivable, whether in total or partial payment or other satisfaction of the receivable. The term includes whatever is received in respect of proceeds. The term does not include returned goods; (j)“收益”系指有关所转让应收款的任何所得,不论是应收款的全部或部分支付,还是其他手段的偿付。本术语包括有关收益的任何所得。本术语不包括退还的货物;
(k) "Financial contract" means any spot, forward, future, option or swap transaction involving interest rates, commodities, currencies, equities, bonds, indices or any other financial instrument, any repurchase or securities lending transaction, and any other transaction similar to any transaction referred to above entered into in financial markets and any combination of the transactions mentioned above; (k)“金融合同”系指涉及利率、商品、货币、股票、债券、指数或其他任何金融工具的任何现货交易、远期交易、期货交易、期权交易或互换交易、任何回购或证券借贷交易和在金融市场订立的与上述任何交易相类似的任何其他交易和上述交易的任何组合;
(l) "Netting agreement" means an agreement between two or more parties that provides for one or more of the following: (l)“净额结算协议”系指双方或多方间规定下述一种或多种操作的协议:
(i) The net settlement of payments due in the same currency on the same date whether by novation or otherwise; (一)以债权更新或其他方式对同一天到期的同一种货币付款进行的净结算;
(ii) Upon the insolvency or other default by a party, the termination of all outstanding transactions at their replacement or fair market values, conversion of such sums into a single currency and netting into a single payment by one party to the other; or (二)一当事方发生破产或其他违约情况时,按重置或公平市场价值终结所有未了结的交易,将金额按一种货币折算,相互抵减后算出一当事方应向另一当事方支付的单独一笔付款净额;
(iii) The set-off of amounts calculated as set forth in subparagraph (l) (ii) of this article under two or more netting agreements; (三)根据两项或多项净结算协议,按本条(l)(二)项规定的方式计算,各款额相互抵消;
(m) "Competing claimant" means: (m)“竞合求偿人”系指:
(i) Another assignee of the same receivable from the same assignor, including a person who, by operation of law, claims a right in the assigned receivable as a result of its right in other property of the assignor, even if that receivable is not an international receivable and the assignment to that assignee is not an international assignment; (一)同一转让人相同应收款的另一受让人,包括因对转让人其他财产所享有的权利而依法要求对所转让应收款享有权利的人,即使该应收款不是国际应收款,向该受让人进行的转让也不是国际转让;
(ii) A creditor of the assignor; or (二)转让人的债权人;或
(iii) The insolvency administrator. (三)破产管理人。
Article 6 Party Autonomy   第6条 当事方意思自治
Subject to article 19, the assignor, the assignee and the debtor may derogate from or vary by agreement provisions of this Convention relating to their respective rights and obligations. Such an agreement does not affect the rights of any person who is not a party to the agreement. 在不违反第19条的情况下,转让人、受让人和债务人可通过协议(删减或更改)本公约对其各自权利和义务的规定。此类协议不影响非协议当事方的任何人的权利。
Article 7 Principles of Interpretation   第7条 解释原则
1. In the interpretation of this Convention, regard is to be had to its object and purpose as set forth in the preamble, to its international character and to the need to promote uniformity in its application and the observance of good faith in international trade. 1.在解释本公约时,应考虑到序言所载的公约目标和宗旨、公约的国际性以及促进公约适用上的统一和在国际贸易中遵守诚信的必要性。
2. Questions concerning matters governed by this Convention that are not expressly settled in it are to be settled in conformity with the general principles on which it is based or, in the absence of such principles, in conformity with the law applicable by virtue of the rules of private international law. 2.涉及本公约所管辖事项而在本公约中并未明确解决的问题,应按本公约所依据的一般原则求得解决,或在无此种原则时,按国际私法规则指定的适用法律解决。
Chapter III: Effects of Assignment 

第三章 转让的效力

Article 8 Effectiveness of Assignments   第8条 转让的效力
1. An assignment is not ineffective as between the assignor and the assignee or as against the debtor or as against a competing claimant, and the right of an assignee may not be denied priority, on the ground that it is an assignment of more than one receivable, future receivables or parts of or undivided interests in receivables, provided that the receivables are described: 1.应收款符合下列条件之一的,其转让对于转让人与受让人之间、对于债务人或对于竞合求偿人而言并非无效,而且也不得以这是一项以上应收款、未来应收款或应收款组成部分或其未分割权益的转让为由而否定一个受让人权利的优先权:
(a) Individually as receivables to which the assignment relates; or (a)应收款被单独列明作为与该转让相关的应收款;
(b) In any other manner, provided that they can, at the time of the assignment or, in the case of future receivables, at the time of conclusion of the original contract, be identified as receivables to which the assignment relates. (b)应收款由任何其他方式列明,但条件是在转让时,或就未来应收款而言在原始合同订立时,可被认明是与该转让相关的应收款。
2. Unless otherwise agreed, an assignment of one or more future receivables is effective without a new act of transfer being required to assign each receivable. 2.除非另行议定,一项或多项未来应收款的转让无须逐项应收款转让办理新的转移手续即可具有效力。
3. Except as provided in paragraph 1 of this article, article 9 and article 10, paragraphs 2 and 3, this Convention does not affect any limitations on assignments arising from law. 3.除本条第1款、第9条和第10条第2款及第3款规定外,本公约不影响由法律产生的对转让的任何限制。
Article 9 Contractual Limitations on Assignments   第9条 转让的合同限制
1. An assignment of a receivable is effective notwithstanding any agreement between the initial or any subsequent assignor and the debtor or any subsequent assignee limiting in any way the assignor's right to assign its receivables. 1.尽管初始转让人或任何后继转让人与债务人或任何后继受让人之间的任何协议以任何方式限制转让人转让其应收款的权利,应收款的转让具有效力。
2. Nothing in this article affects any obligation or liability of the assignor for breach of such an agreement, but the other party to such agreement may not avoid the original contract or the assignment contract on the sole ground of that breach. A person who is not party to such an agreement is not liable on the sole ground that it had knowledge of the agreement. 2.本条规定概不影响转让人因违反此种协议而承担的任何义务或赔偿责任,但该协议的另一方不得仅以此项违反为由撤销原始合同或转让合同。非此种协议当事方的人仅因知悉该协议不承担责任。
3. This article applies only to assignments of receivables: 3.本条仅适用于下列应收款的转让:
(a) Arising from an original contract that is a contract for the supply or lease of goods or services other than financial services, a construction contract or a contract for the sale or lease of real property; (a)根据供应或租赁货物或除金融服务外的服务的合同、工程建筑合同或买卖或租赁不动产的合同这类原始合同产生的应收款;
(b) Arising from an original contract for the sale, lease or licence of industrial or other intellectual property or of proprietary information; (b)根据买卖或租赁工业产权或其他知识产权或专有资料或为其核发许可证的原始合同产生的应收款;
(c) Representing the payment obligation for a credit card transaction; or (c)代表对信用卡交易支付义务的应收款;或
(d) Owed to the assignor upon net settlement of payments due pursuant to a netting agreement involving more than two parties. (d)依照涉及两个以上当事方的净结算协议按净额结算应付款项后尚欠转让人的应收款。
Article 10 Transfer of Security Rights   第10条 担保权利的转移
1. A personal or property right securing payment of the assigned receivable is transferred to the assignee without a new act of transfer. If such a right, under the law governing it, is transferable only with a new act of transfer, the assignor is obliged to transfer such right and any proceeds to the assignee. 1.对人权或对物权,作为对所转让应收款的付款担保时,无须办理新的转移手续即可转移。根据对这种权利的管辖法律这种权利只有在办理新手续后方可转移的,转让人有义务将这种权利和任何收益转移给受让人。
2. A right securing payment of the assigned receivable is transferred under paragraph 1 of this article notwithstanding any agreement between the assignor and the debtor or other person granting that right, limiting in any way the assignor's right to assign the receivable or the right securing payment of the assigned receivable. 2.尽管转让人与债务人或与让出所转让应收款的付款担保权利的其他人之间可能有任何协议,以任何方式限制转让人应收款转让权利或所转让应收款的付款担保权利,所转让应收款的付款担保权利仍根据本条第1款实现转移。
3. Nothing in this article affects any obligation or liability of the assignor for breach of any agreement under paragraph 2 of this article, but the other party to that agreement may not avoid the original contract or the assignment contract on the sole ground of that breach. 5. The transfer of a possessory property right under paragraph 1 of this article does not affect any obligations of the assignor to the debtor or the person granting the property right with respect to the property transferred existing under the law governing that property right. 5.根据本条第1款转移财产占有权不影响转让人根据管辖该财产权的现行法律,就转移的该财产而对债务人或让出财产权者所承担的任何义务。
6. Paragraph 1 of this article does not affect any requirement under rules of law other than this Convention relating to the form or registration of the transfer of any rights securing payment of the assigned receivable. 6.关于所转让应收款的任何付款担保权利,本公约以外法律规则对其转移形式或登记有任何要求的,本条第1款不影响此种要求。
Chapter IV: Rights, Obligations and Defences

Section I: Assignor and Assignee

Article 11 Rights and Obligations of the Assignor and the Assignee   第11条 转让人和受让人的权利和义务
1. The mutual rights and obligations of the assignor and the assignee arising from their agreement are determined by the terms and conditions set forth in that agreement, including any rules or general conditions referred to therein. 1.转让人和受让人之间由其协议产生的相互权利和义务,依照该协议所载条款和条件,包括其中提到的任何规则或一般条件确定。
2. The assignor and the assignee are bound by any usage to which they have agreed and, unless otherwise agreed, by any practices they have established between themselves. 2.转让人和受让人受双方议定的任何惯例约束,并且除非另行议定,也受双方之间已确立的任何习惯做法约束。
3. In an international assignment, the assignor and the assignee are considered, unless otherwise agreed, implicitly to have made applicable to the assignment a usage that in international trade is widely known to, and regularly observed by, parties to the particular type of assignment or to the assignment of the particular category of receivables. 3.除非另行议定,在国际转让中,转让人和受让人被视为已默认对该转让适用在国际贸易中该类转让或该类应收款转让的当事各方所熟知和通常遵守的习惯做法。
Article 12 Representations of the Assignor   第12条 转让人的表示
1. Unless otherwise agreed between the assignor and the assignee, the assignor represents at the time of conclusion of the contract of assignment that: 1.除非转让人与受让人之间另行议定,在转让合同订立时,转让人即表示:
(a) The assignor has the right to assign the receivable; (a)转让人有权转让该应收款;
(b) The assignor has not previously assigned the receivable to another assignee; and (b)转让人此前未曾将该应收款转让给另一受让人;以及
(c) The debtor does not and will not have any defences or rights of set off. (c)债务人现在和将来均无任何抗辩或抵消权。
2. Unless otherwise agreed between the assignor and the assignee, the assignor does not represent that the debtor has, or will have, the ability to pay. 2.除非转让人与受让人之间另行议定,转让人并不表示债务人具备或将会具备付款的能力。
Article 13 Right to Notify the Debtor   第13条 通知债务人的权利
1. Unless otherwise agreed between the assignor and the assignee, the assignor or the assignee or both may send the debtor notification of the assignment and a payment instruction, but after notification has been sent only the assignee may send such an instruction. 1.除非转让人与受让人之间另行议定,转让人或受让人或双方均可向债务人发出转让通知和付款指示,但在通知发出后,只有受让人才可发出这种指示。
2. Notification of the assignment or a payment instruction sent in breach of any agreement referred to in paragraph 1 of this article is not ineffective for the purposes of article 17 by reason of such breach. However, nothing in this article affects any obligation or liability of the party in breach of such an agreement for any damages arising as a result of the breach. 2.就第17条而言,违反本条第1款所述任何协议而发出的转让通知或付款指示不因这种违反而无效。但本条规定概不影响违反该协议的当事方对其违反协议而造成的任何损害所应承担的任何义务或赔偿责任。
Article 14 Right to Payment   第14条 获得付款的权利
1. As between the assignor and the assignee, unless otherwise agreed and whether or not notification of the assignment has been sent: 1.除非另行议定,在转让人与受让人之间,不论转让通知是否已发出:
(a) If payment in respect of the assigned receivable is made to the assignee, the assignee is entitled to retain the proceeds and goods returned in respect of the assigned receivable; (a)对所转让应收款的付款,支付给受让人的,受让人有权保留所转让应收款的收益和就其退还的货物;
(b) If payment in respect of the assigned receivable is made to the assignor, the assignee is entitled to payment of the proceeds and also to goods returned to the assignor in respect of the assigned receivable; and (b)对所转让应收款的付款,支付给转让人的,受让人有权获得属于收益的付款以及就所转让应收款而退还给转让人的货物;
(c) If payment in respect of the assigned receivable is made to another person over whom the assignee has priority, the assignee is entitled to payment of the proceeds and also to goods returned to such person in respect of the assigned receivable. (c)对所转让应收款的付款,支付给另一人而受让人对该人拥有优先权的,受让人有权获得属于收益的付款,并有权获得就所转让应收款退还该人的货物。
