| CHAPTER ONE GENERAL PROVISIONS | | 第一章 总则 |
| |
|
| Article 1 TheMeasures have been formulated in compliance with the Partnership Business Law of the People's Republic of China (please refer to CEN Nos. 13 and 14 '97) with a view to verifying the qualifications and standardizing the registration of partnership businesses. | | 第一条 为了确认合伙企业的经营资格，规范合伙企业登记行为，依据《中华人民共和国合伙企业法》（以下简称合伙企业法），制定本办法。 |

| Article 2 A partnership business shall go through registration procedures according to the Partnership Business Law and this set ofmeasures upon its establishment, alteration or cancellation. | | 第二条 合伙企业的设立、变更、注销，应当依照合伙企业法和本办法的规定办理企业登记。 |
| |
|
| Article 3 A partnership business shall start operation only after going through the required registration and approval procedures and obtaining the business license. A partnership business shall operate within the scope of operation registered and approved by the registration organization. | | 第三条 合伙企业经企业登记机关依法核准登记，领取营业执照后，方可从事经营活动。 |
| |
合伙企业应当在企业登记机关核准的登记事项内依法从事经营活动。 |

| Article 4 Administrative departments for industry and commerce shall be the organs of registration for partnership businesses. The administrative department of the State Council in charge of industry and commerce shall be responsible for the registration of partnership businesses in the whole country. Administrations for industry and commerce of cities and counties shall be responsible for the registration of partnership businesses in the areas of their respective jurisdiction. | | 第四条 工商行政管理机关是合伙企业登记机关（以下简称企业登记机关）。 |

| CHAPTER TWO REGISTRATION OF ESTABLISHMENT | | 第六条 设立合伙企业，应当由全体合伙人指定的代表或者共同委托的代理人向企业登记机关申请设立登记。 |
| |
|
| Article 5 The establishment of a partnership business shall be provided for with the requirements as prescribed in Article 8 of the Partnership Business Law. | | 第七条 合伙企业的登记事项应当包括：合伙企业的名称、经营场所、经营范围、经营方式和合伙人的姓名及住所、出资额及出资方式。 |
| |
合伙企业确定执行合伙企业事务的合伙人或者设立分支机构的，登记事项还应当包括执行合伙企业事务的合伙人或者分支机构的情况。 |
| Article 6 In establishing a partnership business, a representative or a proxy shall be designated by all partners to file an application and go through the registration procedures with the business registration organization. | |

| | 第八条 申请设立合伙企业，应当向企业登记机关提交下列文件： |
| Article 7 In registration for a partnership business, title, operational site, line of business, way of operation and the names and domiciles of partners, size of investment and mode of investment of the business should be recorded. When a partnership business is to designate an executive partner or open subsidiary or subsidiaries, information about the executive partner and the subsidiary or subsidiaries should also be recorded in registration. | |

| Article 8 In applying for the establishment of a partnership business, the following documents should be submitted to the registration organization: | | （二）全体合伙人的身份证明； |

| 1. Registration application signed by all partners; | | （三）全体合伙人指定的代表或者共同委托的代理人的委托书； |
| |
|
| 2. Identification cards of all partners; | | （四）合伙协议； |
| |
|
| 3. Power of attorney for the representative or the proxy designated by all partners; | | （五）出资权属证明； |
| |
|
| 4. The partnership agreement; | | （六）经营场所证明； |
| |
|
| 5. Certificates of investment proprietorship; | | （七）国务院工商行政管理部门规定提交的其他文件。 |
| |
法律、行政法规规定设立合伙企业须报经审批的，还应当提交有关批准文件。合伙协议约定或者全体合伙人决定，委托一名或者数名合伙人执行合伙企业事务的，还应当提交全体合伙人的委托书。 |
| 6. Certificate of site of operation; and | |

| | 第九条 企业登记机关应当自收到申请人依照本办法第八条规定提交的全部文件之日起３０日内，作出核准登记或者不予登记的决定。 |
| 7. Other documents as required by the administrative department of the State Council in charge of industry and commerce. For cases that the establishment of the partnership business has to go over the examination and approval procedures according to laws and administrative decrees, relevant documents of approval should be submitted during the registration. For cases in which one or several executive partners are designated according to the partnership agreement or the unanimous decision by all partners, the power of attorney should also be presented. | |

| Article 9 Registration organizations shall take the decision of accepting or refusing registrations within 30 days starting from the date of receipt of all of the documents that should be submitted according to the provisions of Article 8 of this set of measures. | | 第三章 变更登记 |

| Article 10 The date of the issue of the business license is also the date of the establishment of a partnership business. | | |
