| Article 1 For the purpose of regulating investment by foreign-funded enterprises, these Provisions are formulated in accordance with the Company Law of the People's Republic of China (the “Company Law”) and relevant laws and regulations on foreign investment. | | 第一条 为规范外商投资企业的投资行为，根据《中华人民共和国公司法》（以下简称“《公司法》”）以及有关外商投资的法律、法规的有关规定，制订本规定。 |
| Article 2 The term “domestic investment of foreign-funded enterprises” as used in these Provisions means an act that a Sino-foreign equity joint venture, a Sino-foreign contractual joint venture or a wholly foreign-funded enterprise lawfully established in China in the form of a limited liability company or a foreign-funded joint stock limited company , in its own name, makes investment to establish an enterprise in China or purchases an investor's equities in another enterprise ("Investee Company") in China. | | 第二条 本规定所称外商投资企业境内投资，是指在中国境内依法设立，采取有限责任公司形式的中外合资经营企业、中外合作经营企业和外资企业以及外商投资股份有限公司，以本企业的名义，在中国境内投资设立企业或购买其他企业（以下简称“被投资公司”）投资者股权的行为。 |
| To make any domestic investment, a foreign-funded investment company shall comply with the laws and regulations of the state on foreign investment as well as the Interim Provisions on the Establishment of Foreign-funded Investment Companies. | | 外商投资举办的投资性公司境内投资，依照国家有关外商投资的法律、法规以及《关于外商投资举办投资性公司的暂行规定》办理。 |
| The joint domestic investment by a foreign investor and a foreign-funded enterprise shall be handled in accordance with the laws and regulations of the state on foreign investment. The capital contribution of the foreign investor in such a joint investment shall generally account for not less than 25% of the registered capital of the investee enterprise. | | 外国投资者与外商投资企业共同在中国境内投资，按照国家有关外商投资的法律、法规办理，其中外国投资者的出资比例一般不得低于被投资企业注册资本的百分之二十五。 |
| Article 3 To make any domestic investment, a foreign-funded enterprise shall comply with the laws and regulations of the state. | | 第三条 外商投资企业境内投资，应遵守国家法律、法规。 |
The domestic investment by a foreign-funded enterprise shall, by analogy, be governed by the Interim Provisions on Guiding Foreign Investment and the Catalogue of Industries for Guiding Foreign Investment | | 外商投资企业境内投资比照执行《指导外商投资方向暂行规定》和《外商投资产业指导目录》的规定。外商投资企业不得在禁止外商投资的领域投资。 |
| Article 4 An investee company shall be a limited liability company or a joint stock limited company. | | 第四条 被投资公司应为有限责任公司或股份有限公司。 |
| Article 5 A foreign-funded enterprise shall not make any investment unless it meets the following requirements: | | 第五条 外商投资企业应符合下列条件，方可投资： |
| 1. having started to make profits; and | | 1、开始盈利； |
| 2. carrying out business operations in pursuance of law and having no illegal business operation record. | | 2、依法经营，无违法经营记录。 |
| Article 6 To establish a company in a field in the encouraged or permitted category, a foreign-funded enterprise shall file an application with the company registration authority of the place where the investee company is to be located, and submit the following materials: | | 第六条 外商投资企业在鼓励类或允许类领域投资设立公司，应向被投资公司所在地公司登记机关提出申请，并应提供下列材料： |
| 1. an investment resolution unanimously adopted by the board of directors of the foreign-funded enterprise; | | 1、外商投资企业关于投资的一致通过的董事会决议； |
| 2. the foreign-funded enterprise's approval certificate and business license (photocopies); | | 2、外商投资企业的批准证书和营业执照（复印件）； |
| 3. the foreign-funded enterprise's balance sheet upon audit; | | 3、外商投资企业经审计的资产负债表； |
| 4. the materials certifying that the foreign-funded enterprise has paid the income tax or that the income tax on it has been reduced or exempted; and | | 4、外商投资企业缴纳所得税或减免所得税的证明材料； |
| 5. other materials as required by laws, regulations and rules. | | 5、法律、法规及规章规定的其他材料。 |
Article 7 The company registration authority shall, pursuant to the Company Law and the Regulation of the People's Republic of China on the Company Registration Administration (hereinafter referred to as the Regulation on Company Registration), decide to approve or disapprove the registration. If it approves the registration, it shall issue to the applicant an Enterprise Legal Person Business License with a note of “Invested by Foreign-funded Enterprise” in the column of enterprise category (hereinafter referred to as a “Business License (with a note)”).
