AGREEMENT BETWEEN THE GOVERNMENT OF THE PEOPLE'S REUBLIC OF CHINA AND
THE GOVERNMENT OF THE UNION OF MYANMAR ON THE PROMOTION AND PROTECTION
OF INVESTMENTS | | 中华人民共和国政府和缅甸联邦政府关于鼓励促进和保护投资协定 |
| The Government of the People's Republic of China and the Government of the Union of Myanmar (hereinafter referred to as the Contracting Parties),Intending to create favorable conditions for investment by investors of one Contracting Party in the territory of the other Contracting Party;Recognizing that the reciprocal encouragement, promotion and protection of such investment will be conducive to stimulating business initiative of the investors and will increase prosperity in both States;Desiring to intensify the cooperation of both States on the basis of equality and mutual benefits; | | 中华人民共和国政府和缅甸联邦政府（以下称“缔约双方”）， |
| | 愿为缔约一方的投资者在缔约另一方领土内投资创造有利条件， |
| | 认识到相互鼓励、促进和保护投资将有助于激励投资者经营的积极性和增进两国繁荣， |
| | 愿在平等互利原则的基础上，加强两国间的合作， |
| Have agreed as follows: | | 达成协议如下： |

| Article 1 DEFINITIONS | | 第一条 定义 |
| For the purpose of this Agreement, | | 本协定内： |
| 1. The term "investment" means every kind of asset invested by investors of one Contracting Party in accordance with the laws and regulations of the other Contracting party in the territory of the latter, and in particularly, though not exclusively, includes: | | 一、“投资”一词系指缔约一方投资者依照缔约另一方的法律和法规在缔约另一方领土内所投入的各种财产，包括但不限于： |
| (a) movable and immovable property and other property rights such as mortgages and pledges; | | （一）动产、不动产及抵押、质押等其他财产权利； |
| (b) shares, debentures, stock and any other kind of participation in companies; | | （二）公司的股份、债券、股票或其他形式的参股； |
| (c) claims to money or to any other performance having an economic value associated with an investment; | | （三）金钱请求权或其他具有经济价值的行为请求权； |
| (d) intellectual property rights, in particularly copyrights, patents, trade-marks, trade-names, technical process, know-how and good-will; | | （四）知识产权，特别是著作权、专利、商标、商名、工艺流程、专有技术和商誉； |
| (e) business concessions conferred by law or under contract permitted by law, including concessions to search for, cultivate, extract or exploit natural resources. Any change in the form in which assets are invested does not affect their character as investments. | | （五）法律或法律允许依合同授予的商业特许权，包括勘探、耕作、提炼或开发自然资源的特许权。 |

| 2. The term "investor" means, | | 二、“投资者”一词，系指： |
| (a) natural persons who have nationality of either Contracting Party in accordance with the laws of that Contracting Party; | | （一）根据缔约任何一方的法律，具有其国籍的自然人； |
| (b) economic entities, including companies, associations, partnerships and other organizations, incorporated or constituted under the laws and regulations of either Contracting Party and have their seats in that Contracting Party. | | （二）经济实体，包括根据缔约任何一方的法律设立或组建且住所在该缔约一方境内的公司、协会、合伙及其他组织。 |
| 3. The term "return" means the amounts yielded from investments, including profits, dividends, interests, capital gains, royalties and other legitimate income. | | 三、“收益”一词系指由投资所产生的款项，如利润、股息、利息、提成费和其他合法收入。 |

| Article 2 PROMOTION AND PROTECTION OF INVESTMENT | | 第二条 促进和保护投资 |
| 1. Each Contracting Party shall encourage investors of the other Contracting Party to make investments in its territory and admit such investments in accordance with its laws and regulations. | | 一、缔约一方应鼓励缔约另一方的投资者在其领土内投资，并依照其法律和法规接受这种投资。 |
| 2. Investments of the investors of either Contracting Party shall enjoy the constant protection and security in the territory of the other Contracting Party. | | 二、缔约一方投资者在缔约另一方境内的投资，应享受持续的保护和安全。 |
3. Without prejudice to its laws and regulations, neither Contracting Party shall take any unreasonable or discriminatory measures against the management, maintenance, use,
enjoyment and disposal of the investments by the investors of the other Contracting Party. | | 三、在不损害其法律法规的前提下，缔约一方不得对缔约另一方投资者在其境内投资的管理、维持、使用、享有和处分采取任何不合理的或歧视性的措施。 |
| 4. Subject to its laws and regulations, one Contracting Party shall provide assistance in and facilities for obtaining visas and working permit to nationals of the other Contracting Party engaging in activities associated with investments made in the territory of that Contracting Party. | | 四、缔约一方应依据其法律和法规，为在其领土内从事与投资有关活动的缔约另一方国民获得签证和工作许可提供帮助和便利。 |

| Article 3 TREATMENT OF INVESTMENT | | 第三条 投资待遇 |
| 1.Investments of investors of each Contracting Party shall all the time be accorded fair and equitable treatment in the territory of the other Contracting Party. | | 一、缔约一方的投资者在缔约另一方的领土内的投资应始终享受公平与平等的待遇。 |
| 2. Without prejudice to its laws and regulations, each Contracting Party shall accord to investments and activities associated with such investments by the investors of the other Contracting Party treatment not less favorable than that accorded to the investments and associated activities by its own investors. | | 二、在不损害其法律法规的前提下，缔约一方应给予缔约另一方投资者在其境内的投资及与投资有关活动不低于其给予本国投资者的投资及与投资有关活动的待遇。 |
3.Neither Contracting Party shall subject investments and activities associated with such investments by the investors of the other Contracting Party to treatment less favorable than that accorded to the investments and associated activities by the investors of any third
State. | | 三、缔约一方给予缔约另一方投资者在其境内的投资及与投资有关活动的待遇，不应低于其给予任何第三国投资者的投资及与投资有关活动的待遇。 |
| 4. The provisions of Paragraphs 1 to 3 of this Article shall not be construed so as to oblige one Contracting Party to extend to the investors of the other Contracting Party the benefit of any treatment, preference or privilege by virtue of: | | 四、本条第一款到第三款所述的待遇，不应解释为缔约一方有义务将由下列原因产生的待遇、优惠或特权给予缔约另一方投资者： |
| (a) any customs union, free trade zone, economic union and any international agreement resulting in such customs union, free trade zone, economic union; | | （一）关税同盟、自由贸易区、经济联盟以及形成关税同盟、自由贸易区、经济联盟的任何国际协议； |
| (b) any international agreement or arrangement relating wholly or mainly to taxation; | | （二）任何全部或主要与税收有关的国际协议或安排； |

| Article 4 EXPROPRIATION | | 第四条 征收 |
| 1. Neither Contracting Party shall expropriate, nationalize or take other similar measures (hereinafter referred to as "expropriation") against the investments of the investors of the other Contracting Party in its territory, unless the following conditions are met: | | 一、缔约任何一方对缔约另一方的投资者在其领土内的投资不得采取征收、国有化或其他类似措施（以下称“征收”），除非符合下列条件： |
| (a) for the public interests; | | （一）为了公共利益； |
| (b) under domestic legal procedure; | | （二）依照国内法律程序； |
| (c) without discrimination; | | （三）非歧视性的； |
| (d) against compensation | | （四）给予补偿。 |
| 2. The compensation mentioned in Paragraph 1 of this Article shall be equivalent to the value of the expropriated investments immediately before the expropriation is taken or the impending expropriation becomes public knowledge, which is earlier. The value shall be determined in accordance with generally recognized principles of valuation. The compensation shall include interest at a normal commercial rate from the date of expropriation until the date of payment. The compensation shall also be made without delay, be effectively realizable and freely transferable. | | 二、本条第一款所述的补偿，应等于采取征收或征收为公众所知的前一刻被征收投资的价值。该价值应根据普遍承认的估价原则确定。补偿包括自征收之日起到付款之日按正常商业利率计算的利息。补偿的支付不应迟延，并应有效兑换和自由转移。 |

| Article 5 COMPENSATION FOR DAMAGES AND LOSSES | | 第五条 损害与损失赔偿 |
Investors of one Contracting Party whose investments in the territory of the other Contracting Party suffer losses owing to war, a state of national emergency, insurrection, riot or other similar events in the territory of the latter Contracting Party, shall be accorded by the latter Contracting Party treatment, as regards restitution, indemnification, compensation and other settlements no less favorable than that accorded to the investors of its own or any third State
