| The Asset Management Association of China (“AMAC”) issued the Announcement of the Asset Management Association of China on Submitting Special Legal Opinions by Private Fund Managers under Abnormal Operation Circumstances (No. 2 [2018], AMAC, hereinafter referred to as the “Announcement”) on March 27, 2018, requiring private fund managers suspected of being under abnormal operation circumstances to issue special legal opinions within a prescribed time limit. For the purpose of further regulating the issuance of special legal opinions under abnormal operation circumstances, the Guidelines on the Issuance of Special Legal Opinions on Abnormal Operations are hereby issued. From the date of issuance of this Notice, special legal opinions on abnormal operations shall be issued in accordance with the Guidelines on the Issuance of Special Legal Opinions on Abnormal Operations. Relevant work arrangements shall be further specified as follows: | | 中国证券投资基金业协会（以下简称“协会”）于2018年3月27日发布《关于私募基金管理人在异常经营情形下提交专项法律意见书的公告》（中基协发〔2018〕2号，以下简称《公告》），要求涉嫌存在异常经营情形的私募基金管理人限期出具专项法律意见书。为进一步规范异常经营专项法律意见书出具行为，现发布《异常经营专项法律意见书出具指引》。自此通知发布之日起，异常经营专项法律意见书应按照《异常经营专项法律意见书出具指引》出具。相关工作安排进一步明确如下： |
| I. Circumstances wherein special legal opinions on abnormal operations are not accepted | | 一、异常经营专项法律意见书不予接受的情形 |
| A relevant private fund manager who has received a notice of issuing special legal opinions on abnormal operations shall hire a law firm and a signatory lawyer meeting the requirements of the Questions and Answers Regarding Private Fund Manager Registration and Recordation (XIV) (hereinafter referred to as the “Questions and Answers (XIV)”) to issue special legal opinions. Under any of the following circumstances, the AMAC will not accept the special legal opinions: | | 收到出具异常经营专项法律意见书通知的相关私募基金管理人，应聘请符合《公告》及《私募基金管理人登记备案相关问题解答（十四）》（以下简称《问答十四》）要求的律师事务所及签字律师出具专项法律意见书。专项法律意见书有以下情形之一的，协会不予接受： |
| (1) The law firm issuing the special legal opinions or the signatory lawyer do not meet the requirements of the Announcement. | | （一）出具专项法律意见书的律师事务所和签字律师不符合《公告》要求的； |
| (2) The law firm issuing the special legal opinions on abnormal operations or the signatory lawyer is under any of the circumstances prescribed in the Questions and Answers (XIV) requiring publication. | | （二）出具异常经营专项法律意见书的律师事务所或签字律师存在《问答十四》规定的予以公示情形的； |
| (3) There are no conclusive opinions or explicit conclusive opinions issued on the specific legal opinions. | | （三）专项法律意见书中未发表或无法发表明确的结论性意见的； |
(4) The law firm issuing the special legal opinions on abnormal operations or the signatory lawyer is under any other circumstance that the AMAC refuses to accept the special legal opinions issued by the law firm.
