| For the purposes of implementing the requirements of the Opinions of the State Administration for Industry and Commerce on Improving the Efficiency of Registration and Actively Promoting the Reform of the Administration of the Registration of Enterprise Names (No. 54 [2017], SAIC) with regard to opening the database of enterprise names, establishing and improving the inquiry and comparison system for enterprise names, etc., the State Administration for Industry and Commerce (“SAIC”) has studied and developed the Rules for the Prohibited and Restricted Use of Enterprise Names and the Rules for Identifying Identical and Similar Enterprise Names, which are hereby issued for your diligent implementation under the relevant provisions and requirements in consideration of the needs of reform on the administration of the registration of enterprise names. | | 为落实《工商总局关于提高登记效率积极推进企业名称登记管理改革的意见》（工商企注字〔2017〕54号）关于开放企业名称库、建立完善企业名称查询比对系统等工作要求，总局研究制定了《企业名称禁限用规则》《企业名称相同相近比对规则》，现予印发，请结合企业名称登记管理改革需要，认真按照有关规定和要求执行。 |

| Chapter I General Provisions | | 第一章 总则 |
| Article 1 For the purposes of regulating the verification of enterprise names, establishing and improving the identification system of enterprise names, and providing more convenient services in the registration and verification of enterprise names for applicants, these Rules are developed in accordance with the Company Law, the Regulation on the Administration of the Registration of Enterprise Legal Persons, the Regulation on the Administration of Company Registration, the Provisions on the Administration of the Registration of Enterprise Names, the Measures for the Implementation of the Administration of the Registration of Enterprise Names, and other relevant regulatory documents of the State Administration for Industry and Commerce (“SAIC”). | | 第一条 为规范企业名称审核行为，建立、完善企业名称比对系统，为申请人提供更加便利的企业名称登记、核准服务，根据《公司法》《企业法人登记管理条例》《公司登记管理条例》《企业名称登记管理规定》《企业名称登记管理实施办法》和工商总局有关规范性文件等制定本规则。 |
| Article 2 These Rules shall apply to the registration and confirmation of enterprise names. The examiners of enterprise names shall, under these Rules, examine whether an application for an enterprise name has any content whose use is prohibited and restricted, and make a decision of confirmation or dismissal under the relevant provisions. | | 第二条 本规则适用于企业名称登记、核准有关业务。企业名称审核人员依据本规则对企业名称申请是否存在有关禁限用内容进行审查，按照有关规定作出核准或者驳回的决定。 |
| Article 3 An enterprise registration authority may, under these Rules, establish and improve the system for identifying enterprise names so as to provide applicants with enterprise name screening services. In areas where the pilot program of the reform is independently declared for enterprise names, the comparison and declaration system shall be established and improved so as to provide registration services to applicants for their independent declaration and assuming liabilities on their own. | | 第三条 企业登记机关可以依据本规则建立、完善企业名称比对系统，为申请人提供企业名称筛查服务。企业名称自主申报改革试点地区可以参照本规则，建立、完善比对、申报系统，为申请人提供自主申报、自负其责的登记服务。 |
| Chapter II Prohibitive Rules | | 第二章 禁止性规则 |
| Article 4 An enterprise name shall not be identical with any enterprise name in the same sector that has been registered with and confirmed by a same enterprise registration authority. | | 第四条 企业名称不得与同一企业登记机关已登记注册、核准的同行业企业名称相同。 |
| This paragraph shall apply where: | | 以下情形适用于本条款规定： |
| (1) an enterprise name is identical with an enterprise name in the same sector that has been registered with a same registration authority, that has been confirmed but has not been registered and is still valid, or for which an application has been filed but that has not been confirmed; | | （一）与同一登记机关已登记、或者已核准但尚未登记且仍在有效期内、或者已申请尚未核准的同行业企业名称相同； |
| (2) an enterprise name is identical with an enterprise name in the same sector for which the formalities of deregistration has been undergone for less than 1 year; | | （二）与办理注销登记未满1年的同行业企业名称相同； |
| (3) an enterprise name is identical with a name in the same sector that has been changed in the same registration authority for no more than 1 year; and | | （三）与同一登记机关企业变更名称未满1年的原同行业名称相同； |
| (4) an enterprise name is identical with a name of an enterprise in the same sector whose formation registration has been revoked, whose business license has been revoked, and for which the formalities of deregistration have not been completed. | | （四）与被撤销设立登记和被吊销营业执照尚未办理注销登记的同行业企业名称相同。 |
| Article 5 An enterprise name shall not contain any content or character that is detrimental to the interests of the state and the public interests. | | 第五条 企业名称不得含有有损于国家、社会公共利益的内容和文字。 |
| This paragraph shall apply where the name: | | 以下情形适用于本条款规定： |
| (1) has negative or adverse political influence, e.g., “zhi na,” “Black Sun,” “Big Landlord,” etc.; | | （一）有消极或不良政治影响的。如“支那”“黑太阳”“大地主”等。 |
| (2) advocates terrorism, separatism and extremism, e.e., “Nine One One,” “East Turkistan,” “Occupy Central,” etc.; | | （二）宣扬恐怖主义、分裂主义和极端主义的。如“九一一”“东突”“占中”等。 |
| (3) has a hue of colonial culture, is detrimental to the national dignity, and hurts the feelings of the people, e.g., “Greater East Asia,” “Daiwa,” “Formosa,” etc.; | | （三）带有殖民文化色彩，有损民族尊严和伤害人民感情的。如“大东亚”“大和”“福尔摩萨”等。 |
| (4) has racial, ethnic, gender and other discriminatory tendencies, e.g., “Nigger,” etc. | | （四）带有种族、民族、性别等歧视倾向的。如“黑鬼”等。 |
| (5) contains feudal culture dross, is contrary to the sound social morals or does not respect the national customs, e.g., “Ghost Capital,” “Wives and Concubines,” etc. | | （五）含有封建文化糟粕、违背社会良好风尚或不尊重民族风俗习惯的。如“鬼都”“妻妾成群”等。 |
| (6) involves drugs, obscenity, pornography, violence, and gambling, e.g., “Heroin,” “Pai Gow,” etc. | | （六）涉及毒品、淫秽、色情、暴力、赌博的。如“海洛因”“推牌九”等。 |
| Article 6 An enterprise name shall not contain any content or character that may mislead the general public or cause misunderstanding thereto. | | 第六条 企业名称不得含有可能对公众造成欺骗或者误解的内容和文字。 |
| This paragraph shall apply where the name: | | 以下情形适用于本条款规定： |
| (1) contains the name of a leader of the Party or the state, revolutionary of an older generation, a well-known martyr or a well-known model, e.g., “Dong Cunrui,” “Lei Feng,” etc.; | | （一）含有党和国家领导人、老一辈革命家、知名烈士和知名模范的姓名的。如“董存瑞”“雷锋”等。 |
| (2) contains the name of an illegal organization or the name of a reactionary political figure or a negative person who is notorious to the general public, e.g., “Falungong,” “Wang Jingwei,” “Qin Hui,” etc.; or | | （二）含有非法组织名称或者反动政治人物、公众熟知的反面人物的姓名的。如“法轮功”“汪精卫”“秦桧”等。 |
| (3) contains the name of a religious organization or has distinctive religious color, e.g., “Christianity,” “Buddhism,” “Islam,” etc. | | （三）含有宗教组织名称或带有显著宗教色彩的。如“基督教”“佛教”“伊斯兰教”等。 |
| Article 7 An enterprise name shall not contain the name of any foreign country (region) or the name of any international organization. | | 第七条 企业名称不得含有外国国家（地区）名称、国际组织名称。 |
| Article 8 An enterprise name shall not contain the name of any political party, government or army department, people's organization, social organization, or military entity. | | 第八条 企业名称不得含有政党名称、党政军机关名称、群团组织名称、社会组织名称及部队番号。 |
| Article 9 For an enterprise name, Chinese characters that comply with the rules of the state, other than any foreign language, letter or Arabic numeral, shall be used. | | 第九条 企业名称应当使用符合国家规范的汉字，不得使用外文、字母和阿拉伯数字。 |
| Article 10 An enterprise name shall not contain any prohibitive content or character as prescribed by other laws and administrative regulations. | | 第十条 企业名称不得含有其他法律、行政法规规定禁止的内容和文字。 |
Article 11 An enterprise name shall be composed of the administrative division, identifier, industry and organizational form in proper order. The administrative division in an enterprise name shall be the name or place name of the administrative division at or above the county level in the place where the enterprise is located. The name of a municipal district shall not be solely used as the administrative division in any enterprise name.
