The people's governments of all provinces, autonomous regions, and municipalities directly under the Central Government; all ministries and commissions of the State Council; and all institutions directly under the State Council: 各省、自治区、直辖市人民政府,国务院各部委、各直属机构:
The implementation of the reform of the registration system of "integrating five certificates into one" and "integration of two certificates" has effectively improved the efficiency of government services, reduced the institutional costs of trading created by the market participants, and sparked market vitality and social creativity, but for now, there are still problems such as an excess quantity of various certificates and licenses, "permission for access but prohibition of business operation," and inadequate coordination and support in relation to the measures for simplification of administrative procedures and delegation of powers. In order to further optimize the business environment, with the approval of the State Council, the following opinions on accelerating the advancement of the reform of "integrating certificates into one" are hereby offered. “五证合一”、“两证整合”登记制度改革的相继实施有效提升了政府行政服务效率,降低了市场主体创设的制度性交易成本,激发了市场活力和社会创新力,但目前仍然存在各类证照数量过多、“准入不准营”、简政放权措施协同配套不够等问题。为进一步优化营商环境,经国务院同意,现就加快推进“多证合一”改革提出以下意见。
I. Unifying thought and fully recognizing the significance of promoting reform   一、统一思想,充分认识推行改革的重要意义
On the basis of fully implementing the reform of the registration system of "integrating five certificates (industrial and commercial business license, organization code certificate, tax registration certificate, social security registration certificate and statistics registration certificate for enterprises and agricultural cooperatives) into one, and one code for one business license," and "integrating two certificates (industrial and commercial business license and tax registration certificate for individual industrial and commercial households) into one," registration, filing and other matters and various certificates and business licenses involving enterprises (including individual industrial and commercial households and agricultural cooperatives. The same applies hereinafter) (hereinafter referred as to "enterprise-related certificate and license matters") shall be further integrated into business license so as to realize "integrating certificates into one, and one code for one business license," which is important content to implement the decisions and arrangements of the CPC Central Committee with regard to the advancement of the supply-side structural reform, simplification of administrative procedures, delegation of powers, combination of decentralization and control, and optimization of services, a major path to further promote the transformation of governmental functions and deepen the reform of the administrative approval system and a significant foothold to deepen the reform of the business system and further release the reform dividend ; and is significant for promoting the market in playing a decisive role in allocating resources and the government in playing a better role, developing a new administration mode of the government in the environment of "Internet plus," creating a facilitating, flexible entrepreneurship and innovation environment and an open, transparent business environment for fair competition, setting a new pattern of market access featuring more facilitating procedures, more complete content, more optimized process, and more intensive resources, and prompting the improvement of workforce productivity. All regions and all departments shall attach great importance, vigorously take actions, prioritize the implementation of the reform, and adopt practical and effective measures in order to ensure the implementation and actual effect of the reform of "integrating certificates into one" before October 1, 2017. 在全面实施企业、农民专业合作社工商营业执照、组织机构代码证、税务登记证、社会保险登记证、统计登记证“五证合一、一照一码”登记制度改革和个体工商户工商营业执照、税务登记证“两证整合”的基础上,将涉及企业(包括个体工商户、农民专业合作社,下同)登记、备案等有关事项和各类证照(以下统称涉企证照事项)进一步整合到营业执照上,实现“多证合一、一照一码”,是贯彻中央关于推进供给侧结构性改革决策部署,推进简政放权、放管结合、优化服务的重要内容,是进一步推动政府职能转变、深化行政审批制度改革的重要途径,是深化商事制度改革、进一步释放改革红利的重要抓手;对于推动市场在资源配置中起决定性作用和更好发挥政府作用,构建“互联网+”环境下政府新型管理方式、营造便利宽松的创业创新环境和公开透明平等竞争的营商环境,建立程序更为便利、内容更为完善、流程更为优化、资源更为集约的市场准入新模式,促进提高劳动生产率具有重要意义。各地区、各部门要高度重视,积极作为,把这项改革的实施工作摆在重要位置,采取切实有力措施,确保“多证合一”改革在2017年10月1日前落到实处、取得实效。
II. Conscientiously sorting out enterprise-related certificate and license matters and comprehensively "integrating certificates into one"   二、认真梳理涉企证照事项,全面实行“多证合一”
The combination of "integrating certificates into one" and the reform of the administrative approval system shall be adhered to, and following the direction of market-oriented reform, the market shall be allowed to play a decisive role in allocating resources. All regions shall, according to the principle of integrating whatever can be integrated, simplifying whatever can be simplified, and reducing firmly whatever ought to be reduced, comprehensively sort out and handle, based on categories, enterprise-related certificate and license matters, further integrate into business license enterprise-related certificate and license matters in the general operation items in the categories of information collection, recording publication, and management for future reference and that the information on enterprise registration is adequate to meet the need of the administration of government departments, no longer issue certificates and business licenses integrated, and implement "integrating certificates into one, and one code for one business license," in order to enable enterprises to be ready for expected production and business operation upon getting the business licenses and significantly reduce the time from preparation, establishment to entry into the market of enterprises. Any matter which the market mechanism is capable of effectively adjusting and enterprises are able to manage alone, or of which the interim and ex-post supervision may be tightened to accomplish the supposed objective of the establishment of the enterprise-related certificate and license matter, shall be gradually canceled or changed to be subject to record administration. Enterprise-related certificate and license matters relating to public, economic, ecological, work and ideological safety shall be retained and subject to access list administration. Enterprise-related certificate and license matters without the basis of laws and regulations or established not according to statutory procedures shall be all canceled. 坚持“多证合一”和行政审批制度改革相结合,按照市场化改革方向,充分发挥市场在资源配置中的决定性作用。各地区要按照能整合的尽量整合、能简化的尽量简化、该减掉的坚决减掉的原则,全面梳理、分类处理涉企证照事项,将信息采集、记载公示、管理备查类的一般经营项目涉企证照事项,以及企业登记信息能够满足政府部门管理需要的涉企证照事项,进一步整合到营业执照上,被整合证照不再发放,实行“多证合一、一照一码”,使企业在办理营业执照后即能达到预定可生产经营状态,大幅度缩短企业从筹备开办到进入市场的时间。对于市场机制能够有效调节、企业能够自主管理的事项以及可以通过加强事中事后监管达到原设定涉企证照事项目的的,要逐步取消或改为备案管理。对于关系公共安全、经济安全、生态安全、生产安全、意识形态安全的涉企证照事项继续予以保留,要实行准入清单管理。对于没有法律法规依据、非按法定程序设定的涉企证照事项一律取消。
III. Deepening information sharing and business coordination and simplifying enterprise access formalities.   三、深化信息共享和业务协同,简化企业准入手续
The combination of interconnection and data sharing shall be adhered to, information sharing shall be vigorously advanced, and whatever can be publicly disclosed shall be done so, in order to connect information isolated island. All regions shall, depending on the existing facility resources and unified government data sharing and exchange platforms, further improve the provincial-level credit information sharing platforms, the national enterprise credit information publication system and the inter-department data interfaces s and realize the sharing of basic enterprise information and the relevant credit information and business coordination among departments at a larger scope and a deeper level. All regions shall accelerate the development of the government data resource sharing catalog system and measures for administration, establish regional market participant information bases according to unified standards, build a unified, efficient, interconnected, safe and reliable government data resource system, and remove government and industry information barriers. The collection of personalized information shall be more rigorously controlled, and enterprises and the people shall not be required to repeatedly submit information which can be obtained through information sharing or documents which have been collected in previous process; other entities and applicants shall not be required to repeatedly submit information which is capable of being verified through networks; and information which ought to be investigated and verified by administrative departments and relevant bodies shall be done so, in order to realize "one- collection and one-file administration" of the same information and avert repeated registration of enterprises and repeated submission of documents.

 坚持互联互通与数据共享相结合,大力推进信息共享,能向社会公开的尽量公开,打通信息孤岛。各地区要依托已有设施资源和政府统一数据共享交换平台,进一步完善省级信用信息共享平台、国家企业信用信息公示系统、部门间的数据接口,在更大范围、更深层次实现部门间企业基础信息和相关信用信息共享、业务协同。各地区要加快制定政府数据资源共享目录体系和管理办法,建立区域内统一标准的市场主体信息库,构建统一高效、互联互通、安全可靠的政府数据资源体系,打破部门和行业信息壁垒。从严控制个性化信息采集,凡是能通过信息共享获取的信息和前序流程已收取的材料,不得要求企业和群众重复提交;凡是能通过网络核验的信息,不得要求其他单位和申请人重复提交;凡是应由行政机关及相关机构调查核实的信息,由部门自行核实,实现相同信息“一次采集、一档管理”,避免让企业重复登记、重复提交材料。
