| The Ministry of Commerce of the People's Republic of China (hereinafter referred to as the "MOFCOM") received the application of Seagate Technology Co., Ltd. (hereinafter referred to as "Seagate") for lifting the additional restrictive conditions set forth in the Announcement No. 90 of 2011. The MOFCOM has reviewed the application and hereby announces the relevant matters as follows: | | 中华人民共和国商务部（以下简称商务部）收到希捷科技公司（以下简称希捷）关于解除2011年第90号公告附加的限制性条件的申请。商务部对该申请进行了审查，有关事项公告如下： |

| On December 12, 2011, the MOFCOM promulgated the Announcement No. 90 of 2011, which approved Seagate Technology Co., Ltd. to acquire hard disk drive business of Samsung Electronics Co., Ltd. (hereinafter referred to as "Samsung Hard Disk"). In May 2013, Seagate made an application to lift the obligations set forth in Items 1 and 2 of the Announcement No. 90 of 2011. | | 2011年12月12日，商务部发布2011年第90号公告，附条件批准希捷科技公司收购三星电子有限公司的硬盘驱动器业务（以下简称三星硬盘）。2013年5月，希捷提出解除2011年第90号公告第（一）、（二）项义务的申请。 |
| In the process of evaluation, the MOFCOM repeatedly talked with Seagate and requested it to supplement materials. After seeking comments from the relevant government departments, industry associations, downstream enterprises and others in written form and in the form of seminars, the MOFCOM entrusted an independent third party to carry out economic analysis and evaluation on the application. In accordance with the requirements of the Anti-Monopoly Law, the Provisions on Imposing Restrictive Conditions on the Concentration of Undertakings (for Trial Implementation) and the Announcement No. 90 of 2011, the MOFCOM focused on examining the implementation of the Announcement No. 90 of 2011 and the changes in conditions of market competition, and comprehensively evaluated the reasons for and influences of the lifting of restrictive conditions. | | 评估过程中，商务部先后多次与希捷会谈，要求其补充证据材料，通过书面及座谈会形式征求了相关政府部门、行业协会和下游企业等方面的意见，委托独立第三方对其申请进行了经济分析评估。依据《反垄断法》、《关于经营者集中附加限制性条件的规定（试行）》以及2011年第90号公告的要求，商务部重点考察了2011年第90号公告的执行情况、市场竞争状况的变化等，综合评估了解除限制性条件的理由和影响。 |
| II. Implementation of the Announcement No. 90 of 2011 | | 二、公告执行情况 |
| Announcement No. 90 of 2011 specified six additional obligations on Seagate. According to the report of the performance of obligations by Seagate and the supervision report made by the supervision trustee, Seagate fulfilled its obligations as follows during the period of execution: | | 2011年第90号公告对希捷附加了六项义务。根据希捷履行义务情况的报告以及监督受托人的监督报告，在执行期间，希捷履行各项义务的情况如下： |
| (I) Obligations specified in Item 1 of Announcement No. 90 of 2011. | | （一）第（一）项义务。 |
| According to the requirements of the Announcement No. 90 of 2011, Seagate maintained the existence of Samsung Hard Disk as an independent competitor and manufacturing, pricing, sales as well as research and development of Samsung Hard Disk were separated from Seagate brands. Therefore, Seagate fulfilled its obligations specified in the Announcement No. 90 of 2011. | | 希捷按照2011年第90号公告要求，维持了三星硬盘作为一个独立竞争者而存在，三星硬盘的产品制造、定价、销售及研发一直与希捷品牌相分离，履行了公告规定的义务。 |
| (II) Obligations specified in Item 2 of Announcement No. 90 of 2011. | | （二）第（二）项义务。 |
| Within 6 months after this examination decision was made, Seagate maintained and expanded the production capacity of Samsung Hard Disk products, reasonably determined the production capacity for and the output of Samsung Hard Disk products in light of the conditions of market demand and reported the same to the supervision trustee on a monthly basis. Therefore, Seagate fulfilled its obligations specified in the Announcement No. 90 of 2011. The supervision trustee did not find any behavior that Samsung Hard Disk failed to determine its production capacity and output according to the market demand. | | 希捷在决定作出后六个月内维持和扩大了三星硬盘产品产能，并根据市场需求状况合理确定了三星硬盘产品的产能和产量，按月向监督受托人进行了报告，履行了公告规定的义务。监督受托人没有发现三星硬盘未按市场需求确定其产能产量的行为。 |
| (III) Obligations specified in Item 3 of Announcement No. 90 of 2011. | | （三）第（三）项义务。 |
| Seagate neither materially changed the previous business mode, nor compelled customers to exclusively purchase hard disk products from Seagate or any company under the control of Seagate or do so in a disguised manner. Therefore, Seagate fulfilled its obligations specified in the Announcement No. 90 of 2011. | | 希捷没有实质性改变此前的商业模式，没有强制或变相强制客户从希捷或任何受希捷控制的其他公司排他性地采购其硬盘产品，履行了公告规定的义务。 |
| (IV) Obligations specified in Item 4 of Announcement No. 90 of 2011. | | （四）第（四）项义务。 |
| Seagate neither compelled TDK China Co. Ltd (hereinafter referred to as "TDK") to exclusively supply hard-disk magnetic heads to Seagate or any other company under the control of Seagate, nor restrict the amount of magnetic heads supplied by TDK to other hard disk manufacturers. Therefore, Seagate fulfilled its obligations specified in the Announcement No. 90 of 2011. | | 希捷没有强迫东电化（中国）投资有限公司（以下简称东电化）排他性地向希捷或任何受希捷控制的其他公司供应硬盘磁头、或限制东电化向其他硬盘生产商供应磁头的数量，履行了公告规定的义务。 |
| (V) Obligations specified in Item 5 of Announcement No. 90 of 2011. | | （五）第（五）项义务。 |
| Within 3 years after this decision was made, Seagate invested at least USD 800 million each year and, at the ordinary speed during the most recent years, continued to input funds for research and development as well as innovation, bringing more innovative products and resolutions to customers. Therefore, Seagate fulfilled its obligations specified in the Announcement No. 90 of 2011. | | 希捷在决定作出后三年内每年投资均超过8亿美元，并以近年一贯的速度，持续投入资金，用于创新与研发，给客户带来了更多创新性产品和解决方案，履行了公告规定的义务。 |
| (VI) Obligations specified in Item 6 of Announcement No. 90 of 2011. | | （六）第（六）项义务。 |
After the promulgation of the examination decision and upon the approval of the MOFCOM, Seagate entrusted an independent supervision trustee to supervise the performance of the aforesaid obligations. The supervision trustee regularly reported the fulfillment of the obligations to the MOFCOM. According to the supervision reports, Seagate has fulfilled all obligations required in the Announcement No. 90 of 2011.
