| Article 1 To promote the achievement of basic liberalization of trade in services between the mainland and Hong Kong or Macau and further enhance the level of economic and trade exchanges and cooperation between the mainland and Hong Kong or Macau, these Measures are hereby formulated, in accordance with the Mainland and Hong Kong Closer Economic Partnership Arrangement – Agreement between the Mainland and Hong Kong on Achieving Basic Liberalization of Trade in Services in Guangdong (hereinafter referred to as the “Agreement between the Mainland and Hong Kong”) and the Mainland and Macau Closer Economic Partnership Arrangement – Agreement between the Mainland and Macau on Achieving Basic Liberalization of Trade in Services in Guangdong (hereinafter referred to as the “Agreement between the Mainland and Macau”), the relevant laws, administrative regulations, and the decisions of the State Council. | | 第一条 为推动内地与港澳基本实现服务贸易自由化，进一步提高内地与港澳的经贸交流与合作水平，根据《〈内地与香港关于建立更紧密经贸关系的安排关于内地在广东与香港基本实现服务贸易自由化的协议》（以下称《内地与香港协议》）、《〈内地与澳门关于建立更紧密经贸关系的安排关于内地在广东与澳门基本实现服务贸易自由化的协议》（以下称《内地与澳门协议》）、相关法律、行政法规以及国务院决定，制定本办法。 |
Article 2 For the purpose of these Measures, a service provider from Hong Kong or Macao means a service provider from Hong Kong in line with the Mainland and Hong Kong Closer Economic Partnership Arrangement and its supplementary agreements, and a service provider from Macau in line with the Mainland and Macau Closer Economic Partnership Arrangement | | 第二条 本办法所称港澳服务提供者，是指符合《内地与香港关于建立更紧密经贸关系的安排及其补充协议有关规定的香港服务提供者，以及符合《内地与澳门关于建立更紧密经贸关系的安排及其补充协议有关规定的澳门服务提供者。 |
| Article 3 Where a service provider from Hong Kong invests in the field of trade in services available for Hong Kong as specified in the Agreement between the Mainland and Hong Kong and a service provider from Macau invests in the field of trade in services available for Macau as specified in the Agreement between the Mainland and Macau, the recordation for the contracts and articles of association on the establishment of and change in their companies (hereinafter referred to as “enterprises funded by investors from Hong Kong or Macau”) shall be governed by these Measures, except under the following circumstances: | | 第三条 香港服务提供者在广东省投资《内地与香港协议》对香港开放的服务贸易领域，澳门服务提供者在广东省投资《内地与澳门协议》对澳门开放的服务贸易领域，其公司（以下称港澳投资企业）设立及变更的合同、章程备案依照本办法办理。但下列情形除外： |
| 1. The reserved restrictive measures which are set out in Article 8, Chapter IV of the Agreement between the Mainland and Hong Kong, as well as the establishment of and change in the companies in the telecommunications and cultural fields and the financial institutions. | | （一）《内地与香港协议》第四章第八条涉及保留的限制性措施及电信、文化领域的公司，金融机构的设立及变更； |
| 2. The reserved restrictive measures which are set out in Article 8, Chapter IV of the Agreement between the Mainland and Macau, as well as the establishment of and change in the companies in the telecommunications and cultural fields and the financial institutions. | | （二）《内地与澳门协议》第四章第八条涉及保留的限制性措施及电信、文化领域的公司，金融机构的设立及变更； |
| 3. The establishment of and change in other forms of commercial presence other than company. | | （三）公司以外其他形式的商业存在的设立及变更。 |
| Article 4 The competent commerce department of Guangdong Province (hereinafter referred to as the “Recordation Authority”) shall be responsible for the recordation of the contracts and articles of association on the establishment of and change in enterprises funded by investors from Hong Kong or Macao. | | 第四条 港澳投资企业设立及变更的合同、章程备案由广东省相关商务主管部门（以下称备案机构）负责。 |
| Article 5 A service provider from Hong Kong or Macao or an enterprise funded by investors from Hong Kong or Macao shall undergo the recordation formalities online through the Foreign (Hong Kong, Macao and Taiwan Chinese) Investment Recordation Information System (hereinafter referred to as the Recordation System) of the Ministry of Commerce. | | 第五条 港澳服务提供者或港澳投资企业通过商务部外商（港澳台侨）投资备案信息系统（以下称备案系统）在线办理备案。 |
| Article 6 A service provider from Hong Kong or Macao who makes investment within the scope of recordation as set out in these Measures shall, after obtaining the pre-approval of the name of the enterprise in which the service provider intends to invest, fill out the Application Form for Establishment Recordation of Enterprises Funded by Service Providers from Hong Kong or Macao (hereinafter referred to as the Application Form for Establishment Recordation) online. | | 第六条 属于本办法规定的备案范围的港澳服务提供者投资，在取得拟投资企业名称预核准后，在线填报《港澳服务提供者投资企业设立备案申报表》（以下称《设立备案申报表》）。 |
| Article 7 Under any of the following circumstances of change, an enterprise funded by investors from Hong Kong or Macao within the scope of recordation as set out in these Measures shall fill out the Application Form for Modification Recordation of Enterprises Funded by Service Providers from Hong Kong or Macao (hereinafter referred to as the Application Form for Modification Recordation) online and undergo the formalities for modification recordation. | | 第七条 属于本办法规定的备案范围的港澳投资企业发生以下变更，应在线填报《港澳服务提供者投资企业变更备案申报表》（以下称《变更备案申报表》），办理变更备案手续： |
| 1. The total investment of the enterprise is modified. | | （一）投资总额变更； |
| 2. The registered capital of the enterprise is modified. | | （二）注册资本变更； |
| 3. The equity and cooperation interest in the enterprises are changed or transferred. | | （三）股权、合作权益变更或转让； |
| 4. Any equity in the enterprise is pledged. | | （四）股权质押； |
| 5. The enterprise is merged or split. | | （五）合并、分立； |
| 6. The business scope of the enterprise is modified. | | （六）经营范围变更； |
| 7. The business duration of the enterprise is modified. | | （七）经营期限变更； |
| 8. The enterprise is terminated early. | | （八）提前终止； |
| 9. The manners or periods of capital contribution to the enterprise are modified. | | （九）出资方式、出资期限变更； |
| 10. Investment by the service provider from Hong Kong or Macao is recovered ahead of time, in case of a cooperative enterprise. | | （十）合作企业港澳服务提供者先行回收投资； |
| 11. The name of the enterprise is modified. | | （十一）企业名称变更； |
| 12. The registered address of the enterprise is modified. | | （十二）注册地址变更。 |
| If a public announcement is required for the modification by the relevant laws or regulations, the enterprise shall explain the situation of undergoing public announcement formalities in accordance with the law when undergoing the modification recordation formalities. | | 其中，变更事项依照相关法律法规规定应当公告的，应当在办理变更备案手续时说明依法办理公告情况。 |
| Article 8 Where an enterprise established by a service provider from Hong Kong or Macao in Guangdong Province before these Measures come into force is modified, or an enterprise established by a service provider from Hong Kong or Macao outside Guangdong Province is moved to Guangdong Province, if the enterprise falls within the applicable recordation scope as set out in these Measures, it shall undergo modification recordation formalities and hand in its Approval Certificate for an Enterprise Funded by an Investor from Hong Kong, Macao or Taiwan in China for cancellation. | | 第八条 港澳服务提供者于本办法实施前在广东省内设立的企业发生变更，或港澳服务提供者所投资企业自广东省外迁入，且属于本办法规定的备案适用范围的，应办理变更备案手续，并缴销《港澳台侨投资企业批准证书》。 |
Article 9 A service provider from Hong Kong or Macao or an enterprise funded by investors from Hong Kong or Macao shall, when submitting the Application Form for Establishment Recordation or the Application Form for Modification Recordation, undertake that the application contents are authentic, complete and effective and the investment matters applied comply with the provisions of the relevant laws and regulations, and fall into the recordation scope as set out in these Measures.
