| To promote the transformation of government functions through the rule of law, further relax the access conditions for market participants, stimulate the vitality of social investment activities, and, in accordance with the decision to amend the Company Law made at the 6th session of the Standing Committee of the Twelfth National People's Congress on December 18, 2013, implement the Plan for Reforming the Registration System of Registered Capital in respect of replacing the paid-in capital registration system with the capital subscription registration system, replacing the annual inspection and license review systems with the annual report publication system and improving the constraint mechanism of credit, the State Council has reviewed the relevant administrative regulations and, upon review, hereby decides to: | | 为了运用法治方式推进政府职能转变，进一步放宽市场主体准入条件，激发社会投资活力，依据2013年12月28日第十二届全国人民代表大会常务委员会第六次会议通过的修改公司法的决定，落实《注册资本登记制度改革方案》关于注册资本实缴登记改为认缴登记、年度检验验照制度改为年度报告公示制度，以及完善信用约束机制的内容，国务院对涉及的行政法规进行了清理。经过清理，国务院决定： |
| (1) repeal two administrative regulations (see Annex 1); and | | 一、对2部行政法规予以废止。（附件1） |

| I. The Regulation of the People's Republic of China on the Administration of Company Registration is amended as follows: | | 一、对《中华人民共和国公司登记管理条例》作出修改 |
| 1. In Article 9, item (5) is deleted, and item (9) is renumbered as item (8) and amended to read: “names of the shareholders of a limited liability company or names of the promoters of a joint stock limited company.” | | （一）删去第九条第五项；将第九项改为第八项，修改为：“有限责任公司股东或者股份有限公司发起人的姓名或者名称。” |
| 2. In Article 13, “and the paid-in capital” is deleted. | | （二）删去第十三条中的“和实收资本”。 |
| 3. Article 14 is amended to read: “The shareholders of a company shall comply with the provisions of Article 27 of the Company Law regarding the form of capital contribution, and may not make capital contribution with labor, credit, name of a natural person, goodwill, franchise, or any property posted as security.” | | （三）第十四条修改为：“股东的出资方式应当符合《公司法》第二十七条的规定，但股东不得以劳务、信用、自然人姓名、商誉、特许经营权或者设定担保的财产等作价出资。” |
| 4. Items (4) and (5) of paragraph 2 and paragraph 3 of Article 20 are deleted. | | （四）删去第二十条第二款第四项、第五项和第三款。 |
5. In Article 21, items (4) and (5) of paragraph 2 are deleted, and paragraph 3 is amended to read: “For a joint stock limited company formed by stock floatation, the minutes of the founding meeting and a capital verification certificate issued by a legally formed capital verification agency shall also be submitted; and for a joint stock limited company formed by stock floatation and offering shares to the public, the relevant approval document of the securities regulatory authority of the State Council shall also be submitted.”
