| Article 1 To promote the opening up and the sound development of the road transport industry and standardize the approval administration of foreign investment in the road transport industry, these Provisions are developed in accordance with the Law of the People's Republic of China on Chinese-Foreign Equity Joint Ventures, the Law of the People's Republic of China on Chinese-Foreign Contractual Joint Ventures, the Law of the People's Republic of China on Wholly Foreign-Owned Enterprises, and other relevant laws and administrative regulations. | | 第一条 为促进道路运输业的对外开放和健康发展，规范外商投资道路运输业的审批管理，根据《中华人民共和国中外合资经营企业法》、《中华人民共和国中外合作经营企业法》、《中华人民共和国外资企业法》以及有关法律、行政法规的规定，制定本规定。 |
| Article 2 These Provisions shall apply to the foreign investment in the road transport industry within the territory of the People's Republic of China. | | 第二条 外商在中华人民共和国境内投资道路运输业适用本规定。 |
| For the purposes of these Provisions, “road transport industry” includes road passenger transport, road goods transport, road goods portage, loading, and unloading, road goods storage, and other auxiliary services and vehicle maintenance related to road transport. | | 本规定所称道路运输业包括道路旅客运输、道路货物运输、道路货物搬运装卸、道路货物仓储和其他与道路运输相关的辅助性服务及车辆维修。 |
| Article 3 Foreign investors shall be allowed to invest in the road transport industry in the following forms: | | 第三条 允许外商采用以下形式投资经营道路运输业： |
| (1) Investing in road passenger transport in the form of a Chinese-foreign equity joint venture. | | （一）采用中外合资形式投资经营道路旅客运输； |
| (2) Investing in road goods transport, road goods portage, loading and unloading, road goods storage, and other auxiliary services and vehicle maintenance related to road transport in the form of a Chinese-foreign equity or contractual joint venture. | | （二）采用中外合资、中外合作形式投资经营道路货物运输、道路货物搬运装卸、道路货物仓储和其他与道路运输相关的辅助性服务及车辆维修。 |
| (3) Investing in road goods transport, road goods portage, loading and unloading, road goods storage, and other auxiliary services and vehicle maintenance related to road transport in the form of a wholly foreign-owned enterprise. | | （三）采用独资形式投资经营道路货物运输、道路货物搬运装卸、道路货物仓储和其他与道路运输相关的辅助性服务及车辆维修。 |
| The time of opening up to foreign investors of the road transport business set out in items (3) hereof shall be additionally announced by the competent department of commerce and the competent department of transport under the State Council. | | 本条第（三）项所列道路运输业务对外开放时间由国务院商务主管部门和交通运输主管部门另行公布。 |
| Article 4 The initiation of a project of foreign investment in the road transport industry and the related matters shall be subject to the approval of the competent department of transport at the provincial level. | | 第四条 外商投资道路运输业的立项及相关事项应当经省级交通运输主管部门批准。 |
| The contracts and bylaws of a road transport enterprise established with foreign investment shall be subject to the approval of the competent department of commerce at the provincial level. | | 外商投资设立道路运输企业的合同和章程应当经省级商务主管部门批准。 |
| Article 5 Foreign investment in the road transport industry shall comply with the road transport development policies and the qualification requirements for enterprises prescribed by the competent department of transport under the State Council, and meet the requirements of the road transport industry development planning of the competent department of transport of the place where a foreign-funded road transport enterprise to be established is located. | | 第五条 外商投资道路运输业应当符合国务院交通运输主管部门制定的道路运输发展政策和企业资质条件，并符合拟设立外商投资道路运输企业所在地的交通运输主管部门制定的道路运输业发展规划的要求。 |
| All investors shall make investment with their owned assets, and have a good reputation. | | 投资各方应当以自有资产投资并具有良好的信誉。 |
| Article 6 For foreign investment in the road passenger transport business, the following conditions shall also be met: | | 第六条 外商投资从事道路旅客运输业务，还应当符合以下条件： |
(1) At a minimum, one of the principal investors shall be an enterprise which has engaged in the road passenger transport business within China for five years or more.
