| Article 1 For purposes of regulating the administration of registration of enterprises' business scope, regulating enterprises' business operations, and protecting the lawful rights and interests of enterprises, these Provisions are developed in accordance with the laws and administrative regulations on the administration of enterprise registration. | | 第一条 为了规范企业经营范围登记管理，规范企业经营行为，保障企业合法权益，依据有关企业登记管理法律、行政法规制定本规定。 |
| Article 2 These Provisions shall apply to the enterprises registered within the territory of the People's Republic of China. | | 第二条 本规定适用于在中华人民共和国境内登记的企业。 |
| Article 3 “Business scope” is the scope of business activities conducted by enterprises and shall be registered at enterprise registration authorities in accordance with the law. | | 第三条 经营范围是企业从事经营活动的业务范围，应当依法经企业登记机关登记。 |
| An applicant shall file an application for the registration of its business scope by selecting one or several small, middle or big categories by reference to the Classification of Industries in National Economy. For emerging industries or specific business items which are not regulated in the Classification of Industries in National Economy, the applicant may file the application by reference to policy documents, trade practice or professional literature. | | 申请人应当参照《国民经济行业分类》选择一种或多种小类、中类或者大类自主提出经营范围登记申请。对《国民经济行业分类》中没有规范的新兴行业或者具体经营项目，可以参照政策文件、行业习惯或者专业文献等提出申请。 |
| The business scope of an enterprise shall be consistent with that prescribed in the bylaws or the partnership agreement. If the business scope changes, the enterprise shall revise the bylaws or the partnership agreement, and apply to the enterprise registration authority for modification registration. | | 企业的经营范围应当与章程或者合伙协议规定相一致。经营范围发生变化的，企业应对章程或者合伙协议进行修订，并向企业登记机关申请变更登记。 |
| Article 4 Where a business item in the business scope for which the enterprise files a registration application is subject to approval before registration as prescribed by any law, administrative regulation or the decision of the State Council (hereinafter referred to as the “business item subject to pre-approval”), the enterprise shall, before applying for registration, report to the relevant department and obtain its approval, and then file a registration application with the enterprise registration authority based on the approval authority's approval documents and certificates. | | 第四条 企业申请登记的经营范围中属于法律、行政法规或者国务院决定规定在登记前须经批准的经营项目（以下称前置许可经营项目）的，应当在申请登记前报经有关部门批准后，凭审批机关的批准文件、证件向企业登记机关申请登记。 |
| Where a business item in the business scope for which the enterprise files a registration application is subject to approval after registration as prescribed by any law, administrative regulation or the decision of the State Council (hereinafter referred to as the “business item subject to ex post approval”), the enterprise shall, after the enterprise registration authority confirms registration in accordance with the law, report such a business item subject to ex post approval to the relevant department for approval and then may conduct the business operations of the business item. | | 企业申请登记的经营范围中属于法律、行政法规或者国务院决定等规定在登记后须经批准的经营项目（以下称后置许可经营项目）的，依法经企业登记机关核准登记后，应当报经有关部门批准方可开展后置许可经营项目的经营活动。 |
| Article 5 The enterprise registration authority shall register the business items subject to pre-approval based on the approval authority's approval documents and certificates. If there are no statements on the business items subject to pre-approval in the approval documents or certificates, registration shall be made in accordance with the relevant laws, administrative regulations, or decisions of the State Council, and the Classification of Industries in National Economy. | | 第五条 企业登记机关依照审批机关的批准文件、证件登记前置许可经营项目。批准文件、证件对前置许可经营项目没有表述的，依照有关法律、行政法规或者国务院决定的规定和《国民经济行业分类》登记。 |
The business items other than business items subject to pre-approval shall be registered by the enterprise registration authority in accordance with the enterprise's bylaws, partnership agreement or application, and by reference to the Classification of Industries in National Economy and the relevant policy documents, trade practice or professional literature.
