| In 2012, Daqing Fumingda Transport Services Co., Ltd. (Party A, hereinafter referred to as “Fumingda Company”) and the Project Department of Fujian Gaohua Construction Engineering Company (hereinafter referred to as “Gaohua Company”) in the Eighth Work Area of Shanxi China Century Coal Co., Ltd. (hereinafter referred to as “China Century Company”) (Party B) concluded an Agreement, allowing Party B to use the vehicles of Party A to engage in transport and construction activities; Party B should withhold transport expenses on a monthly basis or make advance transport payment to Party A so as to ensure that Party A should repay the loan to the bank on a monthly basis. After performance of the contract, Fumingda only received the payment for one month. Therefore, it filed a lawsuit with the Intermediate People's Court of Daqing City in 2013 and requested the Court to order China Century Company to pay CNY 14,256,000 and the corresponding interest. China Century Company contended that, since it has contracted the coal mine involved to Gaohua Company, it was not a party to the contract in dispute, and the seal “Project Department of Gaohua Construction Engineering Company in the Eighth Work Area of Shanxi China Century Coal Co., Ltd.” also showed that Fumingda Company concluded the contract in dispute with Gaohua Company. | | 2012年，大庆市福铭达公司（甲方）与山西华瑞煤业有限公司八工区高华建设工程公司项目部（乙方）签订《协议书》约定：乙方使用甲方的车辆进行运输施工；乙方按月代扣或垫付运输费支付给甲方，确保甲方向银行按月偿还购车贷款。合同履行后，福铭达公司只收到了一个月的款项，遂于2013年向法院起诉，请求判令：华瑞公司支付14256000元及利息。华瑞公司辩称，因其已将案涉煤矿承包给福建省高华建设工程有限公司，其不是本案诉争合同的合同主体，诉争合同上的印章“山西华瑞煤业有限公司八工区高华建设工程公司项目部”亦表明福铭达公司是与高华公司签订诉争合同。 |
