(hereinafter referred to as “Changjiang Guarantee Company”), in credit guarantee business as agreed upon in the Cooperative Agreement on Credit Guarantee Business concluded between them. The funds in the special margin account opened by Anhui Branch of ADBC for Changjiang Guarantee Company were actually the pledge guarantee provided by Changjiang Guarantee Company for Anhui Branch of ADBC. | After a trial, the court found that: On April 7, 2009, Anhui Branch of ADBC and Changjiang Guarantee Company concluded a Cooperative Agreement on Loan Guarantee Business. Clause 3 thereof “Guarantee Methods and Guarantee Responsibilities” stipulated that “The surety guarantee provided by Party A (Changjiang Guarantee Company) for Party B (Anhui Branch of ADBC) is joint and several liability guarantee; and the scope of surety guarantee includes the principal claims and the interest thereof, the liquidated damages, and the expenses arising from realization of the claims.” Clause 4 thereof “Guarantee Funds (Guarantee Deposits)” stipulated that “A special margin account is opened by Party B for Party A and the bank opening the special margin account is the Business Office of Anhui Branch of ADBC, and the tail number of the account is 9511; Party A shall deposit the agreed guarantee funds for the specific guarantee business into the special margin account before the conclusion of the guarantee contract and the guarantee funds deposited by Party A may not be lower than 10% of the loan limit; without the approval of Party B, Party A may not use the funds in the margin account.” Clause 6 thereof “Collection and Extension of the Loan and Assumption of Guarantee Liability” stipulated that “Where the borrower fails to make a full payment of the loan within the prescribed time limit, Party A shall, within five days upon receipt of the written notice of Party B, assume the guarantee liability for Party B in accordance with the provisions of Clause 3 herein and transfer the corresponding funds to an account designated by Party B.” Clause 8 thereof “Liability for Breach of Contract” stipulated that “When the fund balance in the special margin account opened by Party B for Party A is lower than the agreed amount no matter for what reasons, Party A shall, within three workdays upon receipt the notice of Party B, make up the deficiency and before that, Party B may suspend business under this Agreement. Where Party A fails to perform the guarantee liability as scheduled in violation of the provisions of Clause 6 herein, Party B shall have the right to deduct the corresponding deposits from the special margin account opened for Party A or any of other accounts of Party A.” On October 30, 2009 and October 30, 2010, Anhui Branch of ADBC and Changjiang Guarantee Company also separately concluded two Cooperative Agreements on Credit Guarantee Business with similar content as that of the said cooperative agreement. | | 法院经审理查明：2009年4月7日，农发行安徽分行与长江担保公司签订一份《贷款担保业务合作协议》。其中第三条“担保方式及担保责任”约定：甲方（长江担保公司）向乙方（农发行安徽分行）提供的保证担保为连带责任保证；保证担保的范围包括主债权及利息、违约金和实现债权的费用等。第四条“担保保证金（担保存款）”约定：甲方在乙方开立担保保证金专户，担保保证金专户行为农发行安徽分行营业部，账号尾号为9511；甲方需将具体担保业务约定的保证金在保证合同签订前存入担保保证金专户，甲方需缴存的保证金不低于贷款额度的10%；未经乙方同意，甲方不得动用担保保证金专户内的资金。第六条“贷款的催收、展期及担保责任的承担”约定：借款人逾期未能足额还款的，甲方在接到乙方书面通知后五日内按照第三条约定向乙方承担担保责任，并将相应款项划入乙方指定账户。第八条“违约责任”约定：甲方在乙方开立的担保专户的余额无论因何原因而小于约定的额度时，甲方应在接到乙方通知后三个工作日内补足，补足前乙方可以中止本协议项下业务。甲方违反本协议第六条的约定，没有按时履行保证责任的，乙方有权从甲方在其开立的担保基金专户或其他任一账户中扣划相应的款项。2009年10月30日、2010年10月30日，农发行安徽分行与长江担保公司还分别签订与上述合作协议内容相似的两份《信贷担保业务合作协议》。 |
After the said agreements were concluded, Anhui Branch of ADBC cooperated with Changjiang Guarantee Company in loan guarantee business. Anhui Branch of ADBC opened for Changjiang Guarantee Company a margin account, with the tail number of 9511. As stipulated in the agreement, Changjiang Guarantee Company deposited the guarantee funds at a prescribed proportion and based thereon provided the joint and several liability guarantee for the corresponding loan limit. From April 3, 2009 to December 31, 2012, there were a total of 107 transactions in the margin account, in which the credit transactions involved guarantee funds deposited by Changjiang Guarantee Company and debit transactions mainly involved two categories: guarantee funds to be returned by Anhui Branch of ADBC under the application of Changjiang Guarantee Company after the repayment of the loan, with partial guarantee funds returned to the account of the debtor and guarantee funds deducted by Anhui Branch of ADBC from the margin account after the loan was overdue.
