Where a party subject to enforcement and other persons, in the name of forming a new company with complex capital contributions, purchasing shares, and mergers and acquisitions, modify projects, related land and other primary assets, for which a creditor enjoys priority, to be in the name of the newly formed company, while other persons controlling a majority of the newly formed company's equity and the newly formed company do not assume the debt for the project costs, such circumstances may be determined to be the transfer of the assets of the party subject to enforcement to other persons and the newly formed company, and thereby violate the legal rights and interests of the preferential creditor for the project costs. As the successors of the rights and obligations to the party subject to enforcement, the other persons and the newly formed company shall be held liable to the preferential creditor. The court of enforcement has the power to rule that other persons and the newly formed company be added as parties subject to enforcement.@#

被执行人与其他人以复杂的出资组建新公司、收购股份及并购的名义，将债权人享有优先受偿权的工程及相关土地等主要资产变更至新组建的公司名下，而其他人控制新组建公司多数股权、新组建公司不承担工程价款的债务的，该情形可以认定为被执行人和其他人及新组建的公司之间转移资产，侵犯工程价款优先债权人的合法权益，其他人和新组建公司应当作为被执行人的权利义务承受人对该优先债权人承担责任。执行法院有权裁定追加其他人和新组建的公司为被执行人。@#
