A conduct to absorb funds from non-specified public without permissionof the People's Bank of China, though not in the name of absorbing publicdeposits, undertaking to perform obligations equal in nature as absorbingpublic deposits, that is, promising to repay principal together with interestwithin certain time period, shall be held absorbing public deposits indisguised form stipulated in Article 176 of the Criminal Law. As long as the person commits the illegalabsorbing public deposits, how the public deposits are absorbed shall notaffect the establishment of the crime of illegal absorbing public deposits. @#

Defendant: Chen Chuang, male, 31, former executive deputy general manager of and manager of the marketing department of Weinan Youhu Pagoda Cemetery Co., Ltd., residing at Daweigou, Changzhou City, Jiangsu Province, criminally detained on October 13, 2006 for suspected illegal absorption of public savings, and arrested according to law on November 2, 2006.@#
Defendant: Feng Zhenda, male, 36, former market director of the marketing department of Weinan Youhu Pagoda Cemetery Co., Ltd., residing at Junjing Garden, 190 Zhongshan Avenue, Guangzhou City, criminally detained on September 22, 2006 for suspected illegal absorption of public savings, and arrested according to law on November 2, 2006.@#
The People's Procuratorate of Weinan City of Shaanxi Province instituted a public prosecution in the Intermediate People's Court of Weinan City of Shaanxi Province against the defendants, Weinan Youhu Pagoda Cemetery Co., Ltd. (“Youhu Pagoda Cemetery Co.”), Hui Qingxiang, Cheng Chuang and Feng Zhenda on charges of illegal absorption of public savings and against Hui Qingxiang on charge of misappropriation of funds.@#
The indictment accused that: Youhu Pagoda Cemetery Co. was formed and registered in Weinan City, Shaanxi Province, on July 7, 1998. To solve its fund difficulty, under the manipulation of Hui Qingxiang, Chen Chuang and Feng Zhenda, Youhu Pagoda Cemetery Co. falsely claimed in advertising that the pagoda units purchased from this company for emplacing cinerary caskets of the deceased could have added value, deceived and induced the common people to purchase the pagoda units by such means as irregularly raising the price for pagoda unit and promising repurchase, and thus illegally absorbed public savings in an wanton way. The number of victims induced to purchase the pagoda units of the company in Xi'an region was as high as 4,334, and the company had illegally absorbed public savings of more than 96.98 million yuan. Furthermore, to solve the shortage of funds of Youhu Pagoda Cemetery Co., Hui Qingxiang even decided to illegally borrow money with high interest rates from the employees of the company and the common people, and from December 1998 to July 2006, the company borrowed more than 10.98 million yuan in total. In short, Youhu Pagoda Cemetery Co. had illegally absorbed public savings of more than 107 million yuan in total. Hui Qingxiang, as the general manager of the company, led, organized and participated in all the criminal activities, and was the directly liable person in charge; Chen Chuang, as the executive deputy general manager of and manager of the marketing department of the company, organized and participated in the illegal absorption of public savings of 96.98 million yuan, and was a directly liable person; Feng Zhenda participated in the illegal absorption of public savings of more than 26.32 million yuan, and was a directly liable person.@#

未经中国人民银行批准，不以吸收公众存款的名义，向社会不特定对象吸收资金，但承诺履行的义务与吸收公众存款性质相同，即承诺在一定期限内返本付息的，属于刑法第一百七十六条规定的“变相吸收公众存款”。只要行为人实施了非法吸收公众存款的行为，无论采取何种非法吸收公众存款的手段、方式，均不影响非法吸收公众存款罪的成立。@#

被告人：陈创，男，31岁，原系渭南市尤湖塔园有限责任公司常务副总经理兼营销部经理，住江苏省常州市大圩沟。 2006年10月13日因涉嫌非法吸收公众存款罪被刑事拘留，同年11月2日被依法逮捕。@#
被告人：冯振达，男，36岁，原系渭南市尤湖塔园有限责任公司营销部市场总监，住广州市中山大道190号骏景花园。 2006年9月22日因涉嫌非法吸收公众存款罪被刑事拘留，同年11月2日被依法逮捕。@#
陕西省渭南市人民检察院以被告单位渭南市尤湖塔园有限责任公司(以下简称尤湖塔园公司)以及被告人惠庆祥、陈创、冯振达犯非法吸收公众存款罪，惠庆祥犯挪用资金罪，向陕西省渭南市中级人民法院提起公诉。@#
起诉书指控：被告单位尤湖塔园公司于1998年7月7日在陕西省渭南市注册成立。尤湖塔园公司为解决资金问题，在被告人惠庆祥、陈创、冯振达的操纵下，面向社会进行虚假宣传，谎称购买该公司用于安放死者骨灰的塔位可以增值，并以不定期提高塔位价格、承诺回购等手段，欺骗、诱导社会群众购买塔位，籍此大肆非法吸收公众资金。西安地区被诱骗购买该公司塔位的被害群众高达4334人，该公司从中非法吸收公众资金9698万余元。此外，为了解决尤湖塔园公司资金短缺的问题，惠庆祥还决定面向该公司内部职工及社会群众非法高息借款，1998年12月至2006年 7月间，共计借款1098万余元。综上，尤湖塔园公司共计非法吸收公众存款1．07亿余元。惠庆祥作为该公司的总经理，领导、组织并参与了全部犯罪活动，系直接负责的主管人员；陈创作为该公司常务副总经理兼营销部经理，组织并参与非法吸收公众存款9698万示，系直接责任人员；冯振达参与非法吸收公众存款2632万余元，系直接责任人员。@#
被告人惠庆祥分别于2003年11月 10日、2004年8月30日两次指示被告人陈创将被告单位尤湖塔园公司销售塔位款 400万元汇入江苏无锡市邱建雄的个人账号，作为惠庆祥之妻葛丽华与邱建雄合伙经营“忆江南餐饮有限公司”的投资，案发后追回赃款200万元。@#
被告单位渭南市尤湖塔园公司未经中国人民银行批准，采取虚假宣传等手段，以高额回报为诱饵，非法向社会不特定群体吸收资金1．07亿余元，数额特别巨大，严重扰乱了国家金融管理秩序，其行为已触犯《中华人民共和国刑法》(以下简称刑法)第一百七十六条之规定，构成非法吸收公众存款罪。被告人惠庆祥作为直接负责的主管人员，陈创、冯振达作为直接责任人员，依法应当以非法吸收公众存款罪定罪处罚。惠庆祥还利用职务之便，挪用公司资金进行营利活动，数额特别巨大，其行为触犯了刑法第二百七十二条之规定，构成挪用资金罪。请依法追究上述被告人的刑事责任。鉴于被告人陈创有立功情节，建议依法从轻处罚。@#
被告单位尤湖塔园公司的辩护人认为：尤湖塔园公司向企业借款和向社会公众出售塔位均属正常市场行为，尤湖塔园公司曾就销售塔位的价格报请渭南市物价局审核，该局以文件形式表示同意。因此，尤湖塔园公司的上述行为不构成非法吸收公众存款罪，本案属于民事案件，应通过民事诉讼程序解决。@#
被告人惠庆祥辩称：一、被告单位尤湖塔园公司出售塔位属正常市场行为，并不是非法吸收公众存款。况且，经评估尤湖塔园公司资产完全能够清偿客户资金，作为该公司的负责人，领导、组织尤湖塔园公司销售塔位系本人正常履行工作职责，不构成非法吸收公众存款罪。二、根据本人与合作方的约定，尤湖塔园公司的经营和管理由本人全权负责，所以本人有权使用该公司的资金，故本人使用公司资金的行为不构成挪用资金罪。@#
被告人惠庆祥的辩护人认为：被告单位尤湖塔园公司销售塔位业经民政部门批准，该公司向客户销售塔位及向个人、企业借款均属市场行为，不构成非法吸收公众存款罪，因此惠庆祥在本案中的行为也不构成非法吸收公众存款罪。根据惠庆祥与渭南市社福工贸公司签订的协议书，惠庆祥完全负责尤湖塔园公司的经营和管理，因此，惠庆祥有权决定该公司资金使用，其使用该公司资金的行为不构成挪用资金罪。此外，惠庆祥归案后主动向公安机关陈述了投资“忆江南餐饮有限公司”的事实，即使该行为构成挪用资金罪，亦应认定惠庆祥具有自首情节，应当依法从轻处罚。@#
被告人陈创辩称：本人在被告单位尤湖塔园公司正常履行职务的行为不构成非法吸收公众存款罪。@#
被告人陈创的辩护人认为：陈创虽然是被告单位尤湖塔园公司西安地区的负责人，但实际上对该公司经销塔位只起协调作用，在本案中作用小，此外，陈创向公安机关检举了被告人惠庆祥挪用资金犯罪的线索，有立功情节，建议对陈创减轻处罚并适用缓刑。@#
