| Article 1 For purposes of regulating the registration of foreign-funded enterprises, specifying the functions of administrative departments for industry and commerce at all levels, and strictly implementing the laws, regulations and industry policies of the state, these Measures are developed in accordance with the relevant laws and regulations. | | 第一条 为了规范外商投资企业登记管理工作，明确各级工商行政管理局的职责，严格执行国家外资法律、法规及产业政策，根据有关法律、法规，制定本办法。 |
| Article 2 These Measures shall apply to the application for, granting, performance, supervision and inspection of the power of registration administration of foreign-funded enterprises. | | 第二条 外商投资企业登记管理权的申请、授予、履行及监督检查工作，适用本办法。 |
| For the purpose of these Measures, “foreign-funded enterprises” include Chinese-foreign equity joint ventures, Chinese-foreign contractual joint ventures and foreign-funded enterprises. | | 本办法所称的外商投资企业包括中外合资经营企业、中外合作经营企业、外资企业。 |
| These Measures shall apply to the granting and regulation of the power of registration administration of the branch offices and permanent representative offices of the enterprises of foreign countries (or regions), the enterprises of foreign countries (or regions) that conduct production and distribution within the territory of China, the branch offices of the foreign-funded enterprises, as well as other enterprises that shall implement industry policies on foreign investment in accordance with the provisions of the state. | | 外国（地区）企业的分支机构和常驻代表机构、在中国境内从事生产经营活动的外国（地区）企业、外商投资企业分支机构，以及其他依照国家规定应当执行外资产业政策的企业，其登记管理权的授予和规范，适用本办法。 |
| Article 3 The registration of foreign-funded enterprises shall be conducted under the principle of registration by the SAIC and registration by the authorized local administrative departments for industry and commerce. | | 第三条 外商投资企业登记管理工作实行国家工商行政管理总局登记管理和授权地方工商行政管理局登记管理的原则。 |
| The SAIC shall be responsible for the registration administration of foreign-funded enterprises nationwide, and may, according to the conditions prescribed in these Measures, grant the power of registration confirmation of foreign-funded enterprises to local administrative departments for industry and commerce. The authorized local administrative department for industry and commerce (hereinafter referred to as the “authorized department”) shall exercise the power of registration administration of foreign-funded enterprises within the authorization scope in its own name. | | 国家工商行政管理总局负责全国的外商投资企业登记管理工作，并可以根据本办法规定的条件授予地方工商行政管理局外商投资企业核准登记管理权。被授权的地方工商行政管理局（以下简称被授权局）以自己的名义在被授权范围内行使对外商投资企业的登记管理职权。 |
| Article 4 A provincial administrative department for industry and commerce or an administrative department for industry and commerce (or branch) below the provincial level meeting the following conditions may file an application for the power of registration confirmation of foreign-funded enterprises. | | 第四条 具备下列条件的省级工商行政管理局及省级以下工商行政管理局（分局）可以提出授予外商投资企业核准登记权的申请： |
| (1) Foreign investment within its jurisdiction reaches a certain scale, or 50 or more foreign-funded enterprises have been formed. | | （一）辖区内外商投资达到一定规模，或者已经设立的外商投资企业达50户以上； |
| (2) It is able to accurately implement the laws and regulations and industry policies on the registration of enterprises, and has no administrative case of losing the lawsuit incurred by the lack of registration administration of enterprises two years before the application. | | （二）能够正确执行企业登记管理法律法规和产业政策，申请前2年无因企业登记管理引发的行政败诉案件； |
| (3) It has conducted preliminary examination of the registration of foreign-funded enterprises and the investigation of violations of laws and regulations in registration and other work for two years or more. | | （三）已从事外商投资企业登记初审和登记违法违章行为调查等工作2年以上； |
| (4) It has set up a special body for the registration administration of foreign-funded enterprises, has stable staff members, and its number and quality shall be commensurate with the requirements for conducting the authorized work, and it has at least one staff member who has relatively high proficiency in foreign languages. | | （四）已设立外商投资企业登记管理专职机构，有较稳定的工作人员，其数量与素质应当与开展被授权工作的要求相适应，其中至少有1名工作人员具有较高的外语水平； |
| (5) The special body for the registration administration of foreign-funded enterprises will uniformly exercise the power of registration confirmation and the power of supervision and administration of foreign-funded enterprises. | | （五）外商投资企业登记管理专职机构将统一行使外商投资企业核准登记权和监督管理权； |
| (6) It has relatively good office conditions, has been equipped with communications equipment, computers, means of transport, and rooms for receiving foreign guests, etc. Its computer network construction has reached the standards for interconnection with the enterprise registration management information system of the SAIC. | | （六）有较好的办公条件，包括已配备通讯设备、计算机、交通工具和外宾接待室等；计算机网络建设达到与国家工商行政管理总局企业注册登记管理信息系统互联互通的标准； |
| (7) It has developed complete work rules for the registration of foreign-funded enterprises. | | （七）已制订健全的外商投资企业登记管理工作制度。 |
| Article 5 Whoever applies for the power of registration of foreign-funded enterprises shall submit the following documents: | | 第五条 申请授予外商投资企业登记管理权，应当提交下列文件： |
(1) A written application for authorization signed by the department filing the application, which shall indicate the information on the compliance with the authorization conditions prescribed in Article 4 of these Measures, and the scope of authorization in the application.
