We have received the Request for Instructions Submitted by the NDRC on the Relevant Policies (Draft for Examination) Supporting the Development and Opening-up of the Qianhai Shenzhen-Hong Kong Modern Service Industry Cooperation Zone (No. 767 [2012] of the NDRC), and hereby give you a reply as follows: | |

| I. Qianhai Shenzhen-Hong Kong Modern Service Industry Cooperation Zone will be encouraged to implement advanced and pilot policies more special than those for the Special Economic Zone, and to build itself into a modern service industry system and mechanism innovation zone, a modern service industry development cluster, a pilot zone for the close cooperation between Hong Kong and the Mainland, and a leading zone for industrial upgrading in the Pearl River Delta. | | 一、支持深圳前海深港现代服务业合作区实行比经济特区更加特殊的先行先试政策，打造现代服务业体制机制创新区、现代服务业发展集聚区、香港与内地紧密合作的先导区、珠三角地区产业升级的引领区。 |

| II. Qianhai will be encouraged to make pilot financial reform and innovation, and build itself as an exemplary window for the opening up of China's financial industry. | | 二、支持前海在金融改革创新方面先行先试，建设我国金融业对外开放试验示范窗口。 |
| |
|
| (1) Qianhai will be allowed to explore for broadening the channels for repatriation of overseas RMB capital, coordinate and support the development of the offshore RMB business in Hong Kong, and position itself as an innovative and experimental hub for cross-border RMB-based business. | | （一）允许前海探索拓宽境外人民币资金回流渠道，配合支持香港人民币离岸业务发展，构建跨境人民币业务创新试验区。 |

| (2) Banking institutions established in Qianhai will be encouraged to grant RMB loans for offshore projects. Proactive studies will be encouraged for the granting of RMB loans by Hong Kong-based banking institutions to enterprises established in Qianhai within the framework of the Mainland/Hong Kong Closer Economic Partnership Arrangement (“CEPA”). | | （二）支持设立在前海的银行机构发放境外项目人民币贷款；在《内地与香港关于建立更紧密经贸关系的安排》（CEPA）框架下，积极研究香港银行机构对设立在前海的企业或项目发放人民币贷款。 |

| (3) Qualified enterprises and financial institutions registered in Qianhai will be encouraged to issue the RMB bonds in Hong Kong within the quota as approved by the State Council to support the development and construction of Qianhai. | | （三）支持在前海注册、符合条件的企业和金融机构在国务院批准的额度范围内在香港发行人民币债券，用于支持前海开发建设。 |

| (4) Qianhai equity investment “fund-of–funds” will be encouraged to be formed . | | （四）支持设立前海股权投资母基金。 |

| (5) Foreign (including Hong Kong)-funded equity investment funds will be encouraged to make innovative developments in Qianhai, and to actively explore new modes for foreign-funded equity investment enterprises to make settlement of foreign currency capital contributions, investment, funds management, etc. | | （五）支持包括香港在内的外资股权投资基金在前海创新发展，积极探索外资股权投资企业在资本金结汇、投资、基金管理等方面的新模式。 |

(6) Qianhai financial market will be further opened up to Hong Kong. Hong Kong financial institutions will be encouraged to establish institutions and carry out financial businesses in Qianhai with properly lowered accession conditions under the framework of the CEPA.
