| For the purposes of facilitating the transition and convenience of the transfer of sea sand mining right and the right to use sea areas, meeting the requirements for functional restructuring after institutional reform, implementing the arrangements of the CPC Central Committee and the State Council to transform government functions, accelerating the reform of “simplification of administrative procedures, delegation of powers, combination of decentralization and control and optimization of services”, and maximizing the decisive role of the market in resource allocation, you are hereby notified of the streamlining and optimizing of links and procedures for transferring the sea sand mining right and the right to use sea areas as follows: | | 为切实解决海砂采矿权和海域使用权“两权”出让中不衔接、不便民的问题，适应机构改革后职能重构的要求，落实党中央、国务院关于推进政府职能转变、加快放管服务改革部署，充分发挥市场在自然资源配置中的决定性作用，现就精简、优化海砂采矿权和海域使用权出让环节和办事流程，通知如下： |
| I. The system for transferring bid invitations, auctions, and listing of sea sand mining rights and rights to use sea areas shall be fully implemented. The Ministry of Natural Resources shall authorize the natural resources departments of all coastal provinces to organize the transfer of bid invitations, auctions and listings of sea sand mining rights. The natural resources departments of all coastal provinces shall include the transfer of the sea sand mining right and the right to use sea areas within the statutory authority of provincial governments in the same “bid invitation, auction, and listing” plan and organize the implementation thereof. In transferring sea sand mining rights and rights to use sea areas, the relevant departments shall determine the same location and time limit. The time limit shall be typically no more than three years. | | 一、全面实施海砂采矿权和海域使用权“两权合一”招标拍卖挂牌（以下简称“招拍挂”）出让制度。自然资源部委托沿海省级自然资源主管部门组织实施海砂采矿权招拍挂出让，由沿海省级自然资源主管部门将海砂采矿权与省级政府法定权限内的海域使用权出让纳入同一招拍挂方案并组织实施。海砂开采采矿权和海域使用权出让应当确定同一位置和同一期限。期限一般不超过3年。 |
II. The system of transfering net mining rights shall be strictly implemented. The natural resources departments of coastal provinces shall, in conjunction with the relevant departments, and according to the territorial spatial plan and the mineral resources plan, develop a plan for bid invitations, auctions, and listing of the sea sand mining rights and the right to use sea areas, following the principles of rational development, intensive and economical utilization of resources and taking market demands into full consideration. If a sea sand mining right is exercised under the authorization of the Ministry of Natural Resources, the plan for its bid invitation, auction and listing shall be approved by the Ministry of Natural Resources. The compilation and review of the demonstration of the use of sea areas, plans for exploitation and utilization of sea areas and other statutory requirements shall be organized in a centralized manner by the natural resources departments of coastal provinces. An environmental impact assessment and other requirements and review work shall be organized by the natural resources departments of coastal provinces in consultation with relevant departments. The aforementioned matters and the conclusions thereof shall be included in the plan for the transfer of the bid invitation, auction, and listing of the “two rights”, and the bidders shall not be required to carry out other work. The reserve prices for the transfer of the “two rights” shall be calculated separately and the total reserve price for the transfer shall be formed. In principle, the premium generated during the transaction shall be included in the royalties for using sea areas and the earnings from the transfer of mining rights according to the proportion of the reserve prices for the "two rights" in the total transfer, unless it is otherwise provided by the state.
．．．．．． | | 二、严格执行“净矿出让”制度。沿海省级自然资源主管部门应当会同有关部门，依据国土空间规划和矿产资源规划等，遵循合理开发、集约节约利用资源的原则，统筹兼顾市场需求，制定海砂采矿权和海域使用权招拍挂方案。海砂采矿权由部委托行使的，其招拍挂方案应当取得自然资源部同意。海域使用论证、开发利用方案等法定要件的编制以及评审工作，由沿海省级自然资源主管部门统一组织实施；环境影响评价等其他要件以及评审工作等，由沿海省级自然资源主管部门商有关部门组织实施；上述事项及其结论应当一并纳入“两权”招拍挂出让方案，不得要求竞买人另行开展工作。“两权”出让底价应当分别测算并形成总出让底价，成交时产生的溢价部分原则上按“两权”在总出让底价中所占的比例分别计入海域使用金和采矿权出让收益，国家另有规定的，从其规定。
